2025年度國際技術(shù)貿(mào)易合同英文翻譯與合同違約責(zé)任界定本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALINTERNATIONALTECHNICALTRADECONTRACTENGLISHTRANSLATIONANDBREACHOFCONTRACTLIABILITYJUDGMENTContractNo.:__________________________ContractDate:__________________________ContractingParties:PartyA:FullName:__________________________LegalEntity:__________________________RegisteredAddress:__________________________ContactPerson:__________________________Position:__________________________ContactInformation:__________________________PartyB:FullName:__________________________LegalEntity:__________________________RegisteredAddress:__________________________ContactPerson:__________________________Position:__________________________ContactInformation:__________________________1.ScopeofWork1.1EnglishTranslationPartyAagreestoprovideEnglishtranslationservicesforthetechnicaldocumentsandmaterialsprovidedPartyB.Thescopeofworkincludes,butisnotlimitedto,thefollowing:Translationoftechnicaldocuments,manuals,specifications,andtechnicalreports.Proofreadingandeditingofthetranslateddocumentstoensureaccuracyandclarity.1.2ContractBreachLiabilityJudgmentPartyAagreestoconductathoroughanalysisofthecontracttermsandconditions,andprovideadetailedreportoutliningthepotentialliabilitiesandconsequencesofabreachofcontracteitherParty.Thereportshallincludethefollowing:Areviewofthecontractclausesandtheirimplications.Identificationofpotentialbreachesandtheirlegalconsequences.2.DeliverySchedule3.FeesandPaymentTerms3.1FeesThetotalfeefortheEnglishtranslationservicesshallbe_[insertamount]_.Thefeeforthecontractbreachliabilityjudgmentreportshallbe_[insertamount]_.Thetotalcontractvalueis_[inserttotalamount]_.3.2PaymentTermsPaymentshallbemadeintwoinstallments:_[insertamount]_uponsigningthecontract.AllpaymentsshallbemadeinUSdollarswiretransfertothefollowingaccount:BankName:__________________________AccountNumber:__________________________SwiftCode:__________________________4.IntellectualPropertyRights5.ConfidentialityBothPartiesagreetomaintaintheconfidentialityofallinformationdisclosedduringthecourseofthiscontract.Thisobligationshallsurvivetheterminationorexpirationofthiscontract.6.GoverningLawandDisputeResolutionThiscontractshallbegovernedthelawsoftheUnitedStatesofAmerica.AnydisputesarisingfromorrelatedtothiscontractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.7.Miscellaneous7.1AmendmentsAnyamendmenttothiscontractshallbeinwritingandsignedbothParties.7.2EntireAgreementThiscontractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.EndofPart1第二部分：第三方介入后的修正8.ThirdPartyInvolvement8.1DefinitionofThirdPartyForthepurposeofthiscontract,a“ThirdParty”shallrefertoanyentityorindividual,otherthantheContractingParties,thatisengagedtoprovideservices,actasanintermediary,orofferexpertiseinconnectionwiththeperformanceofthiscontract.Thismayinclude,butisnotlimitedto,translationagencies,legalconsultants,technicalexperts,andfinancialinstitutions.8.2TypesofThirdPartyInvolvement8.2.1ServiceProviders:ThirdPartiesmaybeengagedtoprovidespecificservicessuchastranslation,technicalanalysis,orotherspecializedtasksrequiredtofulfillthecontract.8.2.2Intermediaries:ThirdPartiesmayactasintermediariestofacilitatenegotiations,transactions,ortheresolutionofdisputesbetweentheContractingParties.8.2.3Experts:ThirdPartiesmaybeconsultedfortheirexpertiseinspecificareasrelevanttothecontract,suchaslegal,technical,orfinancialmatters.8.3ThirdPartyResponsibilitiesandLimitations8.3.1Responsibilities:EachThirdPartyshallperformitsdutiesinaccordancewiththetermsofitsagreementwiththeContractingPartiesandtheprovisionsofthiscontract.TheContractingPartiesshallprovidetheThirdPartywithallnecessaryinformationandsupporttoenableittoperformitsdutieseffectively.8.3.2Limitations:TheliabilityofaThirdPartyforanybreachofitsobligationsunderthiscontractshallbelimitedtothescopeofitsresponsibilitiesasdefinedinitsagreementwiththeContractingParties.TheContractingPartiesshallnotbeheldliablefortheactionsoromissionsoftheThirdParty.8.4ThirdPartySelectionandApproval8.4.1Selection:TheContractingPartiesshallhavetherighttoselectandapproveanyThirdPartyinvolvedintheperformanceofthiscontract.TheselectionprocessshallbeconductedinamannerthatensurestheThirdPartyisqualifiedandcapableofperformingitsduties.8.4.2Approval:TheContractingPartiesshallnotifyeachotherinwritingofanyThirdPartytobeengaged,andsuchengagementshallbesubjecttotheapprovalofbothParties.8.5CommunicationandCoordination8.5.2Coordination:TheContractingPartiesshallcoordinatetheiractivitieswiththoseoftheThirdPartytoensurethattheobjectivesofthiscontractareachievedinatimelyandefficientmanner.8.6AdditionalTermsandConditionsforThirdPartyInvolvement8.6.1ServiceLevelAgreements(SLAs):TheContractingPartiesshallenterintoSLAswitheachThirdPartythatoutlinestheexpectedlevelofservice,performancemetrics,andanypenaltiesforfailuretomeetagreeduponstandards.8.6.2Confidentiality:EachThirdPartyshallberequiredtosignaconfidentialityagreementthatbindsittomaintaintheconfidentialityofallinformationprovidedtheContractingParties.8.6.3Insurance:EachThirdPartyshallprovideproofofappropriateinsurancecoveragetoprotecttheContractingPartiesagainstanyliabilitythatmayarisefromitsperformanceunderthiscontract.8.7TerminationofThirdPartyInvolvement8.7.1IntheeventthataThirdPartyfailstomeetitsobligationsunderthiscontract,eitherPartymayterminatetheinvolvementoftheThirdPartyuponwrittennoticetotheotherParty.8.7.3TheContractingPartiesshallberesponsibleforanycostsassociatedwiththeterminationofaThirdParty’sinvolvement,includinganyfeesorpenaltiesincurredasaresultofsuchtermination.8.8ThirdPartyIndemnification8.8.1EachThirdPartyshallindemnifyandholdharmlesstheContractingPartiesagainstanyclaims,damages,orliabilitiesarisingoutoforinconnectionwithitsperformanceunderthiscontract,excepttotheextentcausedthenegligenceorwillfulmisconductoftheContractingParties.8.8.2TheindemnificationobligationsoftheThirdPartyshallsurvivetheterminationorexpirationofthiscontract.EndofPart2第三部分：其他補充性說明和解釋說明一：附件列表：2.TranslationQualityAssurancePlan:Outlineofthequalitycontrolmeasurestobeimplementedtoensuretheaccuracyandclarityofthetranslateddocuments.5.ServiceLevelAgreements(SLAs):Detailedagreementsoutliningtheexpectedlevelofservice,performancemetrics,andpenaltiesforfailuretomeetstandards.6.ConfidentialityAgreements:ContractsbindingThirdPartiestomaintaintheconfidentialityofallinformationprovidedtheContractingParties.7.InsuranceCertificates:ProofofappropriateinsurancecoveragefortheprotectionoftheContractingParties.9.ProjectManagementDocuments:Documentsoutliningtheprojectschedule,milestones,andresourceallocation.說明二：違約行為及責(zé)任認定：1.NonDeliveryofServices:Failuretodelivertheagreeduponserviceswithinthespecifiedtimeframe.Responsibility:ThenonperformingPartyshallbeliableforanydamagesincurredtheotherPartyduetothedelayorfailuretodeliverservices.Example:IfPartyAfailstodeliverthetranslateddocumentstheagreedupondate,PartyBmayclaimdamagesforthedelay,suchaslostbusinessopportunities.2.SubstandardQualityofWork:Deliveryofservicesthatdonotmeettheagreeduponqualitystandards.Example:Ifthetranslateddocumentscontainnumerouserrors,PartyAshallberesponsibleforrevisingthemtomeetthequalitystandards.3.FailuretoComplywithSLAs:FailuretomeettheperformancemetricsoutlinedintheSLAs.Example:IfPartyAfailstomeetthetranslationturnaroundtimespecifiedintheSLA,itmayberequiredtopayapenaltytoPartyB.4.DataBreach:Unauthorizedaccesstoordisclosureofconfidentialinformation.Responsibility:TheresponsiblePartyshallbeliableforanydamagesresultingfromthedatabreach,includinganyfinesorpenaltiesimposedregulatoryauthorities.Example:IfPartyA’sThirdPartyserviceproviderfailstoprotectconfidentialinformation,PartyA
