二、課程說明

本課程是經(jīng)濟(jì)與金融專業(yè)的主干專?業(yè)方向課之一。本課程內(nèi)容包括公司金融學(xué)的基本理

論和相關(guān)概念，貨幣時(shí)間價(jià)值的計(jì)算，投資決策方法，資本成本的計(jì)算和資本結(jié)構(gòu)決策，以

及企業(yè)并購等資本運(yùn)營的相關(guān)知識(shí)。該學(xué)科對(duì)畢業(yè)生今后從事投融資決策分析以及掌握企業(yè)

并購等資本運(yùn)營方法從理論與實(shí)踐上都有較強(qiáng)的支撐。

三、課程性質(zhì)與課程目標(biāo)

（一）課程性質(zhì)

《公司金融》是國家教育部規(guī)定的經(jīng)濟(jì)學(xué)類專業(yè)的專業(yè)方向課，是經(jīng)濟(jì)與金融專業(yè)學(xué)生

必修的一門專業(yè)理論課程，針對(duì)已經(jīng)具備微觀經(jīng)濟(jì)學(xué)、宏觀經(jīng)濟(jì)學(xué)、政治經(jīng)濟(jì)學(xué)、金融學(xué)、

會(huì)計(jì)學(xué)等知識(shí)的本科生開設(shè)。

（-）課程目標(biāo)

知識(shí)目標(biāo)：通過本課程的學(xué)習(xí)使學(xué)生能夠運(yùn)用微觀經(jīng)濟(jì)學(xué)、宏觀經(jīng)濟(jì)學(xué)、政治經(jīng)濟(jì)學(xué)、

金融學(xué)和會(huì)計(jì)學(xué)等課程的基本原理，理解與掌握公司金融的基本知識(shí)、基本理論和基本方法,

理解如何設(shè)計(jì)合理的公司治理結(jié)構(gòu)為公司投融資最優(yōu)化服務(wù)，全面認(rèn)識(shí)公司金融在企業(yè)投融

資中所發(fā)揮的作用。

能力目標(biāo)：在全面了解、掌握公司金融的基本理論、基本知識(shí)和基本方法的基礎(chǔ)上，提

高學(xué)生的思維能力和解決實(shí)際問題的能力，使學(xué)生具備分析和解決現(xiàn)實(shí)中公司金融方面問題

的能力。

素質(zhì)目標(biāo)：通過本課程的學(xué)習(xí)在掌握基本理論、能夠運(yùn)用理論知識(shí)分析實(shí)際問題的基礎(chǔ)

上，使學(xué)生明確公司金融在企業(yè)投融資中所發(fā)揮的作用，建立從事公司金融、參與金融工作

五、考核方式及成績?cè)u(píng)定

（-）上課要求

鑒于《公司金融》的理論性和實(shí)務(wù)性較強(qiáng)，本課程教學(xué)中應(yīng)該堅(jiān)持的兩個(gè)原則：

第一，循序漸進(jìn)、先快后慢的原則。本課程內(nèi)容的特點(diǎn)是難點(diǎn)偏后，為使學(xué)生較好地掌

握《公司金融》的概念、原理、特別是分析方法，理應(yīng)先夯實(shí)基礎(chǔ)，在此前提下才能為學(xué)好

后面的章節(jié)做好相應(yīng)的知識(shí)儲(chǔ)備。

第二，理論聯(lián)系實(shí)際的原則。本課程的教學(xué)通常安排在大學(xué)三年級(jí)進(jìn)行，但由于學(xué)生自

身閱歷和理解能力的有限，為使抽象的公司金融理論和實(shí)務(wù)具體化和有效提高學(xué)生的學(xué)習(xí)興

趣，在教學(xué)中應(yīng)盡可能多舉一些我國經(jīng)濟(jì)運(yùn)行中的實(shí)際案例，以常助學(xué)生準(zhǔn)確理解和掌握《公

司金融》，以達(dá)學(xué)以致用的目的。

（二）考核要求

考試成績以百分制計(jì)，其中平時(shí)成績占40舟，期未考試成績占60舟。
