NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofServices

TheConsultantagreestoprovidetheClientwithbusinessconsultationservicesasspecifiedintheattachedAppendixA("ScopeofServices").

2.Term

ThisContractshallbeeffectiveuponthedateofexecutionandshallremaininfullforceandeffectforaperiodof______years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.FeesandPayment

4.Confidentiality

Thepartiesagreetomaintaintheconfidentialityofallinformation,documents,andmaterialsexchangedordisclosedduringthecourseofthisContract.SuchconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

5.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromtheperformanceofthisContractshallbesolelyownedbytheConsultant,unlessotherwiseagreeduponinwritingbytheparties.

6.WarrantiesandIndemnities

a)TheConsultantwarrantsthatithasthenecessaryexpertise,experience,andqualificationstoprovidetheservicesassetforthinthisContract.

b)TheConsultantagreestoindemnifyandholdtheClientharmlessfromanyandallclaims,liabilities,damages,andexpensesarisingfromtheConsultant'sbreachofthisContractortheperformanceoftheservices.

7.Termination

a)EitherpartymayterminatethisContractatanytimeuponwrittennoticetotheotherparty,providedthatsuchterminationisnotforabreachofthisContractbytheterminatingparty.

b)Intheeventoftermination,theConsultantshallpromptlydelivertotheClientallwork-in-progress,deliverables,andothermaterialsrelatedtotheservicesperformedunderthisContract.

8.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheConsultantislocated.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsofsaidjurisdiction.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

6.RightsandObligationsoftheThirdParty

a)IftheConsultantfailstomeettheagreed-uponperformancestandards,theClientshallhavetherighttoterminatethisContractandseekcompensationforanylossesincurred.

b)IftheConsultantortheThirdPartybreachesanytermofthisContract,theotherpartyshallhavetherighttoterminatethisContractimmediatelyandseekdamagesorotherremediesavailableatlaw.

c)TheConsultantandtheThirdPartyagreenottodiscloseanyconfidentialinformationoftheClienttoanythirdpartywithouttheClient'spriorwrittenconsent.

8.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheClientislocated.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsofsaidjurisdiction.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

10.SignificanceandPurposeofThirdPartyInvolvement

TheinvolvementoftheThirdPartyinthisContractisintendedtoenhancethequalityandeffectivenessoftheservicesprovidedtotheClient.TheThirdPartybringsadditionalexpertiseandresourcestotheproject,ensuringthattheClient'sinterestsareprotectedandthatthedesiredoutcomesareachieved.

11.SignificanceandPurposeofClient-DominantApproach

TheClient'srightsandinterestsareprioritizedinthisContracttoensurethattheClientreceivesthebestpossibleservicesandprotection.BygrantingtheClientsignificantrights,suchastheabilitytorequestrevisions,terminatetheContract,andseekcompensationforlosses,theContractaimstoprovideastrongfoundationfortheClient'ssuccess.
