RECORDOFAGREEMENT

WHEREAS,EmployeedesirestoacceptemploymentwithEmployerunderthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

1.EMPLOYMENT

1.1EmployerherebyemploysEmployeeas[PositionTitle]("Position"),tocommenceon[StartDate]andtocontinueforatermof[DurationofEmployment]("EmploymentTerm"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

1.2EmployeeagreestoperformthedutiesandresponsibilitiesassociatedwiththePosition,whichshallbereasonablydeterminedbyEmployerfromtimetotime.

1.3Employeeshallreportto[Supervisor'sName],whoshallhavetheauthoritytoassigntasksandprovideguidancetoEmployee.

2.COMPENSATIONANDBENEFITS

2.1EmployershallpayEmployeeabasesalaryof[SalaryAmount]per[SalaryPaymentPeriod]("Salary"),subjecttoallapplicabletaxesanddeductions.

2.2EmployershallprovideEmployeewiththefollowingbenefits:[ListofBenefits].

2.3EmployerreservestherighttomodifyorterminateanybenefitsprovidedunderthisAgreementatanytime,withorwithoutnotice,providedthatsuchmodificationsorterminationsshallnotaffectEmployee'sbenefitsaccruedpriortothedateofsuchmodificationortermination.

3.WORKPLACEPOLICIESANDPROCEDURES

3.1EmployeeshallcomplywithallworkplacepoliciesandproceduresestablishedbyEmployerfromtimetotime.

3.2EmployeeshallmaintainconfidentialityofallproprietaryinformationandtradesecretsofEmployer.

4.TERMINATION

4.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty.

4.2IntheeventofterminationofthisAgreement,EmployershallpayEmployeeanyearnedbutunpaidcompensationandbenefitsthroughthedateoftermination.

4.3IntheeventofEmployee'sterminationwithoutcause,EmployershallprovideEmployeewith[NoticePeriod]ofwrittennoticepriortotermination.

4.4IntheeventofEmployer'sterminationwithoutcause,EmployershallprovideEmployeewith[NoticePeriod]ofwrittennoticepriortotermination.

4.5IntheeventofterminationofthisAgreementduetoEmployee'sbreachofthisAgreement,EmployershallhavenoobligationtoprovideEmployeewithanynoticeorseverancepay.

5.NON-COMPETITION

5.1Employeeagreesthat,foraperiodof[Non-CompetePeriod]followingtheterminationofthisAgreement,EmployeeshallnotengageinanybusinessthatiscompetitivewithEmployer'sbusiness.

5.2EmployeeagreestorefrainfromsolicitinganyEmployercustomers,clients,oremployeesduringtheNon-CompetePeriod.

5.3TheNon-CompeteClauseshallnotapplytoanybusinessinwhichEmployeewasengagedpriortothedateofthisAgreement.

6.CONFIDENTIALITY

6.1EmployeeagreestomaintaintheconfidentialityofallproprietaryinformationandtradesecretsofEmployerduringtheEmploymentTermandforaperiodof[ConfidentialityPeriod]followingtheterminationofthisAgreement.

6.2EmployeeagreesnottouseanysuchconfidentialinformationforanypurposeotherthantheperformanceofEmployee'sdutiesunderthisAgreement.

7.INDEMNIFICATION

7.1EmployershallindemnifyandholdharmlessEmployeeagainstanyandallclaims,actions,liabilities,damages,losses,andexpensesarisingoutoforresultingfromEmployee'sperformanceofdutiesunderthisAgreement.

8.GENERALPROVISIONS

8.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.2ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothparties.

8.3IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.

8.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.EMPLOYEE'STERMINATIONANDCONSEQUENCES

6.1EmployermayterminateEmployee'semploymentforanyreason,withorwithoutcause,uponproviding[NoticePeriod]ofwrittennotice.

6.2IntheeventofEmployee'stermination,Employershallbeentitledtoreceivearefundofanypre-paidcompensationforunusedservices.

7.NON-COMPETITION

9.INDEMNIFICATION

10.GENERALPROVISIONS
