COMPENSATIONANDBENEFITS

GENERALPROVISIONS

6.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

6.2ThisAgreementmaybeamendedonlybyawrittenagreementexecutedbybothParties.

5.2TheThirdPartyshallberesponsibleforthequalityandtimelinessoftheservicesprovided.

OBLIGATIONSOFTHEEMPLOYEE

6.1TheEmployeeshallperformthedutiesandresponsibilitiesasoutlinedinthejobdescriptionattachedheretoasExhibitA.

6.2TheEmployeeshallcomplywithallapplicablelaws,regulations,andpoliciesoftheEmployer.

6.3TheEmployeeshallmaintainconfidentialityofallconfidentialinformationoftheEmployer.

6.4TheEmployeeshallnotengageinanycompetingactivitiesordiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

RESTRICTIONSONTHEEMPLOYEE

7.1TheEmployeeagreesnottoengageinanycompetingactivitiesduringtheTermofthisAgreementorforaperiodof[Post-TerminationRestrictionPeriod]followingtheterminationofthisAgreement.

7.2TheEmployeeagreesnottodiscloseanyconfidentialinformationoftheEmployertoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

DEFAULTANDREMEDIES

8.1IntheeventofabreachofthisAgreementbytheEmployeeortheThirdParty,thenon-breachingPartyshallhavetherighttoterminatethisAgreementimmediately.

8.2Upontermination,thebreachingPartyshallbeliableforanyandalldamagessufferedbythenon-breachingPartyasaresultofthebreach.

GENERALPROVISIONS

OBLIGATIONSOFTHEEMPLOYER

5.2TheEmployershallensurethattheEmployee'srightsandbenefitsasdescribedinthisAgreementarehonored.

5.3TheEmployershallhavetherighttoreviewandmodifythejobdescriptionandresponsibilitiesoftheEmployeeasnecessarytomeettheEmployer'sbusinessneeds.

LIMITATIONSANDREMEDIES

6.1TheEmployeragreesnottoengageinanyactionthatmaynegativelyimpacttheEmployee'sperformanceoremployment.

6.2TheEmployeragreestoprovidetheEmployeewithawrittennoticeofanychangestotheEmployee'sjobdescriptionorresponsibilities.

6.3IntheeventofabreachofthisAgreementbytheEmployer,theEmployeeshallhavetherighttoseekremedies,includingbutnotlimitedto,terminationoftheAgreementandcompensationforanydamagessuffered.
