1.2PartyBrepresentsandwarrantsthatitisalegallyestablishedentitywithfulllegalcapacitytoenterintothisContractandperformitsobligationsunderthisContract.

1.3PartyAandPartyBrepresentandwarrantthattheyhavetheauthoritytoenterintothisContractandthatthisContracthasbeenproperlyauthorizedandexecutedbytheirrespectivegoverningbodies.

1.4PartyAandPartyBrepresentandwarrantthattheyhavethenecessarytechnical,financial,andlegalresourcestoperformtheirobligationsunderthisContract.

OBLIGATIONS

2.1PartyAshallprovide[services/products]toPartyBinaccordancewiththespecificationsandtermssetforthinthisContract.

2.2PartyBshallpayPartyAtheagreed-uponcompensationfortheservices/productsprovidedbyPartyAinaccordancewiththepaymenttermssetforthinthisContract.

2.3PartyAshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisContract.

2.4PartyBshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisContract.

DELIVERYANDACCEPTANCE

3.1PartyAshalldelivertheservices/productstoPartyBinaccordancewiththedeliveryschedulesetforthinthisContract.

3.2PartyBshallinspectandaccepttheservices/productsdeliveredbyPartyAwithin[numberofdays]afterdelivery.

3.3Intheeventofanynon-conformitywiththespecificationsandtermssetforthinthisContract,PartyBshallnotifyPartyAwithin[numberofdays]afterthediscoveryofsuchnon-conformity.

3.4PartyAshallrectifyanynon-conformitynotifiedbyPartyBwithin[numberofdays]afterreceivingsuchnotification.

TERMANDTERMINATION

4.1ThisContractshallbeeffectivefromthedateofitsexecutionandshallremainineffectforaperiodof[numberofyears/months],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

4.2EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyatleast[numberofdays]priortotheterminationdate.

4.3IntheeventofamaterialbreachofthisContractbyeitherParty,thenon-breachingPartymayterminatethisContractimmediatelybyprovidingwrittennoticetothebreachingParty.

LIABILITY

5.1PartyAshallbeliableforanydirectdamagessufferedbyPartyBduetoitsbreachofthisContract.

5.2PartyAshallnotbeliableforanyindirect,special,orconsequentialdamagessufferedbyPartyBduetoitsbreachofthisContract.

5.3PartyBshallbeliableforanydirectdamagessufferedbyPartyAduetoitsbreachofthisContract.

5.4PartyBshallnotbeliableforanyindirect,special,orconsequentialdamagessufferedbyPartyAduetoitsbreachofthisContract.

CONFIDENTIALITY

6.1PartyAandPartyBagreetokeepconfidentialallinformationdisclosedtothembytheotherPartyinconnectionwiththisContract.

6.2TheconfidentialityobligationsunderthissectionshallsurvivetheterminationorexpirationofthisContract.

1.5PartyA,PartyB,andPartyCrepresentandwarrantthattheyhavethenecessarytechnical,financial,andlegalresourcestoperformtheirobligationsunderthisContract.

OBLIGATIONS

RIGHTSOFPARTYA

3.4PartyAshallhavetherighttorequestmodificationstothescopeofworkorservicesprovidedbyPartyC,subjecttomutualagreementandadjustmentofthecompensation.

INTERESTSOFPARTYA

4.1PartyAshallhavetherighttoreceiveinterestonanylatepaymentsfromPartyB,calculatedat[interestrate]perannumfromtheduedateuntilthedateofpayment.

4.2PartyAshallhavetherighttoclaimdamagesfromPartyBforanylossorexpenseincurredduetoPartyB'sfailuretocomplywiththepaymentterms.

OBLIGATIONSANDLIMITATIONSOFPARTYB

5.1PartyBshallcomplywiththepaymenttermssetforthinthisContractandshallmaketimelypaymentstoPartyAfortheservices/productsprovided.

5.2PartyBshallnotmakeanychangestothescopeofworkorservicesprovidedbyPartyCwithoutthepriorwrittenconsentofPartyA.

5.3PartyBshallnotdiscloseanyconfidentialinformationreceivedfromPartyAorPartyCtoanythirdpartywithoutthepriorwrittenconsentofPartyAorPartyC.

5.4PartyBshallindemnifyPartyAagainstanyclaims,damages,orlossesarisingfromPartyB'sbreachofthisContract.

OBLIGATIONSANDLIMITATIONSOFPARTYC

6.1PartyCshallperformitsobligationsunderthisContractwithduediligenceandinaccordancewiththehighestindustrystandards.

6.2PartyCshallnotsubcontractanypartoftheworkwithoutthepriorwrittenconsentofPartyA.

6.3PartyCshallmaintainappropriateinsurancecoveragetoprotectagainstanyliabilityarisingfromitsperformanceunderthisContract.

6.4PartyCshallpromptlynotifyPartyAofanychangesinitsbusinessorcircumstancesthatmayaffectitsabilitytoperformitsobligationsunderthisContract.

TERMINATION

7.1ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofamaterialbreachbytheotherParty.

7.2PartyAmayterminatethisContractforcauseifPartyBfailstomaketimelypaymentsorifPartyCfailstomeettheagreed-uponstandards.

LIABILITY

8.1PartyAshallnotbeliableforanyindirect,special,orconsequentialdamagessufferedbyPartyBorPartyCduetoitsbreachofthisContract.

8.2PartyBandPartyCshallbeliableforanydirectdamagessufferedbyPartyAduetotheirbreachofthisContract.

CONFIDENTIALITY

9.1PartyA,PartyB,andPartyCagreetokeepconfidentialallinformationdisclosedtothembytheotherPartiesinconnectionwiththisContract.

9.2TheconfidentialityobligationsunderthissectionshallsurvivetheterminationorexpirationofthisContract.

INTERESTSOFPARTYB
