1.SubjectMatteroftheContract

2.Commission

5.IntellectualPropertyRights

5.2Buyershallnotcopy,modify,distribute,orotherwiseusetheintellectualpropertyrightswithoutthepriorwrittenconsentofSeller.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedto[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.

7.EntireAgreement

8.Amendments

8.1AnyamendmenttothisContractshallbemadeinwritingandshallbesignedbybothparties.
