1.5"PaymentTerms"meansthetermsandconditionsforpaymentasagreeduponbybothparties.

**Article2:ProductandQuality**

2.1TheGoodsshallbeasdescribedintheattachedProductList,whichformsanintegralpartofthisContract.

2.2TheSellerwarrantsthattheGoodsshallcomplywiththequalitystandardsandspecificationsasagreeduponintheattachedProductList.

**Article3:Shipment**

3.1TheSellershalldelivertheGoodstotheBuyeratthedesignatedportofshipmentasspecifiedintheattachedProductList.

3.2TheSellershallensurethattheGoodsareloadedontothevesselandthatallnecessaryshippingdocumentsarepreparedanddeliveredtotheBuyerpriortotheShipmentDate.

3.3TheBuyershallbearallcostsandrisksoftransportationfromtheportofshipmenttothefinaldestination.

**Article4:Payment**

4.1TheBuyershallmakepaymenttotheSellerinaccordancewiththePaymentTermsasagreeduponinArticle1.

4.2ThepaymentshallbemadeinUSDollars(USD)only.

4.3TheBuyershallissuealetterofcredit(LC)infavoroftheSeller,whichshallbeirrevocableandconfirmedbyareputablebank.

**Article5:WarrantiesandLiability**

5.1TheSellerwarrantsthattheGoodsshallbefreefromanydefectsinmaterialsandworkmanship.

5.2TheSellershallbeliableforanylossordamagetotheGoodscausedbytheSeller'snegligenceorfailuretocomplywiththetermsandconditionsofthisContract.

5.3TheBuyershallbeliableforanylossordamagetotheGoodscausedbytheBuyer'snegligenceorfailuretocomplywiththetermsandconditionsofthisContract.

**Article6:DisputeResolution**

6.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.

6.2Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).

**Article7:GeneralProvisions**

7.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

7.2ThisContractmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothparties.

7.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinArticle6.

2.2TheThirdPartyshallhavetheauthoritytoreceiveandhandlepaymentsonbehalfoftheSellerandtoforwardthepaymentstoPartyAaspertheagreedschedule.

2.3TheThirdPartyshallberesponsibleforanycostsassociatedwithitsservices,whichshallbedeductedfromtheproceedsreceivedfromPartyB.

**Article3:RightsandObligationsofPartyA**

3.1PartyAshallhavetherighttorequestandreceivefromtheSeller,uponfulfillmentofthePaymentTerms,theGoodsasspecifiedintheattachedProductList.

3.2PartyAshallhavetherighttoterminatethisContractintheeventofabreachofanymaterialtermbyeitherPartyBortheThirdParty,providedthatPartyAgiveswrittennoticetothepartiesconcerned.

3.3PartyAshallhavetherighttoseekarbitrationorlegalremediesforanybreachofthisContractbyPartyBortheThirdParty.

**Article4:RightsandObligationsofPartyB**

4.1PartyBshalldelivertheGoodstotheThirdPartyatthedesignatedportofshipmentasspecifiedintheattachedProductList.

4.2PartyBshallberesponsibleforthequalityandconditionoftheGoodsatthetimeofshipmentandshallprovidePartyAwithawarrantyagainstdefectsinmaterialsandworkmanship.

4.3PartyBshallcomplywithallapplicablelawsandregulationsinthemanufacture,sale,andshipmentoftheGoods.

5.1TheThirdPartyshallhavetherighttoreceivepaymentsfromPartyBandtoensurethatsuchpaymentsareforwardedtoPartyAinaccordancewiththeagreedschedule.

5.2TheThirdPartyshallhavetherighttoretainaportionofthepaymentsasafeeforitsservices,whichshallbeagreeduponinadvance.

5.3TheThirdPartyshallberesponsiblefortheaccuracyoftheinformationprovidedtoPartyBandshallensurethatalltransactionsareconductedingoodfaith.

**Article6:BreachofContract**
