6、ipurpose 目的1. the purpose of this mou is to provide a framework of cooperation and facilitate collaboration本mou的目的為各方在此項(xiàng)目上非排他性（或排他性的，兩者選一個(gè)）的提供合作框架和促進(jìn)合作。 article iiareas of cooperation合作領(lǐng)域2.1 the parties agree to cooperate in the following areas of activity: 各方同意在以下領(lǐng)域進(jìn)行合作：a. the parties that will und

9、hinese and other international companies who are committed to contribute to sustainable development in the scope of cooperation.與有意向的有潛力的在合作范圍內(nèi)的促進(jìn)可持續(xù)發(fā)展的中國(guó)和其他國(guó)際公司建立商業(yè)聯(lián)系。2.2 the parties agree that this present cooperation is built on mutual trust among the partiesand that none of the parties shall do

11、作過(guò)程中都要誠(chéng)實(shí)坦誠(chéng)交換信息。 article iiiconsultation and exchange of information咨詢與信息交換 3.1 the parties shall, on a regular basis, keep each other informed of and consult during theprogress and share information of and relating to the projects truly and accurately.各方應(yīng)定期就與有關(guān)項(xiàng)目有關(guān)的信息真實(shí)且準(zhǔn)確地進(jìn)行通知、商討和信息共享。3.2 consultat

13、he parties shall at any time that deemed appropriate to request and convenemeetings for reporting and/or reviewing the progress of activities being carried out under this present mou and for planning and implementing future activities.各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r(shí)候，要求召開(kāi)會(huì)議，匯報(bào)和/或回顧根據(jù)本mou所開(kāi)展活動(dòng)的進(jìn)展，并計(jì)劃和實(shí)施未來(lái)的活動(dòng)。 3.4 the

14、parties may invite technical teams to attend meetings with the scope of cooperationgovernment officials for negotiations of the projects and implementation. invitations shall be made in reasonable time (with one month prior notice) and take into account of the work schedules of the parties.各方可以邀請(qǐng)技術(shù)團(tuán)

15、隊(duì)參加與合作范圍內(nèi)的政府的會(huì)議來(lái)商討項(xiàng)目和實(shí)施。邀請(qǐng)應(yīng)提前做好（提前一個(gè)月）并要考慮工作日程。 article ivimplementation of the mou本mou的實(shí)施 4.1 in order to implement the specific activities envisioned hereunder, the parties shall4 conclude transaction agreements, cost-sharing agreements etc. which shall specify the scope of work and costs or expen

16、ses, sales revenue or profit relating to the activity and how they will to be shared and/or borne by the parties. the cost-sharing agreements shall specify in detail the expenses need to be invested during the whole process of the projects, including but not limited to the preparation, operation and

17、 finalization of the projects.為了實(shí)施下文約定的具體行動(dòng)，各方應(yīng)簽訂交易協(xié)議、費(fèi)用共擔(dān)協(xié)議等，明確與上述具體行動(dòng)有關(guān)的工作范圍、成本、銷(xiāo)售收入或利潤(rùn)及其如何分配和承擔(dān)。成本共擔(dān)協(xié)議應(yīng)明確項(xiàng)目全程所投入的詳細(xì)成本，包括但不限于準(zhǔn)備、運(yùn)營(yíng)直至終止。 4.2 the costs of public relations activities relating to this mou, that are not otherwiseaddressed by a specific cost-sharing agreement concluded hereunder, will

18、be the responsibility of each party independently.本mou下公共關(guān)系活動(dòng)的費(fèi)用，如果沒(méi)有簽署的協(xié)議規(guī)定明確哪方承擔(dān)，應(yīng)由各方獨(dú)自承擔(dān)。 4.3 the parties have no intention to form any partnership, agency or authorized representativerelationship among them and no such relationships are to be formed by virtue of this mou. none of the parties sha

19、ll enter into any contract or commitment on behalf of the other party(ies) the parties shall be solely responsible for making all payments to and on behalf of its own account, as provided under this mou and/or cost-sharing agreements concluded hereunder.各方之間無(wú)意設(shè)立任何合伙、代理或授權(quán)代表關(guān)系，本mou不設(shè)立上述關(guān)系。任何一方均不應(yīng)代表其他

20、方簽署任何合同或作出承諾，只能代表自身支付本mou項(xiàng)下或成本共擔(dān)協(xié)議項(xiàng)下的款項(xiàng)。 4.4 each party shall be responsible for its own acts and omissions in connection with this mouand its implementation.各方應(yīng)對(duì)本mou和實(shí)施中自己的行為或義務(wù)負(fù)責(zé)。 article vuse of name and logo etc.名字或商標(biāo)等的使用 5.1 none of the parties shall use the name, logo, trade names or trademark

21、s of the other partiesor its subsidiaries, and/or affiliates, or any abbreviation of the aforesaid, for whatever purposes and in whatever manners, whether or not it is in connection with its business or otherwise, unless express prior written approval of the other parties are obtained in each case o

22、f use with terms to be agreed.5 除非按照約定經(jīng)一方事先書(shū)面允許，任何一方不得為任何目的、以任何形式使用其它方和/或其子公司、附屬公司的名稱(chēng)、標(biāo)識(shí)、商號(hào)或商標(biāo)，不論該使用行為是否與其自身業(yè)務(wù)有關(guān)。5.2 both parties acknowledge that they are familiar with dynamic political environment in thescope of cooperation and that none of the parties shall be associated, whether directly or ind

23、irectly and in whatever manner, with any political or sectarian causes in the scope of cooperation. if any party did have any such association and/or causes in the scope of cooperation, that party shall inform the other parties immediately without delay. the parties hereby agree that when one party

24、has any political association and/or causes in the scope of cooperation, this shall be a legitimate reason for early termination, without compensation, by the other parties of this mou and of all other transaction agreements, cost-sharing agreements etc.雙方都熟悉合作范圍內(nèi)的國(guó)家的動(dòng)態(tài)政治環(huán)境，各方都沒(méi)有直接或間接或以任何形式，與合作范圍內(nèi)的的

25、政治或宗派事件相關(guān)聯(lián)。如果任何一方有關(guān)聯(lián)，該方應(yīng)立即通知其他方。各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)，本mou的其他方可視為提前終止本mou、其他貿(mào)易協(xié)議或成本共擔(dān)協(xié)議等的正當(dāng)理由，并無(wú)賠償責(zé)任。 article viduration, termination, modification有效期，終止與修改 6.1 the proposed cooperation under this mou is exclusive and shall have duration of an initialperiod of year, commencing _(dates) unless

28、ensure that the activities carried out under the mou, the cost-sharing agreements and project documents will be promptly and orderly terminated.如果本mou終止，根據(jù)本mou簽訂的成本共擔(dān)協(xié)議和項(xiàng)目文件應(yīng)同時(shí)按照該等協(xié)6 議和文件約定的條款予以終止。在此情形下，各方應(yīng)采取各種必要措施來(lái)確保根據(jù)本mou、成本共擔(dān)協(xié)議和項(xiàng)目文件開(kāi)展的活動(dòng)迅速且有序地予以終止。 6.3 this mou shall be amended by mutual agreemen

30、ed by registered mail, courier, personal delivery or fax (email not accepted) as the case may be, to the party at the address set forth below in this mou or as from time to time updated by each party. notice given as herein provided shall be deemed to have been served (i) in the case of personal del

31、ivery at the time when the notice is left at the addressees address as stated herein below or its last known address; or (ii) in the case of delivery by registered mail or courier on the seventh (7th) day after posting; or (iii) upon confirmation (as generated by the fax machine) of correct transmis

33、icle viiigoverning laws and jurisdiction and settlement of disputes7 8.1 this mou is legally binding to the parties.本mou對(duì)各方有法律約束力。8.2 this mou shall be governed and construed in accordance to the laws of peoples republicof china.本mou受中華人民共和國(guó)法律管轄。8.3 the parties shall use their best efforts to enter

34、into friendly negotiation and settlementamicably of any dispute, controversy or claim arising out of this mou (the “dispute”) within sixty (60) days from the date that one party sending requests for such a negotiation. if the parties amicably settled the dispute by themselves, they shall enter into

35、a settlement agreement in writing and to be duly executed by the parties. if the parties genuinely attempted negotiation but failed to reach any settlement terms, either party may submit the dispute for arbitration as stated herein below.各方應(yīng)在一方發(fā)出要求協(xié)商的請(qǐng)求之日起60日the arbitral tribunal shall have no autho

36、rity to award punitive damages. the parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. the parties further agree the followings:各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應(yīng)當(dāng)根據(jù)彼時(shí)有效的聯(lián)合國(guó)國(guó)際貿(mào)易法委員會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁庭無(wú)權(quán)判處懲
