SHlPMENT: The Sellers shall ship the goods within the shipment time from the port of shipment to

10、 the destination. Transshipment is allowed. Partial shipment is not allowed. 運(yùn)輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。 11. SHlPPlNG ADVlCE: The sellers shall, immediately upon the completion of the loading of the goods , advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, g

11、ross weight, name of vessel and date of delivery etc. ln case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers. 裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、 交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方。 如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。 12. GUARANTEE OF QUALlTY: The Sellers guarantee

12、that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused , and complies in all respects with the quality and specification stipulated in this Contract. 質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合 同的要求。 13. CLAlMS: Damages occur in the course of op

13、eration by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by lnspection Certificate issued by the State Administration for Entry-Exit lnspection and Quarantine of P.R.C. .The C

14、ertificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s).

15、If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers. 索賠：由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方， 并同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的 質(zhì)量問題、 全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方的

16、上述索賠后一 個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。 14. FORCE MAJEURE: The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers i

17、mmediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances

18、the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. 不可抗力：對于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān) 責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng) 局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使 貨物的發(fā)運(yùn)。 15. LATE DELIVERY AND PENALTY:

19、Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying b

20、ank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten wee

21、ks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. 遲交貨和罰金：如果賣方未能按合同規(guī)定及時(shí)交貨(除了本合同 15 條款所言的不可抗力 )，買方同意在賣方 付罰金的前提下遲交貨。 罰金的金額不超

22、過遲交貨的合同貨物部分的價(jià)值的5% ，罰金按每 7日0.5% 計(jì)算， 少于 7 日的增加天數(shù)按 7 日計(jì)。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買方有權(quán)取消該合 同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。 16. TERMINATION OF CONTRACT: Terminate contract by through negotiation by both sides. Sellers should give back mould that have paid, The transport costs of give back mould, to be covered by buyers. 合同終止：經(jīng)雙方協(xié)商終止合同的。賣方應(yīng)將買方已付費(fèi)的模具全部歸還買方，歸還模具產(chǎn)生的運(yùn)輸費(fèi) 用，由買方支付。 17.
