7、endispatchedaccordingtothecontracttermsbyexpressairmail.賣方有關(guān)另外用特快郵寄壹套單據(jù)給開證申請人的證明書及郵寄底單。9. CertificateofNoWoodenPackingorCertificateofFumigation.非木包裝聲明或熏蒸證。Inaddition，theSellersshall，withinthreedaysaftershipment，sendbyexpressairmailoneextrasetsoftheaforesaiddocumentsdirectlytotheBuyers.另外，賣方應(yīng)于貨物發(fā)運后三天

8、內(nèi)，用特快專遞寄送一套上述的單據(jù)給買方。11. SHIPMENT：TheSellersshallshipthegoodswithintheshipmenttimefromtheportofshipmenttothedestination.Transshipmentisallowed.Partialshipmentisnotallowed.運輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運到目的港，不許分批，允許轉(zhuǎn)運。12. SHIPPINGADVICE：Thesellersshall，immediatelyuponthepletionoftheloadingofthegoods，advisebyfax

9、thebuyersoftheContractNo.，modity，quantity，invoicedvalue，grossweight，nameofvesselanddateofdeliveryetc.Incaseduetothesellersnothavingfaxedintime，alllossescausedshallbebornebythesellers.裝運通知：賣方應(yīng)于裝貨后，立即用將有關(guān)合同號、貨物、數(shù)量、發(fā)票價值、毛重、運輸工具名稱、交貨日期、貨物預(yù)計抵達日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。13. GUARANTEEOFQUALITY：The

10、SellersguaranteethattheCommodityhereofismadeofthebestmaterialswithfirstclassworkmanship，brandnewandunused，andpliesinallrespectswiththequalityandspecificationstipulatedinthisContract.Theguaranteeperiodshallbe12monthscountingfromthedateofsigningtheAcceptanceReportofthismachineattheend-user'ssite.質(zhì)

11、量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為最終用戶簽定驗收報告后12個月內(nèi)。14. CLAIMS：Within90daysafterthearrivalofthegoodsatdestination，shouldthequality，specification，orquantitybefoundinunconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancepanyornottheownersofthevesselareliab

12、le，theBuyersshall，onthestrengthoftheInspectionCertificateissuedbytheStateAdministrationforEntry-ExitInspectionandQuarantineoforthesiteinspectionreportissuedbythesellersengineer，havetherighttoclaimforreplacementwithnewgoods，orforpensation，andallexpensesshallbebornebytheSellers.Asregardsquality，theSel

13、lersshallguaranteethatifwithin12monthsfromthedateofsigningtheacceptancereportofthismachine，damagesoccurinthecourseofoperationbyreasonofinferiorquality，badworkmanshiportheuseofinferiormaterials，theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissued

14、bytheStateAdministrationforEntry-ExitInspectionandQuarantineof.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers，inaccordancewiththeBuyers'claimshallberesponsiblefortheimmediateeliminationofthedefect，pleteorpartialreplacementofthemodityorshalldevaluatethemodityaccordingtothestate

15、ofdefect，.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim，theclaimshallbereckonedashavingbeenacceptedbytheSellers.索賠：貨物抵達目的地后90天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符，買方應(yīng)該依據(jù)中華人民共和國出入境檢驗檢疫局的檢驗報告或者是賣方的調(diào)試人員在安裝調(diào)試時出具的報告，有權(quán)要求替換或補償，所有的費用均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗收報告后12個月內(nèi)；由于貨物內(nèi)在的質(zhì)量、差的做工、選材不

16、當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時隨附中國商檢局出具的檢驗報告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進行折價；如果賣方在收到買方的上述索賠后一個月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。15. FORCEMAJEURE：TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturin

17、gorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter，theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Un

18、dersuchcircumstancestheSellers，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks，theBuyersshallhavetherighttocanceltheContract.不可抗力：對于制造或裝船運輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)

19、局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運。如果事故持續(xù)十周，買方有權(quán)取消該合同。16. LATEDELIVERYANDPENALTY：ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract，withexceptionofForceMajeurecausesspecifiedinClause15ofthisContract.TheBuyersshallagreetopostponethedeliveryonconditionthattheSellersagre

20、etopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.ThePenalty，however，shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat%foreverysevendays.Odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanth

21、etimeofshipmentstipulatedintheContract，theBuyersshallhavetherighttocancelthecontractandtheSellers，inspitethecancellation，shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.遲交貨和罰金：如果賣方未能按合同規(guī)定及時交貨，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價值的5%，罰金按每7日%計算，少于7日的增加天數(shù)按7日計。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運，買方有權(quán)取消該合同，除此之外
