Party C should know and agree that Party A is entrusted by Party B to sign this agreement with Party C.三、權(quán)利義務(wù)甲、乙、丙三方同意：Party A , B and C agree that:1 .如丙方未根據(jù)采購/銷售?外貿(mào)合同?的規(guī)定將貨物/貨款交付至甲方,甲方無義務(wù)按進/出口代理協(xié)議的規(guī)定向乙方交付任何貨物/貨款,且免除任何有關(guān)延遲/拒交付的違約責任.1.1 n case, Party C breaches the Foreign Trade contract that

5、 couldn ' t delivery the goods/pay the payment to Party A , Party A has no obligation to delivery the goods/pay for the payment to Party B according to import/export agency agreement, and exempts the responsibility for breach of contract about delayed/refused the goods/payment.2 .甲方對貨物的質(zhì)量和數(shù)量不承當任

6、何責任.如乙、丙方對貨物質(zhì)量和數(shù)量有任何異議,應(yīng)自行雙方協(xié)商處理,而無權(quán)依外貿(mào)合同向甲方追究任何違約責任.3 . Party A won ' t undertake any responsibility for the quality and quantity ofgoods. If Party B and C has any objection to the quality and quantity of goods, who should negotiate each other , and shall not be entitled to investigate any liab

7、ility to Party A in accordance with the Foreign Trade Contract.4 .乙/丙方保證所交付給甲方的貨物在產(chǎn)地、規(guī)品、數(shù)量等方面與?外貿(mào)合同?的規(guī)定 嚴格一致；如有不符,乙方應(yīng)承當所有法律責任并賠償甲方所有損失.5 .Party B/C should ensure that the delivery goods including the origin,size , quantity keep the sameas terms of the Foreign Trade Contract. Otherwise , Party B/C sh

8、all bear all legal responsibility and compensate all loss to Party A.6 .甲方作為乙方?外貿(mào)合同?簽訂代理人,不對?外貿(mào)合同?的實際履行承當責任.因 乙方或丙方違約導(dǎo)致的損害責任由違約方承當,甲方并有權(quán)要求違約方承當給甲方造成的損害責任.7 .Party A entrusted by Party B as agent of Foreign Trade Contract, shall haveno liability for the actual performance of the Foreign Trade Contrac

9、t.The damage caused by Party B or C default shall be borne by the breaching Party , and Party A has the right to require the breaching Party to bear the liability of the damage to the Party A四、其他約定1 .如本協(xié)議與?外貿(mào)合同?不符,以本協(xié)議的規(guī)定為準.1.1 f the rules of this agreement is not conformity with Foreign Trade Contr

10、act , will be subject to the provisions of this agreement.2 .協(xié)議應(yīng)使用英文和中文書寫,雙方來往的與協(xié)議有關(guān)的信函和其他文件應(yīng)用英文和中 文書寫.如果中英文之間有差異,應(yīng)以中文為準.3 .The agreement shall be written in both English and Chinese, correspondenceand other documents between all parties related with the agreement shall beWritten in both English and

If there are any discrepanciesbetween theChinese and English text , Chinese text shall be prevailed.4 .本協(xié)議履行之任何爭議,三方友好協(xié)商解決,協(xié)商不成,向甲方所在地有管轄權(quán)法院 訴訟解決,合同履行及爭議解決適用中華人民共和國法律.5 .Any dispute of this agreement , the three parties should have friendly consultations , if do not talk things over , which should go to Party A local court with jurisdiction litigation , the contract and dispute resolution apply to the law of the People's Rep
