3、車駕駛技術(shù)教研室，魯爾大學(xué)波鴻大廈IB1/151，大學(xué)路150 號， 44801 ，波鴻，德國(以下簡稱“Party B ” )Article 1 Scope of Work第一條 工作范圍1.1 Party B provide Party A with the technical support of 8-Speed Automatic Transmission Project.乙方協(xié)助甲方開展研發(fā)新型8 速自動(dòng)變速箱項(xiàng)目提供技術(shù)支持。1.2Party A will pay Party B a price of 14,000?（Say: Fourteen Thousands EuroOnly

4、 ） for his technical support of 8AT research and development.甲方同意支付乙方開展研發(fā)新型8 速自動(dòng)變速箱項(xiàng)目提供技術(shù)支持的費(fèi)用，總計(jì)14,0 歐元。1.3 The scope of this technical support includes:此技術(shù)支持包括以下內(nèi)容：a.Delivery of gear damage analysis.提供齒輪損傷分析；b.Delivery of shafts and roller bearings.提供軸與滾針軸承；c.Delivery of FEM calculation.提供FEM 計(jì)算數(shù)據(jù)

5、；d.Detail optimization for standard construction of 8AT. 8AT標(biāo)準(zhǔn)結(jié)構(gòu)的細(xì)節(jié)優(yōu)化。Article 2 Liabilities of Party B乙方義務(wù)21 Party B shall provide to Party A the complete set of documents and technicaldocumentations to be used for the manufacture of 8-Speed Automatic Transmission Project products in Party A's f

Such documents and technical documentations shall correctly direct the manufacture.乙方向甲方提供在甲方工廠生產(chǎn)新型8 速自動(dòng)變速箱產(chǎn)品的全部完整工藝文件和資料，能正確指導(dǎo)產(chǎn)品的生產(chǎn)。2. 2 The related technical standards of 8-Speed Automatic Transmission Project shall be submitted by Party B at the same time the technical documentation is pr

7、ovided.乙方在提供技術(shù)資料的同時(shí)，還要提供生產(chǎn)新型8 速自動(dòng)變速箱產(chǎn)品全部技術(shù)標(biāo)準(zhǔn)。2. 3 The technical documentation covering the manufacture of 8-Speed Automatic Transmission Project shall be complete.乙方向甲方提供生產(chǎn)新型8 速自動(dòng)變速箱產(chǎn)品產(chǎn)品的全部專有技術(shù)資料必須是完整的技術(shù)資料。Article 3 Price and Payment第三條 價(jià)款與支付3.1 The total price hereof is EURO 14,000 (fourteen thousa

8、nd Euros) which excludes taxes.本合同總價(jià)格為14,000 歐元（壹萬肆仟?dú)W元，不含稅）。3.2 Payment from Party A to Party B is due within 30 days after the contract signature and shall be paid in full amount in Euro.甲方在合同簽訂后的30 天內(nèi)，應(yīng)支付乙方所有款項(xiàng)，而且應(yīng)當(dāng)按規(guī)定貨幣歐元支付。3.3Payment Method: Telegraphic Transfer支付方式：電匯Article 4. Tax第四條稅費(fèi)4.1 Any

9、tax relating to the implementation of the contract imposed by Party A's country shall be paid by Party B.凡因履行本合同而發(fā)生在甲方國家以外的一切稅費(fèi)，均由乙方承擔(dān)。Article 5. 第五條 Arbitration仲裁5.1 Any dispute arising from the implementation of the contract shall be settled through friendly consultations. If no settlement can

10、 be reached, both parties shall agree to submit the dispute for arbitration.凡因執(zhí)行合同所發(fā)生的一切爭議，均由雙方通過友好協(xié)商的辦法解決。如果協(xié)商仍不能解決，則雙方同意將爭議提交仲裁。5.2 The arbitration shall take place in the Shenzhen Office of the China Council for the Promotion of International Trade according to its rules and procedures.仲裁地點(diǎn)在深圳中國國

11、際貿(mào)易促進(jìn)委員會仲裁機(jī)關(guān)，仲裁程序按中國貿(mào)促會仲裁機(jī)關(guān)的程序進(jìn)行仲裁。Article 6 Confidentiality第六條 保密All drawings ， designs ， specifications and all other technical information made available under this Contract by Party B shall be kept strictly confidential by Party A who shall not sell ，transfer or divulge it in any manner to anyon

12、e except those of itsown employees who will be using it in the manufacture of the Products ，without prior written consent of Party B. Party A may, however ， supply such technical information to its subcontractor to the extent necessary for such subcontractor to manufacture parts of Contract Products

13、 ， pro-viding that Party A shall have suchsubcontractor agree ，in writing ，to hold such technical information strictly in confidence.乙方根據(jù)本合同所提供的一切圖紙、設(shè)計(jì)、說明書及其他技術(shù)資料，甲方均須嚴(yán)格保密; 未得到乙方的書面同意，不得以任何方式出售、轉(zhuǎn)讓 或泄露給任何人，但不包括甲方為生產(chǎn)合同而使用技術(shù)資料的雇員。但是，甲方可以向分包合同人提供生產(chǎn)合同產(chǎn)品部件所必須的技術(shù)資料，分包人須書面保證對其所得到產(chǎn)技術(shù)資料承擔(dān)嚴(yán)格的保密義務(wù)。Article 7. Va

14、lidity of the Contract第七條 合同有效期Validity of the Contract: From Feb. 19. 2013 to Feb. 18. 2014合同有效期：自2013 年 2 月 19 日始，至2014 年 2 月 18 日止Article 8 Language 第八條 語言This contract is prepared in English and Chinese.
