14、thedesign,manufacture,assembly,installation,test,inspection,adjustment,operationandmaintenanceandmanagementoftheContractProducts.Thename,model,specificationsandtechnicalindicesoftheContractProductsaredetailedinAnnex_II_totheContract.2.2 TheLicensorhasagreedtogranttheLicenseethelicenseandrighttodesig

15、n,manufacture,use,sellinPRCtheContractProductsandexporttheContractProducts.Thelicenseandrightarenon-exclusiveandnon-transferable.2.3 TheLicensorhasagreedtoprovidethelicenseewiththeTechnicalDocumentationandSoftwarerelatedtotheContractProducts.Thecontents,copiesandtimeofdeliveryoftheTechnicalDocumenta

16、tionandSoftwarearedetailedinAnnexVandAnnexVItotheContract.2.4 TheLicensorhasagreedtodispatchhistechnicalpersonneltotheContractFactory,forTechnicalServices.ThespecificcontentsandrequirementsfortheTechnicalServicesaredetailedinAnnexIXtotheContract.2.5 TheLicensorhasagreedtogivetheLicenseespersonneltec

17、hnicaltraininginLicensorsfactoriesandattheContractfactory,toensurethattheLicenseepersonnel;shallmastertheabovetechnicalknow-knowtransferredtotheLicensee.ThespecificcontentsandrequirementsoftechnicaltrainingaredetailedinAnnexXtotheContract.2.6 TheLicensorhasagreed,upontherequestoftheLicenseeforaperio

18、dof10(ten)yearsafterthedateofvalidityoftheContract,tosupplytheLicenseeatthemostfavorablepricewiththeparts,components,rawmaterialsandaccessorieswhicharenecessaryformanufacturingthecontractProductsunderaseparatecontracttobesignedinduetime.2.7 TheLicensorhasagreed,upontherequestoftheLicenseeforaperiodo

19、f10(ten)yearsafterthedateofvalidityoftheContract,tosupplytheLicenseeatthemostfavorablepricewithequipmentandsoftwarewhicharemadeordevelopedbytheLicensorandarenecessaryformanufacturingtheContractsoftwarewhicharemadeordevelopedbythethirdpartyandarenecessaryformanufacturingtheContractProducts.2.8 TheLic

20、ensorhasagreedtogranttheLicenseethelicenseandrighttouse,onthecontractProductsmanufacturedbythecontractFactory,theword“MadeinCunderlicenseof“followedbyNameoftheLicensor,attheoptionoftheLicensee,providedtheContractProductscanmeetthetechnicalandqualityrequirementasspecifiedinAnnexIIoftheContract.ARTICL

21、E 3 CONTRACTPRICE3.1 ThetotalContractprice,whichisbasedonthecontentsandscopestipulatedinArticle2totheContractandtheLicensorfuslfillmentofhisobligationsundertheContract,shallbeDEM,(SAY:DEUTSCHMARKONLY)detailsasfollows:3.1.1 PriceforTechnicalKnow-how:DEM(SAY:DEUTSCHMARKONLY).Thebreakdownpricesofthetec

24、heI.B.R.D.LoanNo.forthepricefortheTechnicalKnow-how,obtainedfromtheWorldBankopenedinfavoroftheLicensor.4.2 TheLicenseeshallwithinthirty(30)workingdaysaftereffectivenessoftheContract,openanirrevocableletterofcreditbytheBankofChina,BeijinginfavoroftheLicensor,inabankinhiscountrynominatedbytheLicensora

25、ndacceptedbytheLicensor,forandamountequivalenttothetotalContractprice,theletterofcreditshallpermitpaymentsasstipulatedinArticle PaymentforthePricefortheTechnicalKnow-how4.3.1 10%(tenpercent)ofthetotalpriceforthetechnicalknow-howunderArticle3, namelyDEM(SAY:DEUTSCHMARKONLY)shallbepaidaftertheL

26、icensorhaspresentedthefollowingdocumentsprovidedtheyareinconformitywiththestipulationsoftheContract.A. OnePhotostatcopyofvalidexportlicenseissuedbytherelevantauthoritiesoftheLicensorsofLicensorssubcontractorscountry,oronecopyoftheletterissuedbytherelevantauthorityoftheLicensorcosuntrystartingthatthe

OneoriginalandonecopyoftheirrevocableletterofguaranteeissuedbytheLicensorsBankforasumof10%ofthetotalpriceofforthetechnicalkn-ohwowinfavoroftheLicensee,ThespecimenoftheletterofguaranteeisdetailedinAnnexXIItothecontract.C. Fourcopiesoftheproformalinvoicecoveringtheto

37、dbyreasonsofdefaultbytheLicensee.ARTICLE 5 DELIVERYOFTHETECHNICALDOCUMENTATIONANDSOFTWARE5.1 TheLicensorshalldelivertotheLicenseetheTechnicalDocumentationandSoftwareatBeijingAirportinaccordancewiththecontents,copiesandtimestipulatedinAnnextotheContract.TheriskoftheTechnicalDocumentationshallbetransf

38、erredfromtheLicensortotheLicenseeafteritsarrivalatBeijingAirport,China.5.2 ThedatastampedbyBeijingAirport,ChinashallbetheactualdateofdeliverytheTechnicalDocumentationandSoftware.5.3 TheLicensorshall,withintwo(2)workingdays,afterdispatchingeachbatchoftheTechnicalDocumentationand/orSoftware,informtheL

39、icenseeandContractFactorybytelexorfaxoftheContractnumber,numberofparcels,weight,flightandexpectedarrivaldate.Atthesametime,theLicensorshallairmailtotheLicenseeandtheContractFactoryeachtwocopiesoftheairwaybillandthedetailedlistoftheTechnicalDocumentation/Software.5.4 Incaseofanyloss,damagesorshortage

40、causedtotheTechnicalDocumentationandSoftwareduringthetransportation,theLicensorshallmakesupplementaryorreplaceabledeliverytotheLicenseewithin45(forty-five)daysafterreceivingtheLicenseeswrittennoticewithoutanycharges.5.5 TheTechnicalDocumentationandSoftwareshallbepackedinstrongcasessuitableforlongdis

45、ement.ARTICLE 6 TECHNICALSERVICEANDPERSONNELTRAINING6.1 TheLicensorshallsendhisskilled,healthyandcompetenttechnicalpersonneltotheContractFactoryoftheLicenseetoprovideTechnicalServiceonsiteinaccordancewiththestipulationsoftheContract.Thestipulation,thenumberofpersonnel,specialty,task,contentanddurati

46、oninPRCaredetailedinAnnextotheContract.6.2 TheLicenseeshallprovideassistanceforentryandexitvisa,workandlifeinPRCfortheLicensorsTechnicalServicepersonnel.ThetreatmentconditionsoftheLicensorstechnicalpersonnelinPRCaredetailedninneAxtotheContract.6.3 TheLicensorstechnicalpersonnelsenttoPRCfortheTechnic

47、alServiceshallobservethelawsofthePeoplesRepublicofChinaandrulesandregulationsofthecontractFactoryintheperiodofserviceinPRC.6.4 TheLicenseeshallsendhistechnicalpersonneltotherelevantfactoriesoftheLicensorfortechnicaltraining.Thenumberofpersonnel,specialty,content,durationandrequirementoftrainingarede

48、tailedinAnnextotheContract.6.5 TheLicensorshallprovideassistanceforentryandexitvisaandshallprovidethefacilitiesnecessaryforthetechnicaltrainingfortheLicenseetrsainees.ThetreatmentconditionsofthetraineesintheLicensorcosuntryaredetailedinAnnextotheContract.6.6 TheLicenseespersonnelundertrainingshallob

49、servethelawsoftheLicensorcountryandtherulesandregulationsoftheLicensorfasctoriesintheperiodoftraining.ARTICLE 7 ACCEPTANCEOFTHECONTRACTPRODUCTS7.1 Inordertoverifythecompleteness,correctnessandreliabilityoftheTechnicalDocumentationandSoftwaresuppliedbytheLicensorundertheContract,theLicensorshall,athi

50、sownexpensesendhisrepresentativestocarryoutacceptancetestontheContractProductsjointlywiththetechnicalpersonneloftheLicenseeinthecontractFactory.ThespecificprocedureoftheacceptancetestandthestandardoftheacceptancearedetailedinAnnextotheContract.7.2 IfthetechnicalperformancesoftheContractProductsspeci

51、fiedinAnnextotheContractareachievedintheacceptancetests,bothpartiesauthorizedrepresentativeshallsignfourcopiesoftheacceptancecertificatefortheContractProductsand,twocopiesforeachparty.7.3 IfanytechnicalperformanceoftheContractProductsspecifiedinAnnextotheContractisnotachievedintheacceptancetests,bot

53、xpenses,takemeasurestoeliminatethedefects,againsendhistechnicalpersonneltoparticipateinthesecondacceptancetestandshallbearalltheexpensesincurredinthesecondacceptancetestincludingtheexpensesforthematerialsusedinthesecondacceptancetest.Iftheresponsibilityforthefailureofthefirstacceptancetestlieswithth

54、eLicensee,theLicenseeshall,athisownexpenses,takemeasurestoeliminatedthedefectsandbearalltherelevantexpensesincurredinthesecondacceptancetest.7.5 IfitisduetotheLicensorsresponsibilitythatanytechnicalperformanceoftheContractProductsspecifiedinAnnextotheContractisstillnotachievedinthesecondacceptancete

55、st,theLicensorshallcompensatetheLicenseeforthedirectexpensessustainedbytheLicensee,fortheacceptancetest,andshallathisownexpenses,takemeasurestoeliminatethedefectsandsendhistechnicalpersonneltoparticipateinthethirdacceptancetest.IftheresponsibilityforthefailureofthesecondacceptancetestlieswiththeLice

56、nsee,theLicenseeshall,athisownexpenses,takemeasurestoeliminatethedefectsandbeartherelevantexpensesincurredinthethirdacceptancetest.7.6 IfitisduetotheLicensorsresponsibilitythatanytechnicaolfptehreformanceContractProductsspecifiedinAnnextotheContractisstillnotachievedintheabove-mentionedthreeacceptan

57、cetests,theArticle8.7shallprevail.IftheresponsibilitylieswiththeLicensee,thenbothpartiesshalldiscussandagreeuponfurtherexecutionoftheContract.ARTICLE 8 GUARANTEESANDCLAIMS8.1 TheLicensorshallguaranteethattheTechnicalDocumentationandSoftwaresuppliedbytheLicensortotheLicenseeinaccordancewiththeContrac

58、tshallbeofthelatestandwell-provedTechnicalDocumentationandSoftwarewhichareactually合同資源usedbytheLicensorandthattheimproved,modifiedanddevelopedTechnicalDocumentationandSoftwareshallbesuppliedintimebytheLicensortotheLicenseeinthecourseofimplementationoftheContract,withoutcharge.8.2 TheLicensorshallguaranteethattheTechnicalDocumentationandSoftwaresuppliedbytheLicensortotheLicenseeinaccordancewiththeContractshallbecomplete,correctandlegible,andshallbedeliveredintimeinaccordancewiththestipulationsinAnnextotheContract.8.3 IfitisfoundbythelicenseethattheTechnicalDocumentationandSoftwa
