The purpose of this MOU is to provide a framework of cooperation and facilitate collaboration

7、 among the Parties, on a non-exclusive （or exclusive）basis in the Projects.本MOU的目的為各方在此項(xiàng)目上非排他性（或排他性的，兩者選一個(gè)）的提供合作框架和促進(jìn)合作。Article IIAreas of Cooperation 合作領(lǐng)域2.1 The Parties agree to cooperate in the follow ing areas of activity: 各方同意在以下領(lǐng)域進(jìn)行 合作：a. The Parties that will un dertake to explore and develop

10、other intern ati onal compa nies who are committed to con tribute to susta in able developme nt in the scope of cooperati on.與有意向的有潛力的在合作范圍內(nèi)的促進(jìn)可持續(xù)發(fā)展的中國(guó)和其他國(guó)際公司建立商 業(yè)聯(lián)系。2.2 The Parties agree that this present cooperation is built on mutual trust among the Parties and that none of the Parties shall do a

11、ny acts that undermine the interests of the other Party at all times. Honest and frank disclosures of information of the Projects are required throughout the term of cooperation which is formed of and in relation to this MOU among the Parties.各方同意目前的合作是基于各方之間的相互信任，各方任何時(shí)候都不得做出有損其它方利益的行為.各方在本MOU相關(guān)的合作過(guò)

12、程中都要誠(chéng)實(shí)坦誠(chéng)交換信息。Article IIIConsultation and Exchange of Information咨詢與信息交換3.1 The Parties shall, on a regular basis, keep each other informed of and consult during the progress and share information of and relating to the Projects truly and accurately.各方應(yīng)定期就與有關(guān)項(xiàng)目有關(guān)的信息真實(shí)且準(zhǔn)確地進(jìn)行通知、商討和信息共享。3.2 Consultation

13、 and exchange of information and documents under this Article III shall be without prejudice to arrangements according to which certain information and documents may be required to be maintained confidential and being of restricted character.本條款下的對(duì)信息和文件的商討和交換均不影響任何關(guān)于保密和限制性信息和文件的 保密要求。3.3 Each of the

14、 Parties shall at any time that deemed appropriate to request and convene meetings for reporting and/or reviewing the progress of activities being carried out under this present MOU and for planning and implementing future activities.各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r(shí)候， 要求召開(kāi)會(huì)議， 匯報(bào)和 /或回顧根據(jù)本 MOU 所開(kāi)展活 動(dòng)的進(jìn)展，并計(jì)劃和實(shí)施未來(lái)的活動(dòng)。3.4

15、The Parties may invite technical teams to attend meetings with the scope of cooperation government officials for negotiations of the Projects and implementation. Invitations shall be made in reasonable time (with one month prior notice) and take into account of the work schedules of the Parties. 各方可

16、以邀請(qǐng)技術(shù)團(tuán)隊(duì)參加與合作范圍內(nèi)的政府的會(huì)議來(lái)商討項(xiàng)目和實(shí)施。 邀請(qǐng)應(yīng)提 前做好(提前一個(gè)月)并要考慮工作日程。Article IVImplementation of the MOU本 MOU 的實(shí)施4.1 In order to implement the specific activities envisioned hereunder, the Parties shall conclude transaction agreements, cost-sharing agreements etc. which shall specify the scope of work and costs o

17、r expenses, sales revenue or profit relating to the activity and how they will to be shared and/or borne by the Parties. The cost-sharing agreements shall specify in detail the expenses need to be invested during the whole process of the Projects, including but not limited to the preparation, operat

18、ion and finalization of the Projects.為了實(shí)施下文約定的具體行動(dòng)， 各方應(yīng)簽訂交易協(xié)議、 費(fèi)用共擔(dān)協(xié)議等， 明確與上述具 體行動(dòng)有關(guān)的工作范圍、 成本、 銷(xiāo)售收入或利潤(rùn)及其如何分配和承擔(dān)。 成本共擔(dān)協(xié)議應(yīng) 明確項(xiàng)目全程所投入的詳細(xì)成本，包括但不限于準(zhǔn)備、運(yùn)營(yíng)直至終止。4.2 The costs of public relations activities relating to this MOU, that are not otherwise addressed by a specific cost-sharing agreement concluded h

19、ereunder, will be the responsibility of each party independently.本 MOU 下公共關(guān)系活動(dòng)的費(fèi)用，如果沒(méi)有簽署的協(xié)議規(guī)定明確哪方承擔(dān)，應(yīng)由各方 獨(dú)自承擔(dān)。4.3 The Parties have no intention to form any partnership, agency or authorized representative relationship among them and no such relationships are to be formed by virtue of this MOU. None

20、of the Parties shall enter into any contract or commitment on behalf of the other Party(ies) The Parties shall be solely responsible for making all payments to and on behalf of its own acco unt, as provided un der this MOU an d/or cost-shari ng agreeme nts con eluded here un der.各方之間無(wú)意設(shè)立任何合伙、代理或授權(quán)代表

21、關(guān)系，本 MOU不設(shè)立上述關(guān)系。任何 一方均不應(yīng)代表其他方簽署任何合同或作出承諾，只能代表自身支付本MOU項(xiàng)下或成本共擔(dān)協(xié)議項(xiàng)下的款項(xiàng)。4.4 Each Party shall be responsible for its own acts and omissions in connection with this MOU and its implementation.各方應(yīng)對(duì)本MOU和實(shí)施中自己的行為或義務(wù)負(fù)責(zé)。Article VUse of Name and Logo etc.名字或商標(biāo)等的使用5.1 None of the Parties shall use the name, logo

22、, trade names or trademarks of the other Parties or its subsidiaries, and/or affiliates, or any abbreviation of the aforesaid, for whatever purposes and in whatever mann ers, whether or not it is in connection with its bus in ess or otherwise, uni ess express prior writte n approval of the other Par

23、ties are obta ined in each case of use with terms to be agreed.除非按照約定經(jīng)一方事先書(shū)面允許，任何一方不得為任何目的、以任何形式使用其它 方和/或其子公司、附屬公司的名稱(chēng)、標(biāo)識(shí)、商號(hào)或商標(biāo)，不論該使用行為是否與其自 身業(yè)務(wù)有關(guān)。5.2 Both parties ack no wledge that they are familiar with dyn amic political en vir onment in the scope of cooperati on and that none of the Parties shal

24、l be associated, whether directly orin directly and in whatever manner, with any political or sectaria n causesi n the scope of cooperation. If any Party did have any such association and/or causes in the scope of cooperati on, that Party shall in form the other Parties immediately without delay. Th

25、e Parties hereby agree that when one Party has any political association and/or causes in the scope of cooperation, this shall be a legitimate reason for early termination, without compensation, by the other Parties of this MOU and of all other transaction agreements, cost-shari ng agreeme nts etc.雙

26、方都熟悉合作范圍內(nèi)的國(guó)家的動(dòng)態(tài)政治環(huán)境，各方都沒(méi)有直接或間接或以任何形 式，與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)。如果任何一方有關(guān)聯(lián)，該方應(yīng)立即通 知其他方。各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)，本MOU的其他方可視為提前終止本 MOU、其他貿(mào)易協(xié)議或成本共擔(dān)協(xié)議等的正當(dāng)理由，并 無(wú)賠償責(zé)任。Article VIDuration, Termination, Modification有效期，終止與修改6.1 The proposed cooperati on un der this MOU is exclusive and shall have durati on of an

28、o three (3) years, uni ess otherwise mutually agreed in writi ng.本MOU項(xiàng)下預(yù)期的合作應(yīng)是排他的，最初期限應(yīng)為1年，自起，除非根據(jù)第5.2條提前終止或任何一方提前至少兩個(gè)月書(shū)面通知終止本MOU。各方可以同意本MOU到期后繼續(xù)順延，最多順延 3年，除非各方另行書(shū)面約定。6.2 In the eve nt of term in ati on of this MOU, the cost-shari ng agreeme nts and project docume nts con cluded pursua nt to this MO

29、U shall also be term in ated in accorda nee with the term in ati on provisi on contained in such agreeme nts. In such case, the Parties shall take allnecessary steps to ensure that the activities carried out under the MOU, the cost-sharing agreeme nts and project docume nts will be promptly and orde

30、rly termi nated.如果本MOU終止，根據(jù)本MOU簽訂的成本共擔(dān)協(xié)議和項(xiàng)目文件應(yīng)同時(shí)按照該等協(xié) 議和文件約定的條款予以終止。在此情形下，各方應(yīng)采取各種必要措施來(lái)確保根據(jù)本 MOU、成本共擔(dān)協(xié)議和項(xiàng)目文件開(kāi)展的活動(dòng)迅速且有序地予以終止。6.3 This MOU shall be amended by mutual agreement in writing and duly executed by the Parties.本MOU應(yīng)由各方合意以書(shū)面形式作出修改并依約履行。Article VIINotices and Addresses通知與地址7.1 All no tices or o

31、ther com muni cati ons required or permitted to be give n pursua nt to or in reference to this MOU shall be in writ ing and shall be valid and sufficie nt if delivered or dispatched by registered mail, courier, pers onal delivery or fax (email NOT accepted) as the case may be, to the Party at the ad

32、dress set forth below in this MOU or as from time to time updated by each Party. Notice give n as here in provided shall be deemed to have bee n served (i) in the case of personal delivery at the time when the notice is left at the addressees address as stated here in below or its last known address

33、; or (ii) in the case of delivery by registered mail or courier on the seventh (7 th) day after posting; or (iii) upon con firmati on (as gen erated by the fax machi ne) of correct tra nsmissi on to the recipie nt's fax machi ne.根據(jù)或與本MOU有關(guān)的所需要或允許作出的所有通知和其他通訊均應(yīng)當(dāng)以書(shū)面形式作 出，且應(yīng)當(dāng)合法且有效地以掛號(hào)信、郵寄、私人遞送或傳真(

34、不接受電子郵件)形式遞 送至本MOU下文約定的各方地址，或者各方不時(shí)更新的其他地址。在下列情形下遞送 的通知應(yīng)視為已送達(dá)：(1)如果以私人遞送的方式，通知到達(dá)被送達(dá)人的下述地址或 其他的最新已知地址；或(2)掛號(hào)信或郵件寄出后第 7天；或(3)收件人傳真機(jī)發(fā)出 發(fā)送成功的確認(rèn)。For(填寫(xiě)我方公司通訊地址):Atte nti on: Mr.For ( Company name ”) ： Atte nti on: Mr.Article VIIIGoverning Laws and Jurisdiction and Settlement of Disputes8.1 This MOU is leg

35、ally binding to the Parties.本MOU對(duì)各方有法律約束力。8.2 This MOU shall be governed and construed in accordanee to the laws of People ' Republic of Chi na.本MOU受中華人民共和國(guó)法律管轄。8.3 The Parties shall use their best efforts to enter into friendly negotiation and settlement amicably of any dispute, controversy or

36、claim arising out of this MOU (the Dispute” within Sixty (60) days from the date that one Party sending requests for such a negotiation. If the Parties amicably settled the Dispute by themselves, they shall enter into a settlement agreement in writing and to be duly executed by the Parties. If the P

37、arties genuinely attempted negotiation but failed to reach any settlement terms, either Party may submit the Dispute for arbitrati on as stated here in below.各方應(yīng)在一方發(fā)出要求協(xié)商的請(qǐng)求之日起60日內(nèi)，盡各方最大努力進(jìn)行友好協(xié)商和解決因本MOU引起的任何糾紛、異議或索賠(“爭(zhēng)議”)。如各方自行友善解決爭(zhēng) 議，各方應(yīng)簽訂書(shū)面的解決協(xié)議并依約履行。如果各方確實(shí)已盡力協(xié)商但未達(dá)成任何 解決方案，任何一方可以就爭(zhēng)議按照下述方式提起仲裁。8.4

38、Any dispute, controversy or claim among the Parties arising out of this MOU which is not settled amicably in accordance with the foregoing paragraph shall be referred to arbitration under the UNCITRAL Arbitration Rules then in force. The arbitral tribunal shall have no authority to award punitive da

39、mages. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. The Parties further agree the follow in gs:各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應(yīng)當(dāng)根據(jù)彼時(shí)有效的 聯(lián)合國(guó)國(guó)際貿(mào)易法委員會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁庭無(wú)權(quán)判處懲罰性賠償。各方應(yīng)受 經(jīng)上述仲裁所作出的任何仲
