14、uriereach copy of the above-mentioned documents No. .15. 裝運(yùn) 條款 ( Terms of Shipment ) ：(1) FOB 交貨 方式 賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以 方式通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼 及裝運(yùn)港可裝日期，以便買方安排租 船/訂 艙。 裝運(yùn) 船只 按期 到達(dá) 裝運(yùn) 港 后， 如賣 方不 能按 時(shí) 裝船 ，發(fā) 生的 空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物越過(guò) 船弦并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。The Seller shall, 30 days before the shipment

15、date specified in the Contract, advise the Buyer by of the Contract No., commodity, quantity,amount, packages, gross weight, measurement, and the date of shipm ent in order that the Buyer can charter a vessel/book shipping space. In the event of the Sellers failure to effect loading when the vessel

16、arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for the Sellers account.(2) CIF 或 CFR 交 貨 方式賣方須按時(shí)在裝運(yùn)期 限內(nèi)將貨物由裝運(yùn) 港 裝船 至目 的港 。在 CFR 術(shù) 語(yǔ)下 ，賣方應(yīng)在裝船前2天以 方式通知買方合同號(hào)、品名、發(fā)票價(jià)值及開船日期，以便買方 安排保險(xiǎn)。The Seller shall ship the goods duly within the shi

18、畢，賣方應(yīng)在一小時(shí)內(nèi)以 方式通知買方合同編號(hào)品名 、已 發(fā)運(yùn) 數(shù)量 、 發(fā)票 總金 額、 毛重 、 船名 /車/機(jī)號(hào)及 啟程 日期 等。The Seller shall, immediately upon the completion of the loading of the goods, advise the Buyer of the Contract No., names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date by within hour

19、s.17. 質(zhì)量保證 ( Quality Guarantee)：貨物品質(zhì)規(guī)格必須 符 合本 合同 及質(zhì)量保證 書之 規(guī)定 ，品 質(zhì)保 證 期為 貨到 目的港一個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造 成的貨物損害應(yīng)由 賣 方負(fù) 責(zé)賠 償。The Seller shall guarantee that the commodity must be in conformity with the quatity, specifications and quantity specified in this Contract and Letter of Quality Guarantee.

20、 The guarantee period shall be months after thearrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.18. 檢驗(yàn) ( Inspection ) (以 下兩 項(xiàng)任 選 一項(xiàng) )：(1)賣方 須在裝運(yùn)前日委托檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行

21、檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方委托檢驗(yàn)機(jī) 構(gòu)進(jìn) 行檢 驗(yàn)。The Seller shall have the goods inspected by days before the shipmentand have the Inspection Certificate issued by. 22、證 明書，并說(shuō) 明檢 驗(yàn)的 技術(shù) 數(shù)據(jù) 和結(jié) 論。貨 到目 的港 后， 買方 將申 請(qǐng)中 國(guó)商 品 檢驗(yàn) 局 ( 以下 簡(jiǎn)稱 商 檢局 )對(duì) 貨物 的規(guī) 格 和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符， 除 保 險(xiǎn)公司或輪船公司的責(zé)任外，買方得在貨物到達(dá)目的港后日內(nèi)憑商檢局出具的檢 驗(yàn)證書向賣方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì) 或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買方將委托 中國(guó)商檢局進(jìn)行檢驗(yàn)。The manufacturers shall, before delivery, make a precise and comprehensive in

23、spection of the goods with regard to its quality, specifications, performanceand quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspecti

24、on Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies

25、 with Insurance Company or Shipping Company, the Buyer shall, within daysafter arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB.In caseof damage of the goods incurred due to the design or manufacture

26、 defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.19. 索賠( Claim)：買方 憑其 委托 的檢 驗(yàn) 機(jī)構(gòu) 出具 的檢 驗(yàn)證 明 書向 賣方 提出 索賠( 包括 換貨)， 由此引起的全 部費(fèi)用 應(yīng)由賣方負(fù)擔(dān)。若賣 方收 到上 述索 賠后 天未予答復(fù)，則認(rèn)為 賣方已 接受買方索賠。The buyer sha

28、eceived the Buyers claim.20. 遲交 貨與 罰款 ( Late delivery and Penalty )除合 同第 21 條 不可 抗力 原因 外，如 賣方 不能 按合 同規(guī) 定的 時(shí) 間交 貨，買 方 應(yīng) 同 意在 賣方 支付 罰 款的 條件 下延 期交 貨 。罰 款可 由議 付銀 行 在議 付貨 款 時(shí)扣除，罰款率按每一天收 一,不足天 時(shí)以一天計(jì)算。但罰 款不得超過(guò)遲交貨物總價(jià)的%。如賣方延期交貨超過(guò)合同規(guī)定天時(shí)，買方 有權(quán) 撤銷 合同，此時(shí)，賣方 仍應(yīng) 不遲 延地 按上 述規(guī) 定向 買 方支 付罰 款。買方 有權(quán) 對(duì)因 此遭 受 的其 它損 失向 賣方 提

29、 出索 賠。Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by t

30、he paying bank from the payment under negotiation. The rate of penalty is charged at%for every days, odd days less than days should be counted asdays. But the penalty, however, shall not exceed% of the totalvalue of the goods involved in the delayed delivery. In case the Seller fail tomake delivery

31、days later than the time of shipment stipulated in theContract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.The buyer shall have the right to lodge a claim against the Sell

32、er for the losses sustained if any.21. 不可 抗力 ( Force Majeure )凡在制造或裝船運(yùn)輸 過(guò)程中，因不可抗力 致使賣方不能或推遲 交貨時(shí)，賣方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣方應(yīng)立即通知買方，并在一天內(nèi)， 給買方特快專遞一份 由當(dāng)?shù)孛耖g商會(huì)簽發(fā) 的事故證明書。在此 情況下，賣方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)天以上，買方有權(quán)撤 銷合 同。The Seller shall not be responsible for the delay of shipment or non -delivery of the goods due to

33、 Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and withindaysthereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a cert

34、ificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof.Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts

35、 for more than days the Buyer shall have the right to cancelthe Contract.22. 爭(zhēng)議 的解 決 (Arbitration):凡因本合同引起的或 與本合同有關(guān)的任何 爭(zhēng)議應(yīng)協(xié)商解決。若 協(xié)商不成，應(yīng)提 交中 國(guó)國(guó) 際經(jīng) 濟(jì) 貿(mào)易 仲裁 委員 會(huì)深 圳 分會(huì) ，按 照申 請(qǐng)仲 裁 時(shí)該 會(huì)現(xiàn) 行 有效的仲裁規(guī)則進(jìn)行 仲裁。仲裁裁決是終 局的，對(duì)雙方均有約 束力。Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation.
