7、運(yùn)口岸日期；以電話/傳真方式通知買方以便買方安排艙位，并同時(shí)通知買方在裝運(yùn)港的船代理。倘在規(guī)定的期限內(nèi)未接到前述通知，即作為賣方同意在合同規(guī)定期內(nèi)任何日期交貨，并由買方主動(dòng)租月臺(tái)訂位。Thesellershalladvisethebuyersbytelex/fax,andsimultaneouslyadvisethebuyersshippingagentattheloadingport,30daysbeforethecontractedtimeofshipment,ofthecontractnumber,nameofcommodity,quantity,loadingportandexpect

9、量、合同號(hào)碼、船舶代理人、以電子郵件/傳真方式通知賣方。賣方聯(lián)系船舶代理人配合船期備貨裝船。如買方因故需要變更船只或更改船期時(shí)，買方或船舶代理人應(yīng)及時(shí)通知賣方。Thebuyersshalladvisethesellerbyemail/fax,12daysbeforetheexpectedloadingdate,oftheestimatedlaydays,contractnumber,nameofvessel,quantitytobeloadedandshippingagent.Thesellersshallthenarrangewiththeshippingagentforloadingacc

10、ording.Incaseofnecessityforsubstitutionofvesseloralterationofshippingschedule,buyersortheshippingagentshalldulyadvisethesellerstothesameeffect.d) 買方所租船只按期到達(dá)裝運(yùn)口岸后，如賣方不能按時(shí)備貨裝船，買方因而遭受的一切損失包括空艙費(fèi)、延期費(fèi)及/或罰款等由賣方負(fù)擔(dān)。如船只不能于代理人所確定的受載期內(nèi)到達(dá)，在港口免費(fèi)堆存期滿后第16天起發(fā)生的倉(cāng)庫(kù)租費(fèi)、保險(xiǎn)費(fèi)、由買方負(fù)擔(dān)，但賣方仍負(fù)有載貨船只到達(dá)裝運(yùn)口岸立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種損失

11、均憑原始單據(jù)核實(shí)付。Intheeventofthesellers'failureineffectingshipmentuponarrivalofthevessellatahingport,includingdeadfreight,demurragefinestetc.thusincurredshallbeforsellersIfthevesselfailstoarriveattheloadingportwithinthelaydayspreviouslydeclaredbytheshippingagent,thestoragechargesandinsurancepremiumfrom

12、the16thdayafterexpirationofthefreestoragetimeattheportshallbebornebythebuyers.However,thesellersshallbestillundertheobligationtoloadthegoodsonboardthecarryingvesselimmediatelyafterthearrivalattheloadingport,attheirownexpensesandrisks.Theexpensesandlossesmentionedaboveshallbereimburseduponoriginalrec

13、eiptsorinvoices.(16)裝運(yùn)通知：賣方在貨物裝船后，立即將合同號(hào)碼、品名、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以電子郵件/傳真通知買方。Adviceofshipment:thesellersshall,uponcompletionofloadingadviseimmediatelythebuyersbyemail/faxofthecontractnumber,nameofcommodity,numberofpackages,grossandnetweight,invoicevalue,nameofvesselandloadingdate.(17)檢驗(yàn)和索賠：貨卸運(yùn)抵目的口岸

14、，買方有權(quán)申請(qǐng)中國(guó)商品檢驗(yàn)局或其分支機(jī)構(gòu)進(jìn)行檢驗(yàn)。如發(fā)現(xiàn)貨物的品質(zhì)及/或數(shù)量/重量與合同或發(fā)票不符，除屬于保險(xiǎn)公司或船公司的責(zé)任外，買方有權(quán)在貨物的目的口岸后90天內(nèi)，根據(jù)中國(guó)商品檢驗(yàn)局出具的證明書(shū)向賣方提出索賠，因索賠所發(fā)生的一切費(fèi)用(包括檢驗(yàn)費(fèi)用)均由賣方承擔(dān)。FOB價(jià)格條件時(shí)，如重量短缺，買方有權(quán)同時(shí)索賠短重部分的運(yùn)費(fèi)。Inspectionandclaim:thebuyersshallhavetherighttoapplytothechinacommodityinspectionBureau(CCIB)forinspectionafterdischargeofthegoodatthepo

15、rtofdestination.Shouldthequalityand/orquantity/weightbefoundnotinconformitywiththecontractorinvoice,thebuyersshallbeentitledtolodgewiththesellersonthebasisofCCIBreport,within90daysafterdischargeofthegoodattheportofdestination,withtheexception.However,thoseclaimsforwhichtheshippingcompanyand/ortheins

16、urancecompanyaretobeheldresponsible.AllexpenseincurredontheclaimincludingtheinspectionfeeaspertheCCIBinspectioncertificatearetobebornebythesellers.IncaseofFOBterms,thebuyersshallalsobeentitledtoclaimfreightforshortweightifany.(18).不可抗力：由于人力不可抗拒事故，使賣方不能在合同規(guī)定的期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任。但賣方必須立即以電子郵件/傳真通知買方，并以掛號(hào)

17、函向買方提出有關(guān)政府機(jī)關(guān)或商會(huì)所出具的證明，以證明事故的存在。賣方不能取得出口許可證不得作為不可抗力。Forcemajeure:incaseofForcemajeurethesellersshallnotbeheldresponsiblefordelayindeliveryornon-deliveryofthegoodsbutshallnotifyimmediatelythebuyersbyemail/faxanddelivertothebuyersbyregisteredmailacertificateissuedbygovernmentauthoritiesorchamberofcomme

18、rceasevidencethereof.Iftheobtainingexportlicenseshallnotbeconsideredasforcemajeure.(19)延期交貨及罰款：除本合同第(18)條人力不可抗拒原因外，如賣方不能按期交貨。買方有權(quán)撤消該部分的合同，或經(jīng)買方同意在賣方交納罰款的條件下延期交貨。罰款率為每10天按貨款總額的1%。不足10天按10天計(jì)算。罰款最多不能超過(guò)延期貨款總額的5%。DelayedDeliveryandpenalty:ShouldtheSellersfailtoeffectdeliveryontimeasstipulateinthisContract

20、aysshouldbecountedas10days.Thetotalpenaltyshallnotexceed5%ofthetotalvalueofthegoodsinvolved.(20)仲裁：一切因執(zhí)行本合同有關(guān)的爭(zhēng)執(zhí)，應(yīng)友好協(xié)商解決。如經(jīng)協(xié)商不能得到解決時(shí)，應(yīng)提交北京中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)規(guī)則進(jìn)行仲裁。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除非仲裁委員會(huì)另有決定外，由敗訴方一方負(fù)擔(dān)。Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached
