2、 This Contract is made by and between the Buyer and Seller on _, 1997 after friendly negotiations. The Buyer hereby agrees to purchase from the Seller, and the Seller hereby agrees to sell to the Buyer, the following set of metal building system (hereinafter, the “Metal Building System”) on the term

Payment Terms4.1 本合同簽訂后五個(gè)工作日內(nèi)，買方應(yīng)付予賣方合同總價(jià)之20 %作為定金，即人民幣： 元。Within 5 working days of the signing of this Contract, the Buyer shall pay to the Seller a deposit equal to 20% of the Contract Price, i.e. Rmb . 4.2 買方收到賣方的鋼結(jié)構(gòu)設(shè)計(jì)圖并確認(rèn)后三個(gè)工作日內(nèi)，應(yīng)付予賣方合同總價(jià)之20 %作為預(yù)付款

7、，即人民幣 元。Within 3 working days of its receipt and approval of the design drawings for the Metal Building System, the Buyer shall pay to the Seller a prepayment amount equal to 20% of the Contract Price, i.e. Rmb . 4.3 鋼結(jié)構(gòu)制造完成后，并經(jīng)買方驗(yàn)收后五個(gè)工作日內(nèi)，買方應(yīng)付予賣方合同總價(jià)之60%，即人民幣 元。Within 5 working days after the

8、manufacture of the Metal Building System has been completed and the Buyer has accepted the Metal Building System, the Buyer shall pay to the Seller 60% of the Contract Price, i.e. Rmb . 4.4 買方支付賣方的所有款項(xiàng)均以銀行匯票或電匯方式匯至賣方指定在中信實(shí)業(yè)銀行南京西路分理處虹橋分理處所開之帳號(hào)，號(hào)碼。所有付款日期均以賣方收款之銀行收款憑證日期為準(zhǔn)。如買方逾期五天付款，須從第六天起按日支付該筆逾期款

9、項(xiàng)0.1%的滯納金。若買方之逾期付款超過應(yīng)付款日三十天后，賣方有權(quán)單方面取消整個(gè)合同，并沒收買方已支付之定金、預(yù)付款和其他款項(xiàng)作為賠償。若該筆款項(xiàng)不足彌補(bǔ)賣方之損失，則買方還需就不足部分支付賠償金。All payments to be made by the Buyer to the Seller hereunder shall be made by bank draft or wire transfer to the Sellers designated account at the Hongqiao sub-office of West Nanjing Road  第五

10、條     設(shè)計(jì)、制造進(jìn)度及期限Article5. Progress and Time Limit on Design and Manufacture5.1 賣方收到定金后四周內(nèi)，應(yīng)向買方提供設(shè)計(jì)所需的反力圖及地腳螺栓布置圖。買方應(yīng)盡快將以上資料提交負(fù)責(zé)設(shè)計(jì)地基和基礎(chǔ)的設(shè)計(jì)院。有關(guān)設(shè)計(jì)院的所有費(fèi)用（包括圖簽費(fèi)用）均由買方承擔(dān)。Within four weeks after it received the deposit, the Seller shall provide to the Buyer the reaction drawings and the draw

11、ings for the placement of the anchor bolts required for the design of the Metal Building System. The Buyer shall give this information to the design institute responsible for the design of the foundation as soon as possible. All costs related to the design institute (including the cost of signing th

12、e drawings) shall be borne by the Buyer. 5.2 收到預(yù)付款后 周，賣方應(yīng)完成鋼結(jié)構(gòu)制造并通知買方派員到賣方工廠進(jìn)行交貨發(fā)運(yùn)前檢驗(yàn)。Within weeks after it received the prepayment, the Seller shall complete the manufacture of the Metal Building System and notify the Buyer to send its representative to the Sellers plant to inspect the goods b

13、efore their delivery and shipment. 5.3 買方驗(yàn)收后已付賣方第4.3條貨款后一周內(nèi)，賣方應(yīng)將產(chǎn)品運(yùn)至工地現(xiàn)場(chǎng)。 Within one week after the Buyer has inspected and accepted the goods and paid Seller the amount set forth in article 4.3 hereof, the Seller shall have the goods shipped to the Site. 5.4 買方若要求變更鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)，應(yīng)以書面方式通知賣方，賣方在

14、可能的情況下盡量滿足買方要求，但賣方可視增加之工時(shí)和材料調(diào)整本合同價(jià)格及期限，經(jīng)買賣 雙方同意后才生效。所有鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)之變更，若因買方未能于兩天內(nèi)簽置賣方所提供的有關(guān)確認(rèn)文件，均視為買方取消變更要求，回復(fù)原本規(guī)格或設(shè)計(jì)。如因 此而造成鋼結(jié)構(gòu)設(shè)計(jì)或制造之延誤，則買方須承擔(dān)一切責(zé)任。Should the Buyer request any changes to the specifications or design of the Metal Building System, it shall notify the seller in writing. The Seller shall tr

15、y to satisfy the Buyers request as best as possible, but may adjust the Contract Price or the time frame for performance based on the additional amount of work, time and materials required as a result of such changes. Such adjustments shall be effective upon agreement by both the Buyer and the Selle

16、r. If the Buyer shall fail to sign the relevant confirmation provided by the Seller relating to such adjustments within 2 days thereof , such adjustments shall be deemed to be cancelled by the Buyer. The Buyer shall not be responsible for any delays in the design or manufacture of the Metal Building

17、 System as a result thereof. 5.5 除天災(zāi)人禍等不可抗力因素及因買方未盡本合同責(zé)任之情形以外，如賣方逾期完成以上任何一項(xiàng)義務(wù)，須從逾期第四天起按日支付該筆逾期款項(xiàng)0.1%的罰款，但該罰款不應(yīng)超過本合同總價(jià)之3%。Except for force majeure or a failure by the Buyer to perform its obligations under this Contract, if the Seller fails to complete on time any of its tasks set forth above, i

18、t shall pay a penalty of 0.1% per day on the late amount, commencing on the fourth day of such delay, provided that such penalty shall not exceed 3% of the Contract Price. 5.6 第5.2及5.3條 所提到的交貨時(shí)限是以買方在收到鋼結(jié)構(gòu)設(shè)計(jì)圖后七天內(nèi)把確認(rèn)圖還給賣方和買方在收到驗(yàn)收通知后七天內(nèi)派員到賣方工廠進(jìn)行貨物檢驗(yàn)為根據(jù)。買方每逾期一天確 認(rèn)設(shè)計(jì)圖或到賣方工廠驗(yàn)貨，無論什么原因，賣方的交貨時(shí)限會(huì)延遲兩天，如該逾

19、期超過七天，賣方有權(quán)根據(jù)其當(dāng)時(shí)的業(yè)務(wù)要求重新安排交貨時(shí)間。The delivery schedule referred to in Sections 5.2 and 5.3 hereof is subject to the Purchaser returning the approved design drawings to the Seller within 7 days of receipt thereof and inspecting the goods at Sellers plant within 7 days of notice thereof from the Seller. 20、ach day of delay in the return of such approved drawings to the Seller or such inspection of the goods, for whatever reasons, will result in a two-day postponement of the date of delivery. If any such delay shall exceed 7 days, the Seller shall be entitled to re-schedule the delivery date based on i

21、ts then existing business commitments. 5.7 買方應(yīng)賠償或補(bǔ)償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費(fèi)用，該費(fèi)用以每天每噸人民幣83元計(jì)算。The Purchaser shall indemnify the Seller for all costs incurred by it as a result of any delay in the delivery of the Metal Building System caused by the Purchaser, including, without limita

22、tion, the cost of storage which shall be charged at the rate of Rmb 83 per ton per day.  第六條 裝運(yùn)和清點(diǎn)Article 6. Packing, Shipping and Inventory6.1 鋼結(jié)構(gòu)制造完畢、經(jīng)買方驗(yàn)收后方能裝運(yùn)到工地現(xiàn)場(chǎng)。賣方應(yīng)提前一周前通知買方其發(fā)運(yùn)日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場(chǎng)物資存放的道路、場(chǎng)地及水電供應(yīng)等。The Metal Building System may be packed and shipped to the Site

23、only after the manufacture of the Metal Building System is completed and the Buyer has inspected and accepted the goods. The Seller shall notify the Buyer one week in advance of the shipment date so that the Buyer can provide the working convenience for the Seller, such as the roads and place for th

24、e storage of the goods and water and electricity, etc. 6.2 貨物到達(dá)工地現(xiàn)場(chǎng)后，買方應(yīng)即時(shí)清點(diǎn)及驗(yàn)查貨物質(zhì)量并簽收。如有損壞，買方應(yīng)即時(shí)通知賣方。After the goods arrived at the Site, the Seller shall immediately inventory and inspect the quality of the goods and accept them. If there is any damage thereto, the Buyer shall immediately not

25、ify the Seller. 6.3 工地現(xiàn)場(chǎng)的卸貨由買方負(fù)責(zé)，如有延誤，所有費(fèi)用由買方負(fù)責(zé)。The Buyer shall be responsible for the unloading of the goods at the Site. The costs of any delays shall be borne by the Buyer.  第七條     產(chǎn)品檢驗(yàn)Article7. Inspection of Goods7.1 如在驗(yàn)收過程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復(fù)，達(dá)到合

26、同要求。如有爭(zhēng)議，買方可申請(qǐng)上海進(jìn)出口商品檢驗(yàn)局就產(chǎn)品質(zhì)量、規(guī)格及性能進(jìn)行檢驗(yàn)，所有費(fèi)用由買方承擔(dān)。If during the course of inspection the Buyer discovers that the quality, quantity, specifications of nature of the goods do not meet with the requirements in the Contract, it may request to return the goods or have them repaired or replaced so as to

27、meet the requirements in the Contract. If there is any dispute, the Buyer may apply to have Shanghai Import & Export Commodity Inspection Bureau to inspect the quality, quantity, specifications and nature of the goods. All costs related thereto shall be borne by the Buyer.  第八條  &

28、#160;  賣方聲明和保證Article 8. Sellers Representations and Warranties8.1 賣方對(duì)產(chǎn)品質(zhì)量作出下列聲明及保證： The Seller makes the following representations and warranties with respect to the quality and quantity of the goods: 8.2 鋼結(jié)構(gòu)設(shè)計(jì)以美國Metal building Members Association (MBMA) 建筑規(guī)范 （1986年版）及相關(guān)技術(shù)文本為標(biāo)準(zhǔn)。 The desig

29、n of the Metal Building System is based on the building codes of the Metal Building Members Association (MBMA) of the United States of America (1986 Edition) and related technical documents. 8.3 賣方對(duì)產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達(dá)工地現(xiàn)場(chǎng)一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問題，賣方會(huì)免費(fèi)提供維修服務(wù)。此產(chǎn)品質(zhì)量保證不包括因買方不當(dāng)處置產(chǎn)品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。The

30、 Sellers warranty on the goods is one years. If the goods develop problem during normal operation within one years. of its arrival at the Site, the Seller shall provide free repair service. This warranty does not cover any problems caused by the mishandling of the goods by the Buyer or indirect loss

31、es caused by the raw materials or any consequential damages.  第九條     技術(shù)資料和單據(jù)Article 9. Technical Information and Receipts9.1 賣方應(yīng)在產(chǎn)品送達(dá)工地現(xiàn)場(chǎng)一周前，把下列技術(shù)資料交給買方：9.1.1 由制造廠發(fā)出產(chǎn)品說明書一份；和9.1.2 施工圖一式三份。Within one week of the delivery of the goods to the Site, the Seller shall provide the

32、 following technical information to the Buyer:9.1.1 A copy of the product description issued by the manufacturer; and9.1.2 Three copies of the construction drawings. 9.2 賣方應(yīng)于賣方在產(chǎn)品運(yùn)出后，把下列單據(jù)交給買方：9.2.1 稅務(wù)發(fā)票，內(nèi)容注明本合同編號(hào)、項(xiàng)目名稱等；9.2.2 交貨清單一式四份；9.2.3 制造廠簽發(fā)的質(zhì)量證明書；和After the goods have been shipped ,the Se

33、ller shall provide the Buyer with the following invoices and receipts:9.2.1 A tax receipt, the content of which shall include the number of this Contract, the name of the project, etc.9.2.2 Four copies of the inventory list of the goods delivered;9.2.3 The quality and quantity certificate issued by

34、the manufacturer; and 第十條 不可抗力Article10. Force Majeure10.1 買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時(shí)，則延遲履行合同的期限，延遲的時(shí)間相當(dāng)于事故所影響的時(shí)間，受事故影響一方應(yīng)于事故發(fā)生后三 天內(nèi)將所發(fā)生的不可抗力事故的情況用傳真方式通知對(duì)方，并在十天內(nèi)遞交有關(guān)證明交件給另一方確認(rèn)。當(dāng)不可抗力事故終止后，受事故影響的一方應(yīng)于事故終止后 三天內(nèi)用以傳真方式通知對(duì)方，并以信件證實(shí)。任何不可抗力事故影響合同執(zhí)行超過12周以上的，雙方應(yīng)應(yīng)合同執(zhí)行的有關(guān)問題進(jìn)行協(xié)商。If the performance of the Bu

35、yer or Seller under this Contract is affected by a force majeure, then the period for such performance shall be postponed during the duration of such event. The affected party shall notify the other party by fax within 3 days of the occurrence of such event and shall provide the other party evidence

36、 of such event within 10 days of the occurrence of such event. After the force majeure event has terminated, the affected party shall notify the other party by fax within 3 day after the termination of such event followed by a latter to evidence such termination. The parties shall discuss the proble

37、ms of this Contract if any force majeure event shall affect such performance for more than 12 weeks. 10.2 不可抗力事故包括任何預(yù)料之外事件，如戰(zhàn)爭(zhēng)、叛亂、暴動(dòng)、騷動(dòng)、火災(zāi)、罷工、自然災(zāi)害、禁運(yùn)及任何其他賣方控制范圍以外之事件。For purposes hereof, force majeure means any unforeseeable event, such as war, insurrection, mob action, civil commotion, fire, s

38、trike, natural disaster, embargo and any other event outside the control of the Seller. 第十一條 仲裁Article 11. Arbitration11.1 凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過友好協(xié)商解決，如協(xié)商不成，任何一方可提交上海市經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁，仲裁裁決是最終的，對(duì)雙方都有約束力。仲裁費(fèi)用由敗訴方承擔(dān)。All disputes arising out of or in connection with this Contract shall be reso

39、lved by the parties through friendly negotiations . If the parties are unable to resolve such disputes, either party may submit such disputes to arbitration by the China International Economic and Trade Arbitration Commission, which arbitral award shall be final and binding on both parties. The cost

40、s of arbitration shall be borne by the losing party. 第十二條 其他條款A(yù)rticle12. Other Provisions12.1 本合同經(jīng)雙方簽字及蓋章后生效。買賣雙方之所有責(zé)任和義務(wù)完畢時(shí)，本合同自然終止。This Contract shall be effective after both parties have signed and sealed it. When the duties and obligations of the Buyer and Seller are completed, this contrac

41、t shall automatically terminate. 12.2 本合同的附件為本合同不可分割之組成部門，與本合同具有同等法律效力。The appendices to this Contract constitute an inseparable part of this Contract and shall have the same legal effect of this Contract. 12.3 本合同包含雙方所有談判內(nèi)容及協(xié)商的條款，并取代雙方以往對(duì)合同項(xiàng)目的一切協(xié)議。This Contract sets forth the entire under
