The measurement of quantities and the taking of s

Both Parties hereto hereby agree that the quantity of Copper Cathode Plates under the Agreement shall be 10,000 ( Ten thousand) MT per month for a period of one year 12 Months 合同雙方同意一年十二個月中本合同規(guī)定的銅陰極板每月的交易量為10,0

CONSIGNMENTS:承運：The SELLER hereto hereby agrees that the Consignment of Copper Cathode Plates shall be 10，000 ( ten thousand) MT trial delivery for the first month. 賣方同意銅陰極板承運量，第一個月的試運量為10，000（壹萬）公噸。4. PRICE:價格:4.1.Both Parties hereto hereby agree to the following Price Structure and t

21、erms of sale of the Quantity and Quality of Copper Cathode Plates subject matter of this Agreement: 合同雙方同意本合同規(guī)定的以下價格表及銅陰極板數(shù)量和質(zhì)量的銷售條件：4.1a.The price of the copper cathodes being at LME minus 13% discount 銅陰極板按倫敦交易所價格交易，賣方給予買方負13%的折扣。4.1b.The copper cathodes being sold on a CIF basis. 銅陰極板以到岸價格（CIF）為基

22、礎(chǔ)進行交易。4.1c.The price term is fixed at minus 13% discount from the average LME Cash Seller & Settlement Price with the date of inspection certificates issued by CIQ/SGS at discharging port as the middle day, two (2) days before this date and two (2) days after this date. It means the Unit Price i

23、s the average price of LMEs five (5) days price. This pricing method will be apply to all following shipments and the price is as per to the LME Cash Seller & Settlement Price of Copper Cathode Grade A, Cu-CATH-1(CR001A) of the website http:/www.lme.co.uk/copper.asp. The amount of proceeds of 10

24、0% is based on LMEs price to reference as a database.價格術(shù)語是固定在倫敦金屬交易所現(xiàn)金賣方結(jié)算平均價格的負13%的折扣，日期以卸貨港CIQ出入境檢驗檢疫局和SGS瑞士通行公證行的出具的檢驗證明日期為中間日期，以此為準，前兩（2）天加后兩（2）天。這意味著單位價格是倫敦金屬交易所五（5）天的價格的平均值。這種定價方法將適用于以下所有運貨。價格參照倫敦金屬交易所的一級銅電解板Cu-CATH-1(CR001A)的現(xiàn)金賣方結(jié)算價格，網(wǎng)站為http:/www.lme.co.uk/copper.asp。貨款的100%是以倫敦金屬交易所的價格為參考。5.

25、 REFUSE FOR THE CONSIGNMENT :拒絕托運:If the degree of purity of Copper Cathodes shall be less than 99.95%, the Buyer can refuse for the consignment.如果銅陰極板的純度低于99.95%， 買方可以拒絕托運此。Radioactive Material:放射性物質(zhì)：Radioactive contaminated materials are strictly forbidden. If any radioactive material is determine

26、d at discharge port, the buyer reserves the right to reject the total cargo. In this event, total cost for freight, discharging, reloading and related costs that will be imposed by the local authorities will be charged to Seller. Seller shall clear the cargo from the discharging port and settle the

27、claim of the buyer immediately without any delay and excuse.嚴禁具有放射性污染的物質(zhì)。如果在卸貨港查出任何放射性物質(zhì)，買方有權(quán)拒絕全部貨物。在此情況下產(chǎn)生的運費，卸貨，重裝以及相關(guān)費用全部由地方當局向賣方收取。賣方應無理由地立即從卸貨港將該貨物清除，并償付買方由此提出的索賠。6. 33、r the goods will be effected by swift transfer against presentation of certificate of quality and quantity conducted and issued by SGS/CIQ at port of discharge and the original documents from the seller to the bank. This should be no longer than five days of discharging of goods. 賣方在卸貨港提交由通行公證行

DELIVERY TERMS:交貨條款：7.1 Both Parties hereto hereby agree that the DELIVERY TERMS under this Agreement shall be CIF main port. 合同雙方同意交貨條款為主要港口到岸價。7.2 The SELLER hereto hereby agrees that every consignment of Copper Cathodes Plates ship

35、ped shall be accompanied by the following documents:- Certificate of Origin- Export Permit- Quality Specifications from Country of Origin- SGS or its equivalent for Quality and Quantity Inspection Certificates- Invoice (One Original, 3 copies)- Cargo Manifest (One original, 3 copies)- Clean Bills of

Full details of vessel with valid P&I club and class society certificate will be sent to Buyer for stem approval before fixing. Vessel

39、 age will be max 20 years old. 賣方指定單一適航合適的甲板/散貨承運人，便于快速卸貨。裝貨前，賣方將船舶的詳細信息連同有效的船舶互保協(xié)會證明和船級社證書一并寄給買方，獲得買方準許后發(fā)貨。船齡最大為20年。7.5b Discharge rate: 900 mt PWWSSHEX EIU 卸貨率：每晴天工作日 900公噸 / 公噸，星期日、節(jié)假日除外，除非已經(jīng)使用7.5c LAYTIME: 裝卸時間 N.O.R. to be given only during office hours Monday to Friday from 08:00 hrs to 17:00

40、hrs (Holiday excluded) whether in port or not, whether in free pratique or not, whether custom cleared or not, whether in berth or not. N.O.R. to be tendered to the agent by tlx, fax or cable. Lay time to commence at 08:00 hrs next working day if NOR is given in the office hours.無論在港與否，是否有無疫入港許可證，是否

41、完成清關(guān)，是否?？?，裝/卸準備就緒通知書僅在工作日周一至周五8：00至17：00辦理（包括節(jié)假日）。 裝/卸準備就緒通知書將以電告，傳真或電報方式呈交代理。若工作日辦理裝卸準備就緒通知書后，裝卸時間將在寫一個工作日8：00開始。7.5d SHIFTING: 變動If any shifting at the discharging period time will count as lay time and expenses will be at the Buyers account. If the shifting is made due to the Sellers or vessels f

42、ault, time will cease to count as lay time and all the expenses will be on Sellers account. 如果卸貨期間有任何變動，計為卸貨時間，因此產(chǎn)生的費用由買方承擔。如果由于賣方或船方失誤引起的變動，不計為卸貨時間，所有費用由賣方承擔。7.6 BERTH AND DISCHARGE PORT.泊位和卸貨港 7.6a The SELLER shall provide and make necessary arrangements at the Port of Loading to enable the vessel

46、hin 30 days at Buyer's destination buyers port 實際裝運日為賣方銀行收到買方銀行出具的金融單據(jù)日。第一批的10,000公噸應在實際裝運日后30到35天內(nèi)運達買方的目的港。其余貨物在實際裝運日后三十天內(nèi)相繼運達買方指定目的港。7.6eDischarge at loading port, the Seller at his expenses shall determine the weight and the Quality of each shipment of Copper Cathodes; Cu by SGS. The weight o

47、f Copper cathodes as ascertained and certified together with SGS analysis Certificate shall be the basis of the invoice. 在裝運港卸貨時，賣方測量每批銅陰極板的重量和質(zhì)量，由此產(chǎn)生的費用由賣方承擔。銅應符合瑞士通行公證行的規(guī)定。發(fā)票開具以經(jīng)確定并認證的重量以及瑞士通行公證行的分析確認書為基礎(chǔ)。7.7VERIFY:核驗：7.7aInspection of the product will be confirmed on a certificate issued by the I

48、ndependent International Survey Company SGS or equivalent 產(chǎn)品檢驗由國際獨立檢驗公司瑞士通行公證行或與其相當?shù)膯挝怀鼍叽_認書。7.7bInspection at unloading port by SGS/CIQ at the buyers expenses 產(chǎn)品在卸貨港經(jīng)瑞士通行公證行和出入境檢驗檢疫局檢驗，由此產(chǎn)生的費用由買方承擔。7.7cThe Copper Cathodes specification stated in this Sale/Purchase Agreement and endorsed by the SGS Q

49、uality certificate and the weight stated in Bill of Lading are subject to the Certificate of Inspection issued by the Commodity Inspection Bureau (CIQ) at the port of destination. 該買賣合同規(guī)定的由瑞士通行公證行出具產(chǎn)品質(zhì)量背書的銅陰極板規(guī)格說明以及提單中規(guī)定的重量說明與目的港商品檢驗局出具的檢驗證明相符。7.7dIf the quantity exceeds 0.2% difference between the

50、sellers and the buyers inspection records, the mutual party should negotiate for settling the disputes, claims and compensations. 如果買賣雙方檢驗結(jié)果的差異值超過0.2%，雙方應通過協(xié)商解決爭端，索賠和賠償事宜。7.7eThe buyer can reject acceptance of goods if Cu is below 99.95%. The Buyer must via fax send the certificate of quality and qu

51、antity issued by SGS/CIQ Buyer's to the Seller within 48 hours from moment it's issuance. 如果銅含量低于99.95%，買方有權(quán)拒絕貨品。買方應在買方瑞士通行公證行和出入境檢驗檢疫局出具質(zhì)量和數(shù)量證明后48小時內(nèi)將證明傳真給賣方。7.7fIf the SGS/CIQ report cannot be issued within 20 working days from the date of Shipment arrival date, the inspection report on th
