1、中國科學(xué)院武漢物理與數(shù)學(xué)研究所軟件最終用戶授權(quán)許可協(xié)議重要提示 - 請認(rèn)真閱讀：本中國科學(xué)院武漢物理與數(shù)學(xué)研究所軟件最終用戶許可協(xié)議（以下簡稱協(xié)議）是您（自然人、法人或其他組織）與中國科學(xué)院武漢物理與數(shù)學(xué)研究所之間（以下簡稱“武漢物數(shù)所”）有關(guān)復(fù)制、下載、安裝、使用武漢物數(shù)所軟件產(chǎn)品（包括但不限于源代碼，程序庫與應(yīng)用軟件等）以及任何相關(guān)材料（統(tǒng)一稱作“軟件”）的法律協(xié)議，同時本協(xié)議亦適用于任何有關(guān)本軟件的后期更新和升級。一旦復(fù)制、下載、安裝或以其他方式使用“軟件”，即表明您同意接受本協(xié)議各項條款的約束。如果您不同意本協(xié)議中的條款， 請勿復(fù)制、下載、安裝或以其他方式使用本“軟件”。1. 知識產(chǎn)權(quán)

2、I. 本“軟件”知識產(chǎn)權(quán)歸武漢物數(shù)所獨立所有。“軟件”的結(jié)構(gòu)、組織和代碼以及與“軟件”相關(guān)的所有信息內(nèi)容為武漢物數(shù)所的商業(yè)秘密和保密信息，均受著作權(quán)法和國際著作權(quán)條約以及其他知識產(chǎn)權(quán)法律法規(guī)的保護(hù)。II. 本協(xié)議對您使用“軟件”的授權(quán)并不意味著武漢物數(shù)所對其享有的知識產(chǎn)權(quán)也進(jìn)行了轉(zhuǎn)讓。在未經(jīng)授權(quán)的情況下不得將“軟件”用于商業(yè)用途。III無論如何，即無論用途如何、是否經(jīng)過修改或美化、修改程度如何，只要使用本軟件的整體或任何部分，未經(jīng)武漢物數(shù)所書面授權(quán)許可，軟件的版權(quán)標(biāo)識（Powered by WIPM）和武漢物數(shù)所官方網(wǎng)站（）的鏈接都必須保留，而不能清除或修改。2. 許可：在接受本協(xié)議限制條件約

5、或升級，但武漢物數(shù)所沒有為根據(jù)本協(xié)議許可的“軟件”提供維護(hù)或更新的責(zé)任。3. 測試版“軟件”：測試版“軟件”其性能和兼容性均未能達(dá)到最終全面發(fā)布版本的級別，將來也存在對“軟件”進(jìn)行重大更改的可能，其僅供測試“軟件”之用，請勿用于正式工作中。4. 權(quán)利和所有權(quán)的保留：武漢物數(shù)所保留所有未在本協(xié)議中明確授予您的權(quán)利。5. 約束和限制：I. 未獲商業(yè)授權(quán)之前，不得將本軟件用于商業(yè)用途。II. 武漢物數(shù)所提供的或您獲得的有關(guān)本“軟件”的任何信息只能由您為本協(xié)議許可的目的而使用，不得透露給任何第三方或用于創(chuàng)建任何與本“軟件”風(fēng)格基本相似的軟件。III. 您同意不對本“軟件”進(jìn)行修改、改編、對其制作衍生作

6、品、反編譯、逆向工程、反匯編，或以其他方式試圖從本“軟件”取得源代碼，或從“軟件”文檔中摘取其實質(zhì)部分作其他應(yīng)用。IV. 禁止對本軟件或與之關(guān)聯(lián)的商業(yè)授權(quán)進(jìn)行分發(fā)、出租、出售、抵押或發(fā)放子許可證。V. 若您以電子方式收到軟件的第一份拷貝，而后以存儲媒質(zhì)的方式收到第二份拷貝，則第二份拷貝只可用于存檔，不得轉(zhuǎn)讓或供他人使用。6. 免責(zé)說明：在任何情況下，對于因使用或無法使用本軟件而導(dǎo)致的任何損失（包括但不僅限于業(yè)務(wù)中斷或業(yè)務(wù)信息丟失），武漢物數(shù)所概不承擔(dān)任何責(zé)任，即使武漢物數(shù)所已被告知可能會造成此類損失。在任何情況下， 武漢物數(shù)所均不就任何直接的、間接的、附帶的、后果性的、特別的、懲戒性的和處罰性

7、的損害賠償承擔(dān)任何責(zé)任，無論該主張是基于保證、合同、侵權(quán)（包括疏忽）或是基于其他原因作出。有關(guān)本軟件最終用戶授權(quán)協(xié)議與技術(shù)服務(wù)的詳細(xì)內(nèi)容，均由武漢物數(shù)所（）提供唯一的解釋。武漢物數(shù)所擁有在不提前通知的情況下，修改授權(quán)協(xié)議的權(quán)力，修改后的協(xié)議對自改變之日起的新授權(quán)用戶生效。7. 協(xié)議終止：您一旦開始安裝本軟件，即被視為完全理解并接受本協(xié)議的各項條款，在享有上述條款授予的許可權(quán)力同時，也受到相關(guān)的約束和限制，本協(xié)議許可范圍以外的行為，將直接違反本授權(quán)協(xié)議并構(gòu)成侵權(quán)。一旦您違反本協(xié)議的條款，武漢物數(shù)所隨時可能終止本“協(xié)議”、收回授權(quán)，并要求您承擔(dān)相應(yīng)法律責(zé)任。8. 第三方程序：此軟件可能包含第三方程

8、序。 當(dāng)使用第三方程序時， 應(yīng)用這些程序的許可條款。武漢物數(shù)所不承擔(dān)任何責(zé)任。本協(xié)議受中華人民共和國法律管轄。如您與武漢物數(shù)所就本協(xié)議的相關(guān)問題發(fā)生爭議，雙方均有權(quán)向武漢物數(shù)所所在地管轄法院提起訴訟。End User License Agreement for the Wuhan Institute of Physics and Mathematics, Chinese Academy of Science Software ProductsIMPORTANT - READ BEFORE COPYING, INSTALLING OR USING. 9、greement (hereinafter referred to as “Agreement”) is a legal contract between you, as a natural person, legal person or other organization, and Wuhan Institute of Physics and Mathematics, Chinese Academy of Sciences (hereinafter referred to as “WIPM”). By copying, downloading, installing, or otherwi

10、se using the WIPM software, including but not limited to source code, libraries, application software, and any relevant material (hereinafter referred to as “Software”), you agree to be bound by the terms of this Agreement. This agreement also applies to later updates and upgrades of the Software. I

11、f you do not agree to the terms of this Agreement, do not copy, install, download or use the Software. 1. LICENSE GRANT: Subject to all of the terms and conditions of this Agreement, WIPM grants to you a non-exclusive license to use the Software with the provisions of this Agreement.The Software use

12、 is divided into non-commercial use and commercial use in this Agreement:“Non-commercial use” refers to the individual or academic community to use the software for non-commercial purposes.“Commercial use” refers to the individual or group of institutions (such as companies, governments, schools, mi

13、litary, social organizations and other types of organizations) to use this Software for commercial or profit-making purposes.NON-COMMERCIAL USE LICENSE: If you are using the Software under the control of a Noncommercial-Use license, you as an individual or academic community may use the Software onl

14、y for non-business use where you receive no fee, salary or any other form of compensation. The Software may not be used for any other purpose, whether for profit or not for profit. Any work performed or produced as a result of use of the Software cannot be performed or produced for the benefit of ot

15、her parties for a fee, compensation or any other reimbursement or remuneration. WIPM will provide you with a license code key that enables the Software for a Noncommercial-Use license. 16、 Software. If the academic work (including but not limited to papers and patents) is achieved by using this Software, you should acknowledge this Software you used. You may NOT: (i) use or copy the Software except as provided in this Agreement; (ii) use the Software for commercial use before getting commercial-use license; (iii) Distribute, rent, lease, sell, mortgage or sublicensing t

20、he Software to any third party; (iv) assign this Agreement or transfer the Software without the express written consent of WIPM; (v) modify, adapt, or translate the Software in whole or in part except as provided in this Agreement; (vi) reverse engineer, decompile, or disassemble the Software; (vii)

21、 attempt to modify or tamper with the normal function of a license manager that regulates usage of the Software; (vii) distribute, sublicense or transfer the Source Code form of any components of the Software.3. COPYRIGHT: Title to the Software and all copies thereof remain with WIPM independently.

22、The Software are copyrighted and are protected by Copyright Law of the Peoples Republic of China and international treaty provisions. You will not remove or modify any copyright notice (Powered by WIPM) and website links of WIPM ( HYPERLINK ) of the Software. You agree to prevent any unauthorized co

Except as expressly provided herein, no license or right is granted to you directly or by implication, inducement, estoppel or otherwise, specifically WIPM does not grant any express or implied right to you under WIPM patents, copyrights, trademarks, or trade secret informatio

24、n. 4. BETA SOFTWARE:Beta Software shall mean the beta version of the Software. The performance and compatibility of Beta Software dose not reach the level of the final version. Significant changes may be done to the Beta Software. Do NOT use it in formal work and you use it at your own risk.5. RESER

25、VATION OF RIGHTS AND OWNERSHIPWIPM reserves ownership and all rights not expressly granted to you by this Agreement.6. DISCLAIMER OF WARRANTY:The software is licensed “as-is.” You bear the risk of using it. WIPM gives no express warranties, guarantees or conditions. WIPM WILL NOT BE LIABLE FOR ANY D

26、AMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WIPM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You may have addit

27、ional consumer rights under your local laws which this agreement cannot change. To the extent permitted under your local laws, WIPM excludes the fitness for a particular purpose and non-infringement.WIPM () provide the only explanation on the detailed Agreement and technical services of the Software

28、. WIPM has the power to modify the license agreement and authorization services prices without prior notice. The modified agreement will enter into force to the new authorized user from the day it has been modified.7. TERMINATION OF THIS LICENSE: This Agreement becomes effective on the date you acce

29、pt this Agreement and will continue until terminated as provided for in this Agreement. WIPM may terminate this license immediately if you are in breach of any of its terms and conditions. Upon termination, you will immediately return to WIPM or destroy the Software and all copies thereof. 8. GENERAL PROVISIONS ENTIRE AGREEMENT: This Agreement is intended to be the entire agreement between you and WIPM with respect to matters contained herein, and supersedes all prior or contemporaneous agreements and negotiations with respect to those matters.
