歡迎下載內(nèi)容僅供參考戰(zhàn)略合作框架協(xié)議書StrategicCo-operationFrameAgreement甲方：中地?cái)?shù)碼集團(tuán)PartyA:ZonDyCyberGroup,Co.,LTD.乙方：PartyB:鑒于Whereas,甲方總部設(shè)立在中國，是中國境內(nèi)最大的空間信息處理工具及空間數(shù)據(jù)服務(wù)提供商，致力于為客戶提供空間信息領(lǐng)域的專業(yè)GIS平臺、工具及全面的空間信息解決方案。PartyAheadquarterislocatedinWuhan,HubeiProvince,P.R.China.It'sChina’slargestspatialinformationprocessingtoolsandspatialdataservicesproviderwhoiscommittedtoprovidingcustomerswithprofessionalGISplatform,tools,andcompletespatialinformationsolution.乙方為(省略)，經(jīng)營范圍為(省略)：PartyB’smajoroperationintheSoutheastAsia,themainbusinessfieldsareasfollow:甲乙雙方經(jīng)友好協(xié)商，就整合雙方的優(yōu)勢資源開展國際合作，結(jié)成戰(zhàn)略合作一事達(dá)成如下協(xié)議：Throughfriendlydiscussion,withthedesireofintegratingcompetitiveadvantagesforinternationalbusinessdevelopment,bothPartyAandPartyBhavemutuallyagreedfollowingitemsforstrategicco-operation.一、合作領(lǐng)域Co-operationDomain.甲乙雙方擬在下列方面進(jìn)行合作（包括但不限于以下方面：PartyAandPartyBhaveagreedonthefollowingco-operation(includedbutnotlimitedtothefollowing)1市場份額增長。Market Development and Business Promotion: Each party should follow theprincipleofmutualbenefit.Thisprinciplemustdetailedlyindicatetheinterestspaceandmutualbenefitpoliciesindetail.InAddition,eachpartyshouldstrivetoprojectbidding,marketdevelopment,aswellasefficientlyimprovemarketshareforbothpartiesintheASEANarea.2推廣，同時(shí)促進(jìn)雙方技術(shù)在行業(yè)應(yīng)用過程中的國際化進(jìn)程。TechnicalCo-operation:Eachpartymustkeeptrackingmarketdemands,andpersistentoncurrenttechnologies'applicationandgeneralization,meanwhile,promotetheinternationalapplicationoftechnologiesfrombothparties.3流以及學(xué)術(shù)交流，并共同承辦相關(guān)的重大會議，共享彼此信息。InternationalCommunication:PartAandPartBwillco-operateinorganizingimportantmeetingandconferences,orparticipateinthegeo-spatialinforelatedbusinesscommunicationandacademicexchange,andsharetheinformationwitheachother.二、 合作方式MannerofCo-operation1、甲乙雙方共同建立高層定期溝通制度，保證各項(xiàng)工作的順利開展.BothPartieswillmutuallydevelop periodicalmanagementcommunicationtoensuresmoothdevelopmentofco-operationbusiness.2功而努力。BothPartieswillrecognizeanotherpartyasthestrategicpartnerinitsownterritoryandstriveforthesuccessonco-operationbusiness.3用另一方這些內(nèi)容時(shí)，該方須標(biāo)明內(nèi)容來自另一方。BothPartiesagreed,inthisagreementvalidityperiod,onepartycanuseanotherparty’slegallylicenseddocumentsandlegallyauthorizedwordings,soundtracksandpictures,resourcesandetc.Ifanotherpartyusesthesekindsofresourcesinhisownwebsite,thesourceofinformationshouldbeclearlystated.4體項(xiàng)目合同予以解決。RegardingtheexpensesandprofitsharingfortheBusinessInvestigationprogramandspecificco-operationproject,bothpartiesagreetoresolveitinanotheragreement.三、 合作承諾：Co-operationCommitment1、 友好合作、緊密配合、互相尊重、互相學(xué)習(xí)為基礎(chǔ)；認(rèn)可客觀各國文化異性，吸收優(yōu)秀文化，謀求中西融合、和諧發(fā)展。BothPartiesagreedthattheco-operationisbuiltuponfoundationoffriendlyco-operation,closelysupport,mutuallyrespectandco-learningbase.BothPartieswillobjectivelyrecognizeculturaldifferences,learningthebestpartsfromeachother,strikingforthebestharmonicdevelopment.2、工作縝密細(xì)致、誠實(shí)守信、合法經(jīng)營、各自承擔(dān)法律義務(wù)。BothPartiesagreedtoworkdeliberatelywithintegrity,operatelegallyandberesponsibleforindividual’sownduties.四、 甲乙雙方均認(rèn)可本協(xié)議是對雙方合作的一種框架性安排涉及到具體項(xiàng)目再行簽訂相關(guān)合同書。BothPartiesfullyrecognizethatthisagreementonlyservesasaframeworkofco-operation.Forthedetailsofindividualco-operationproject,anotherindependentagreementwillbeagreedandsigned.五、 未盡事宜雙方協(xié)商解決。Forthemattersnotmentionedinthisagreement,bothpartieswillmutuallydiscussthem..六、 本協(xié)議有效期為1 年從2011 年7 月1 日始至2012 年6月30日止。協(xié)議期滿，甲乙雙方另行協(xié)商續(xù)簽。ThisAgreementisvalidfrom2011-7-1to 2011-6-30.Uponexpiry,bothPartiesdiscussabouttherenewalissue.七、 本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，簽字蓋章即具法律效力。ThisAgreementiswritteninbothChineseandEnglishl
