工程施工合同Contracct合同編號(CoontracctNO..)：簽訂日期(Daate)：發(fā)包方（簡稱甲甲方）PartyAA:承包方（簡稱乙乙方）：PartyBB:根據(jù)《中華人民民共和國合同同法》以及其其他有關(guān)法律律法規(guī)規(guī)定的的原則，結(jié)合合本工程的具具體情況，甲甲、乙雙方在在平等、自愿愿、協(xié)商一致致的基礎上達達成如下協(xié)議議，共同遵守守。Accordiingtoo“P.R.CConntracttLaw”,,andootherrelevvantllawsaandreegulattionstothhespeecificccirccumstaancesofthhisprrojectt,parrtiesAanddBhaaveheerebyequalllyanndvolluntarrilyeentereedinttotheefolllowinggagreeementtexeccutedonthhebassisoffmutuualreespectt.工程概況Projecttoverrview工程名稱：Projecttnamee:工程地點：Projecttlocaation::工程范圍：A.新研發(fā)中中心和新廠房房的網(wǎng)絡綜合合布線系統(tǒng)的的施工；B.數(shù)據(jù)中心心的建設，主主要包含：數(shù)數(shù)據(jù)中心的裝裝飾工程、電電氣系統(tǒng)、空空調(diào)系統(tǒng)、機機房閉路監(jiān)控控系統(tǒng)、機房房門禁系統(tǒng)、消消防系統(tǒng)改造造、機柜系統(tǒng)統(tǒng)等。Projecttconttents::A.ThenewRR&Dandnnewpllantcconstrructioonofnetwoorkcaablinggsysttems;B.DataaCenteer,maainlyincluudes:datacenteerdeccoratiionanndeleectriccalsyystemss,airr-condditionningssystemms,CCCTVsyystemss,acccessccontroolsysstems,,fireefighttingssystemmrefoorm,sserverrrackksysttems.開工條件：合同同生效后，甲甲方預付款到到位和現(xiàn)場具具備開工條件件。Startccondittions::Afteertheecommmencemmentooftheeconttract,,ParttyAhhassttarteddadvaanceaandonn-siteecondditionnsinplacee.工程造價：合同同工程總造價價為￥元（CCNY），人民幣大大寫Projecttcostt：Totaalproojectcostisyuuan(CCNY)..詳細合同價格表表見附件報價價清單。Detaileedconntracttpriccelisstseeeattaachedquotaationlist..在詳細設計和施施工過程中，若若工程量發(fā)生生變化，按合合同單價相應應調(diào)整工程造造價；若材質(zhì)質(zhì)發(fā)生變化，按按雙方商定的的補充協(xié)議調(diào)調(diào)整工程造價價。Inthedetaiiledddesignnandconsttructiionprrocesss,ifthepprojecctquaantityychannges,accorrdingtothheconntracttpricceadjjustmeentprrojecttcostt;ifthemmateriialisschannged,thessuppleementaalagrreemenntagrreedbbybotthparrtiesforaadjusttmentofenngineeeringcost..付款方式Termsoofpayyment由乙方向甲方提提供指定帳戶戶、甲方以支支票方式或銀銀行轉(zhuǎn)賬方式式向乙方結(jié)算算合同款；PartyBBshalllproovidetheddesignnatedaccouunttooparttyA,PartyyAbyychecckorbanktranssferttopayythecontrractppaymennttoPartyyB.本合同生效后，甲甲方付給乙方方合同總價的的40%作為為工程預付款款，即￥元；；Aftertthesiigninggoftthisccontraact,PPartyAshaallpaaytoPartyyB400%ofthettotalcontrractppriceasthheproojectadvanncepaaymentt;數(shù)據(jù)中心及網(wǎng)絡絡布線系統(tǒng)工工程完工并且且雙方簽訂工工程驗收報告告后7天以內(nèi)內(nèi)，甲方付給給乙方合同總總價的55%%，即￥元；；Dataceenterprojeectanndnettworkcabliingsyystemssengiineeriingcoomplettedanndsiggnedaaprojjectaaccepttancereporrtbybothpartiieswiithin7dayysaftter,PartyyAshhallppaytooParttyB555%oftheccontraactprrice.工程竣工后3個個月內(nèi)，甲方方支付給乙方方剩余的合同同款，即￥元元；Aftertthecoomplettionooftheeprojjectwwithinn3moonths,,ParttyAsshallpayttoParrtyBtherremainningccontraactprrice.雙方職責Responssibiliitiesofthheparrties甲方職責：ResponssibiliitiesofpaartyAA:a.及時以書書面形式通知知乙方本工程程具備開工條條件的時間;;TimelywritttennooticetoPaartyBBthecondiitionssoftthispprojeccthavvetheetimeetosstart;;b.協(xié)助乙方方辦理進駐施施工現(xiàn)場所需需人員證件、批批件等有關(guān)手手續(xù)；ToassiistPaartyBBtoeenterthecconstrructioonsitteperrsonneelreqquiredddocuumentss,appprovalldocuumentssandotherrreleevantproceeduress;c.為乙方提提供現(xiàn)場工程程辦公室和足足夠的現(xiàn)場倉倉庫；Toprovvideoon-sitteenggineerringoofficeeandsuffiicienttfielldwarrehousse;d.積極協(xié)助助乙方施工，協(xié)協(xié)調(diào)施工時與與各部門的配配合，并負責責提供工程所所需的現(xiàn)場平平面圖及建筑筑結(jié)構(gòu)圖。ActivellyasssistPPartyBconnstrucction,,coorrdinattionwwithvvariouusdeppartmeents,andrresponnsibleeforproviidingthenneededdforthepprojecctsitteplaansanndarcchiteccturalldrawwings..e.及時按合合同規(guī)定之付付款進度向乙乙方支付工程程款項。TimelyaccorrdingtothheterrmsoffthecontrractppaymenntschheduleetoppayPaartyBBprojjectffunds..乙方職責：ResponssibiliitiesofpaartyBB:a.乙方在工工程開始前應應組織有關(guān)人人員研究和熟熟悉圖紙，參參與設計交底底，安排施工工總進度計劃劃并提交給甲甲方；PartyBBbefoorethheproojectbeginnsshaallorrganizzerellevanttperssonnelltosstudyandbbefammiliarrwithhdrawwings,,invoolvedinthhedessignwwork,arranngemenntofconsttructiiongeenerallscheeduleplanandssubmitttoPPartyA;b.向甲方或或項目監(jiān)理提提供所購各種種產(chǎn)品、設備備的技術(shù)資料料，接受進場場檢驗；TothepartyyAorpprojecctsuppervissionttoproovidetheppurchaaseavarieetyoffprodducts,,equiipmentt,tecchnicaalinfformattion,accepptenttryinnspecttion;c.遵守甲方方或監(jiān)理方對對施工現(xiàn)場的的有關(guān)規(guī)定；；Abidebbytheeparttyorthessupervvisionnoncconstrructioonsitteoftherrelevaantprrovisiions;d.按時完成成乙方所承擔擔的施工任務務，保證工程程施工質(zhì)量。TimelycomplletionnofcconstrructioontassksunndertaakenbbyParrtyB,,toeensureeconsstructtionqqualitty.施工與工程設計計變更Construuctionnandenginneerinngdessigncchangee乙方在施工中要要根據(jù)國家頒頒發(fā)的施工驗驗收規(guī)范和質(zhì)質(zhì)量檢驗標準準，以及設計計要求進行，要要求全部工程程達到合格標標準。OntheconsttructiionoffParttyBaaccorddingttotheecounntryiissueddconsstructtionaaccepttancenormssandqualiityinnspecttionsstandaards,asweellassthedesiggnreqquiremments,,allprojeectacchieveethequaliifiedstanddard.在施工中，要堅堅持按照設計計文件和施工工圖紙施工，任任何一方不得得隨意變更設設計，如出現(xiàn)現(xiàn)窩工、返工工和材料損失失，以及增加加勞動力成本本等，由于甲甲方的原因造造成的，損失失由甲方承擔擔，由于乙方方的原因造成成的，損失由由乙方承擔。Duringconsttructiion,ttoadhherettotheedesiigndoocumenntsanndconnstrucctiondrawiingsooftheeconsstructtion,anyppartyshalllnotbearrbitraarilychanggeddeesign,,suchhasttheemmergennceoffidleeness,,rewoorkanndlosssofmaterrial,asweellassaniincreaaseinnlaboorcosst,assthepartyyA'sccause,,losssbornnebytheppartyA,thheParrtyBcausees,loossesshalllbebbornebyPaartyBB.在施工中，若甲甲方A有變更更設計文件的的要求，應書書面通知乙方方；若乙方發(fā)發(fā)現(xiàn)設計文件件有錯誤或嚴嚴重不合理的的地方，也應應書面通知甲甲方，雙方商商定并修改設設計文件和圖圖紙后方可繼繼續(xù)施工。Duringthecconstrructioon,iffthepartyyAtoochanngethhedessignddocumeent,sshallgiveawriittennoticcetoPartyyB;iifParrtyBisfooundtthedeesigndocummentsarewwrongorseerioussunreeasonaablepplace,,shouuldallsobeewritttennnoticeetoPPartyA,boothsiidesaagreeddandmodiffydessignddrawinngsannddoccumenttsbefforeiitcannconttinuetocoonstruuctionn.在施工過程中，如如遇下列情況況，需順延工工期，雙方應應及時進行協(xié)協(xié)商，并通過過書面形式確確定順延期限限：Intheproceessoffconsstructtion,incaaseoffthefolloowingcircuumstannces,beexxtendeedperriod,bothpartiiesshhallttimelyyconssultattions,,andthrouughthhewriittenformtodeetermiinethheexttensioonofthettimellimit::因天災或人力不不能抗拒的原原因被迫停工工的；Becauseeofnnaturaaldissasterrortthemaanpoweerirrresisttiblereasoonsfoorcedshutddown;因甲方提出變更更計劃或變更更施工圖而不不能繼續(xù)施工工的；BecauseeparttyAppropossedchhangesstotthepllanorrchanngethheconnstrucctiongraphhtherreforeecannnotcoontinuueconnstrucction;;乙方不能按期供供設備或所供供材料或者設設備不合規(guī)格格要求，被迫迫停工或不能能順利施工的的；PartyBBfaillstosuppllyequuipmenntorfortthemaateriaalsorrequiipmenttofddifferrentsspecifficatiions,wasfforceddtosshutddownoornottsmooothcoonstruuctionn;竣工驗收與售后后服務Finalaaccepttanceandaafter--salessservvice乙方必須嚴格執(zhí)執(zhí)行隱蔽工程程驗收制度，凡凡隱蔽工程完完成后，必須須經(jīng)過驗收并并作好記錄((隱蔽工程指指墻內(nèi)、吊頂頂內(nèi)的管線施施工等）。PartyBBmusttstriictlyenforrcethhehidddenwworkssystemm,wheerethhehidddenwworkhhasbeeencoompletted,mmustppassiinspecctionandmmakerrecordds(hiiddenworkssrefeerstoothewall,,theceiliinginnsidetheppipeliinecoonstruuctionn,etcc.).整體工程竣工后后，乙方向甲甲方提交竣工工文檔并提交交書面驗收申申請。甲方接接到申請后77日內(nèi)組織有有關(guān)人員按照照合同內(nèi)容和和事先約定的的驗收條款進進行項目驗收收，并出具雙雙方簽字的驗驗收報告。如如甲方不能按按期組織驗收收，須提前通通知乙方，并并與乙方另行行商定驗收日日期，但甲方方必須承認乙乙方的竣工時時間。甲方推推遲驗收，其其間所發(fā)生的的管理費和各各項損失均由由甲方負擔。如如果提交驗收收申請后一個個月仍未能完完成驗收，則則以竣工之日日作為系統(tǒng)的的保修開始日日期。Whenthhewhooleprrojecttisccompleeted,PartyyBshhallssubmitttoppartyAcomppletedocummentattionaandsuubmitawriittenaccepptanceeappllicatiion.PPartyAshaallwiithin7dayysaftterreeceiviingthheappplicattionoorganiizereelevanntperrsonneelinaccorrdanceewithhthecontrractccontenntsandthepprescrribedinspeectionnclauuseoffprojjectaaccepttance,,andissueethereporrtsiggnedbbybotthparrties..IfPPartyAfaiilstooorgaanizeaccepptancee,shaallinnformPartyyBinnadvaance,andPPartyBtobeaggreeddateofaccceptaance,butppartyAmusttacknnowleddgepaartyBBcomppletioontimme.paartyAAdelaayedaaccepttance,,duriingwhhichooccurrredinnthemanaggementtfeessandallllossessshalllbeborneebyPPartyA.Iffthesubmiissionnofaccceptannceappplicaationonemmonthafterrfailledtoocomppleteaccepptancee,theecomppletioondatteasthessystemmwarrrantystarttdatee.工程驗收合格后后進入質(zhì)保期期。質(zhì)保期為為驗收合格之之日起12個個月。在質(zhì)保保期內(nèi)，乙方方應對系統(tǒng)除除人為因素外外的所有故障障負責免費維維修或更換。Projecttafteeraccceptannceinntothhewarrrantyyperiiod.WWarranntypeeriodfromtheddateoofaccceptannceoff12mmonthss.Durringtthewaarranttyperriod,PartyyBshhallssystemminaadditiiontoohumaanfacctorsallffaultisreesponssibleforffreerrepairrorrreplaccementt.在質(zhì)保期內(nèi)，乙乙方做到對甲甲方求援電話話2小時內(nèi)響響應，8小時時內(nèi)抵達現(xiàn)場場并著手解決決問題。質(zhì)保保期結(jié)束后，乙乙方對系統(tǒng)進進行有償維護護。有償維護護的費用由雙雙方協(xié)商。Duringthewwarranntypeeriod,,ParttyBsshalldotoohelppteleephoneerespponsewithiin2hhours,,8hooursttoarrriveaattheescenneanddsetabouttsolvvingttheprroblemm.Aftterthheenddoftthewaarranttyperriod,PartyyBonnthesysteempaiidmaiintenaance.Paidmainttenanccecosststhhroughhconssultattionbbytheetwopartiies.技術(shù)服務和培訓訓Techniccalseerviceeandtrainning由乙方按技術(shù)培培訓大綱負責責對甲方的有有關(guān)操作人員員和維修人員員進行使用級級培訓。通過過培訓，使甲甲方的受訓人人員能掌握系系統(tǒng)設備的配配置，能進行行正確操作和和日常維護及及一般常見故故障排查。接接受培訓的人人員由甲方確確定，日期由由甲乙雙方共共同商定。PartyBBaccoordinggtottheteechniccaltrraininngproogramforPPartyA'soperaatorsandrrepairrperssonnelltouusecllassttrainiing.TThrougghtraainingg,theetraiineescanggrasptheppartysysteemequuipmenntconnfigurrationn,canncorrrectooperattionaandrooutineemainntenannceanndcommmonttroublleshoootingg.TraiinedppersonnnelwwereiidentiifiedbythheparrtyA,thedatemutuaallyaagreeddbybbothppartiees.在保修期內(nèi)，乙乙方提供兩次次上門巡檢服服務，包括各各系統(tǒng)運行狀狀況的查看、記記錄，以及必必要的設備維維護。Duringthewwarranntypeeriod,,ParttyBsshallproviidetwwoon--siteinspeectionnservvices,,inclludinggthestatuusofsysteemvieew,reecordiing,aandthheneccessarryequuipmenntmaiintenaance.乙方為甲方免費費提供網(wǎng)絡綜綜合布線系統(tǒng)統(tǒng)和數(shù)據(jù)中心心的技術(shù)咨詢詢服務。PartyBBshalllproovidefreenetwoorkcaablinggsysttemannddattacennterttechniicalaadvisooryseervicees.違約責任Theliaabilittyforrbreaachoffconttract乙方提供貨物的的質(zhì)量或規(guī)格格不符合合同同約定，行業(yè)業(yè)規(guī)格或政府府的法令法規(guī)規(guī)的要求的，甲甲方可以根據(jù)據(jù)貨物的性質(zhì)質(zhì)以及損失大大小，要求乙乙方承擔修理理，更換，退退貨，減少價價款等責任。PartyBBshalllproovidetheqqualittyorspeciificattionsofthhegooodsdooesnootconnformtothheconntracttspeccificaationss,inddustryyorggovernnmentregullatoryyrequuiremeents,PartyyAmaayacccordinngtothennatureeoftthegooodsaandthhelosssofsize,,Bshhouldbeartherrepairr,repplacemment,returrn,reeducecost..乙方除因受《中中華人民共和和國合同法》規(guī)規(guī)定的不可抗抗力因素影響響外，如果未未能按計劃施施工，則乙方方在竣工之日日前，每日應應按甲方所支支付合同款的的1‰（大寫：千千分之一）賠賠償甲方損失失。PartyBBexceeptduueto""P.R..CConntracttLaw""provvisionnsofforceemajeeureffactorr
