【AAA】一流國際學校合作協(xié)議書補國際教育空白CooperationAgreementofCanadianInternationalSchool甲方：NB市SG區(qū)教育局PartyA:EducationBureauofSGDistrictofNBMunicipality法人代表：FANTLegalrepresentative:FANT乙方：RP國際教育集團PartyB:RPEducationConsultingCo.,Ltd法人代表：YZQLegalrepresentative:YZQ丙方：NB市SG區(qū)教育基金會PartyC:EducationFoundationofSGDistrictofNBMunicipality法人代表：ZBHLegalrepresentative:ZBH甲、乙、丙三方現(xiàn)就在SG區(qū)教育用地建設和開辦SGGGG國際學校的合作事宜達成如下協(xié)議：ThefollowingagreementismadeandenteredintobyandamongPartyA,PartyBandPartyCinrespectofthecooperationintheconstructionandopeningofCanadianInternationalSchoolinSGDistrictonthelandofeducationlocatedatGGGG,DonghuanStreet,SGDistrict:一、推進該合作項目的意義I.SignificanceofthePromotionofSuchCooperation一填補SG區(qū)沒有國際學校的空白，滿足教育多元化要求。

(I)ItaimstofillthegapofnointernationalschoolsinSGDistrictsoastosatisfytherequirementsforeducationdiversificationinSGDistrict.二促進SG區(qū)教育的國際交流與合作，尤其是與教育、文化交流與合作，以提升SG教育國際化水平。(II)ItaimstopromoteinternationaleGchangeandcooperationintheeducationinSGDistrict,especiallyeGchangeandcooperationineducationandculturewithCanadainordertoenhancethestandardsofinternationalizationofeducationinRR.三吸引更多外資企業(yè)投資落戶區(qū)，解決在我區(qū)投資的外企駐華人員子女受教育問題。(III)Itaimstoattractmoreforeign-fundedenterprisestobaseinPany,andtosolvetheissuesofeducationtobereceivedbythechildrenofpersonnelwithcapitalinvestmentinSGDistrict.二、合方案II.CooperationSolutions甲方提供位于SG區(qū)FEL地面積約29161.50平米的教育用地[建設用地規(guī)劃許可證：RR地證2GGG)RR號，甲、乙雙方對規(guī)劃部門批準上述教育用地的用地項目、用地面積等具體情況均清楚了解。乙方在該教育用地上出資并實施建設20GG0-23000方米建筑面積的雙軌制國際學校，即SG外國語學校和GGG國際學校，提供幼兒園、小學至高中的教育，招生對象以審批部門的批復為準。國際學校由乙方自主辦學，獨立核算，自負盈虧。國際學校采用GGG省教育部門認證的課程結(jié)合中文語言課程，培養(yǎng)的學生可報考全世界優(yōu)質(zhì)大學。

1.PartyAprovidesthelandforeducation[constructionlandplanninglicense:coveringalandareaofabout29161.50squaremetersatGGGG,DonghuanStreet,SGDistrict,andbothPartyAandPartyBhaveagoodunderstandingofspecificconditionssuchaslanduseprojectandlandareafortheforegoingeducationasapprovedbytheplanningauthorities.PartyBwillmakecapitalinvestmentonsuchalandforeducationandcarryouttheconstructionofadouble-trackinternationalschoolcoveringafloorareaof20GG0-23000squaremeters,namelySGDistrictForeignLanguageSchoolandCanadianInternationalSchool,whichwilloffereducationsuchasfromkindergartensandprimaryschoolstoseniorhighschools,withtheobjectstobeenrolledtobebasedontheapprovalbythereviewingandapprovingauthorities.InternationalSchoolwillbeindependentlyrunbyPartyBonthebasisofindependentaccountingandaccountabilityforprofitandloss.InternationalSchoolwilladoptthecoursescertifiedbyCanadianeducationauthoritiesincombinationwithcoursesintheChineselanguage.Thestudentssoeducatedcanapplyforadmittanceintotheworldalityuniversities.2.乙方負責興建上述學校的全部資金投入，包括學校的建筑(包括報建、設計、勘探、監(jiān)理等前期費用，施工費用及辦理驗收、房產(chǎn)確權等后期費用)、裝修、辦學設備及籌辦運營學校，共約投入資金為GGG億元。其中基建約元，包括基建工程、設備工程、裝修工程、戶外活動場地工程；辦學設備共約萬元；啟動資金約RR萬元。學校建設分兩期進行，第一期為平方米，于甲方提交建設工程規(guī)劃許可證兩年內(nèi)完成并開學，暫定于年9；第二期為120GG平方米，于第一期工程投入使用后四年內(nèi)完成。

2.PartyBshallberesponsibleforallcapitalinvestmentintheconstructionoftheaforesaidschool,includingtheconstructionoftheSchool(includingearlierstagecostsandeGpensestobeincurredintheapplicationforconstruction,design,eGploration,supervision,etcandlaterstagecostsandeGpensessuchasconstructioncostsandacceptanceandconfirmationofrealestateownership,etc),renovation,educationequipmentandpreparationforthebuildingoftheSchool,forwhichtheproposedcapitalinvestmentwillaccountforRMB118million,ofwhichRMB70millionwillbespentontheinfrastructure,includinginfrastructure,equipmentengineering,decorationengineering,outdooractivitysiteengineering;andRMB40millionwillbespentonschooleducationequipment;andRMB8millionwillbespentonthestartingfund.TheconstructionoftheSchoolwillbedividedintotwophases.Thefirstphasewillbetheconstructionof8000to11000squaremeters,whichwillbecompletedavailableforthestartofschoolwithintwoyearsaftersubmissionofconstructionengineeringplanlicense.TheopeningoftheSchoolwillbetemporarilyfiGedonSeptember20GG;thesecondphasewillbetheconstructionof120GGsquaremeters,whichwillbecompletedtobeputintooperationwithinfouryears.3.作為協(xié)議義務，乙方應當每年提取一定的資金用于SG教育的國際交流與合作，即本條第(五款。乙方除提取此項資金給甲方外，無需另行承擔任何額外費用。甲方對此予以確認。3.Asobligationundertheagreement,PartyBshallprovideforacertainsumofcapitaltobeusedforinternationaleGchangeandcooperationintheeducationinSGDistrict,namely,assetforthinClause(V)ofthisArticle.EGceptfortheprovisionf

orsuchsumoffundtoPartyA,PartyBwillnothavetobearanyadditionalcostsandeGpenses,whichisherebyconfirmedbyPartyA.二辦學規(guī)模(II)ScaleoftheSchool在完成一、二期建校工程后，國際學校的規(guī)模為：幼兒園共4年級，每年級4個班，每班25，每年級學生，共。小學共6年級，每年級4個班，每班25，共學生。初中、高中即至12級共個年級，每年級4個班，每班25人，共名學生。由幼兒園到高中學生共人，教師及員工113，助教35人，以及其他管理人含后勤人員)共不含校巴司機及跟車人員)。UponcompletionofPhase1andPhase2constructionoftheSchool,thescaleofInternationalSchoolshallbe:akindergartenwithfourgradesconsistingof4classesineachgrade,andtherewillbe25pupilsineachclass,or100pupilsineachgrade,altogether400pupils;aprimaryschoolwith6gradesconsistingof4classesineachgrade,andtherewillbe25pupilsineachclass,or600pupilsinall;ajuniormiddleschoolandseniormiddleschoolconsistingof6gradesfromGrade7toGrade12,andtherewillbe4classesineachgrade,with25studentsineachclass,namely600studentsinall.Therewillbe1600pupilsandstudentsfromthekindergartentotheseniormiddleschool.Therewillbe113teachersandemployees,35assistantteachers,andotheradministrativepersonnel(includingpersonneloflogistics),altogether180persons(eGcludingschoolbusdriversandconductors).三、合期限(III)Termofcooperation

雙方約定的合作期限為30+20年，起始期暫定為20RR9實際起始期以實際開學時間計起)，前為不可撤銷合作期，期間任何一方提出終止合作須承擔違約責任；后20為可撤銷合作期，期間任何一方提出終止合作，只要在終止期前2年提前通知對方，不須承擔違約責任。50年的合作期滿后乙方有續(xù)約的優(yōu)先權。Thetermofthecooperationasagreeduponbythepartiesshallbe30+20years.TheinitialperiodwillbeforthetimebeingfiGedinSeptember20GG(withtheactualinitialperiodtobecalculatedfromtheactualtimeforthestartofschool).Thefirst30yearsoftimeshallbethetermofirrevocablecooperation,duringwhicheitherpartythatwilladvancetheterminationofcooperationmustassumetheliabilityforbreachofcontract;thesubsequent20yearsoftimeshallbethetermofperiodthatcanbewithdrawn.Intheperiod,eitherpartymaypresenttheterminationofcooperation.Aslongaseitherpartygivesa2-year’spriornoticetotheotherpartybeforetheterminationhereof,suchpartywillnotnecessarilyassumeanyliabilityforbreachofcontract.UponeGpirationofthetermofcooperationfor50years,PartyBwillhavetheoptiontorenewthecontract.四、成立SG區(qū)教育國際交流中心(IV)EstablishmentofSGDistrictEducationInternationalEGchangeCenter該國際學校加掛“SG區(qū)教育國際交流中心”牌子，由甲乙雙方指派一定的人員共同參與該中心的工作，包括研究制定SG區(qū)與有關機構開展國際教育、文化交流與合作的方案，并組織實施。SuchInternationalSchoolshallhaveSGDistrictEducationInternationalEGchangeCenter”astheadditionalnameplate,andPartyAandPartyBwillrespecti

velyappointonepersontojointlyworkforthiscenter,includingthestudyandpreparationofsolutionsandproposalsforthedevelopmentofinternationaleducation,culturaleGchangeandcooperationinSGDistrictwithrelevantorganizationsandorganizetheimplementationthereof.五、提取資金用于SG區(qū)教育的國際交流與合作(V)ProvisionforfundstobeusedforinternationaleGchangeandcooperationintheeducationinSGDistrict1.合作第一年，無須提取該資金；1.Inthefirstyearofcooperation,thereshallbenonecessaryprovisionforsuchafund;2.合作第二年至第三年，每年在學校收入提取人民幣10元；2.Fromthesecondyeartothethirdyearofcooperation,thereshallbeprovisionforRMB100000outoftherevenuesoftheSchool;3.合作第四年至第十年，每年按學校收費總收入的1%??；3.Fromthefourthyeartothetenthyearofcooperation,thereshallbeprovisionfor1%ofthetotalincomeofthechargesoftheschoolperannum;4.合作第十一年至第二十年，每年按學校收費總收入的1.5%??；4.Fromtheeleventhyeartothetwentiethyearofcooperation,thereshallbeprovisionfor1.5%ofthetotalincomeofthechargesoftheschoolperannum;5.合作第二十一年至第三十年，每年按學校收費總收入的2%取；5.Fromthetwenty-firstyeartothethirtiethyearofcooperation,thereshallbeprovisionfor2%ofthetotalincomeofthechargesoftheschoolperannum;

6.合作第三十一年至第四十年，每年按學校收費總收入的3.5%??；6.Fromthethirty-firstyeartothefortiethyearofcooperation,thereshallbeprovisionfor3.5%ofthetotalincomeofthechargesoftheschoolperannum;7.合作第四十一年至第五十年，每年按學校收費總收入的5%取。7.Fromtheforty-firstyeartothefiftiethyear,thereshallbeprovisionfor5%ofthetotalincomeofthechargesoftheschoolperannum;提取的資金捐贈給甲方指定的SG區(qū)教育基金會即丙方)，并專項用于教育的國際交流與合作，尤其是與GGG交流與合作。ThefundsoprovidedforshallbedonatedtoEducationFoundationofSGDistrict(i.e.PartyC)asdesignatedbyPartyA,andsuchshallbespecificallyusedforinternationaleGchangeandcooperationintheeducationinSGDistrict,especiallyfortheeGchangeandcooperationwithCanada.六、雙權利和務III.Rightsandobligationsoftheparties一甲方的權利義務(I)RightsandobligationsofPartyA1.提供合作之用的辦學用地，負責辦理學校的報建手續(xù)(包括但不限于建設手續(xù)及辦學建筑物的規(guī)劃審批，消防合格證，衛(wèi)生許可證，建筑合格驗收，環(huán)保驗收等，其中建設工程規(guī)劃許可證應在經(jīng)甲乙雙方及規(guī)劃部門均認可的設計方案確定后1年內(nèi)完成辦理)，負責向規(guī)劃部門申請滿足本協(xié)議約定國際學校建設規(guī)模所需的容積率，并配合乙方申辦國際學校的辦學許可證。

1.Toprovidelandforrunningtheschoolforthepurposeofcooperation,toberesponsibleforfulfillingtheproceduresforapplicationforconstructionoftheSchool(includingbutnotlimitedtotheproceduresfortheconstructionandreviewandapprovaloftheplanningoftheschooleducationbuildings,certificatesofconformityinfirefighting,licensesofhealth,acceptanceofcomplianceofbuildings,environmentalprotectionacceptance,etc.Amongthem,constructionengineeringplanninglicensesshallbefulfilledwithin1yearaftertheconfirmationofthedesignproposalsasacceptedbybothPartyAandPartyBandtheplanningauthorities),toberesponsiblefortheapplicationtotheplanningauthoritiesforcapacityratesnecessaryforthescaleoftheconstructionofInternationalSchoolsatisfyingthisAgreement,andtocoordinatewithPartyBinapplyingforthelicenseforrunningInternationalSchool.2.甲方自簽訂正式協(xié)議后3個月內(nèi)須交付辦學場地給乙方使用，甲方遲延交付建設用地時間的，雙方合作期限作相應的順延。2.PartyAmust,withinthreemonthsafterconclusionoftheofficialagreement,delivertheschooleducationsitetoPartyBfortheusethereof.ShouldPartyAdelayinthedeliveryofthelandforconstruction,thetermofcooperationbetweenthepartiesshallbepostponedaccordingly.3.有權對學校運作進行檢查，并每年對財務情況進行審查。3.TohaverighttocheckandreviewtheoperationoftheSchool,andtoperformannualauditofthefinancialstanding.

4.審核乙方對該用地的建設及物業(yè)的裝飾、辦公及教學設備須符合中國的學校設計、消防、安全等規(guī)范，對乙方使用該物業(yè)的情況進行監(jiān)督檢查，以確保該物業(yè)的安全。4.ToreviewtheconstructionofsuchalandandrenovationofthepropertytobemadebyPartyB,andtheofficeandteachingfacilitiesmustsatisfythespecificationsofChinaforthedesign,firefightingandsafetyoftheSchool,andtocarryoutsupervisionandinspectionoftheuseofsuchapropertybyPartyBsoastoensurethesafetyofsuchaproperty.5.核查乙方在辦學期間的投入是否達到規(guī)定數(shù)額。5.TocheckwhetherthecapitalinvestmentlivesuptothesumspecifiedintheperiodofrunningschoolbyPartyB.6.監(jiān)管所提取的SG教育國際交流與合作資金，審定其使用安排方案。6.TosuperviseandcontrolthefundforinternationaleGchangeandcooperationintheeducationinSGDistrictsoprovidedfor,andtoapprovethesolutionstotheuseofthesame.7.學校的產(chǎn)權屬甲方所有。7.TheownershipoftheSchoolshallbevestedinPartyA.二乙方的權利義務(II)RightsandobligationsofPartyB1有權選定學校的設計單位、地質(zhì)勘探單位、施工單位、監(jiān)理單位，但有關設計方案和選定工作程序須符合中國的政策法規(guī)。1.tohavetherighttoselectdesigners,geologicaleGplorationunits,constructionunitsandsupervisionunitsfortheSchool,provided,however,thatthereleva

ntdesignproposalsandselectionproceduresmustcomplywiththepoliciesandregulationsofthePRC.2.有權在法律、法規(guī)規(guī)定的范圍內(nèi)獨立管理學校的日常工作及進行教學活動，有權聘任或解聘校長、副校長、財務總監(jiān)、校務主任，決定其報酬；學校經(jīng)營過程的全部稅金、費用均由乙方負責并向政府部門繳納，甲方不承擔任何費用。乙方應當實行自主辦學，獨立核算，自負盈虧，在辦學期間對學校承擔的一切責任。2.Tohavetherighttoindependentlymanagedailyworkandperformteachingactivitieswithintherangeasspecifiedbylawsandregulations,tohavetherighttoemployordismisstheschoolmaster,thefinancialdirector,andschoolaffairdirector,andtodeterminetheirremunerationandrewards;alltaGesandchargesandfeesarisingintheprocessofmanagingtheSchoolshallbepaidbyPartyBtotherelevantgovernmentoffices,forwhichPartyAwillnotassumeanycostsandeGpenses.PartyBshallimplementindependentrunningofschoolonthebasisofindependentaccountingandassumptionofprofitsandlosses.Andduringtheperiodofrunningschool,itshallassumeallliabilitiestotheSchool.3.負責學校建設實施工作及資金投入，并依法籌備各項辦學工作，包括辦學申請、辦學章程與各項規(guī)章制度的制定、教職員工的聘請、辦學所需的各類辦公、教學設備和圖書、資料等的購置。3.toberesponsiblefortheimplementationoftheconstructionoftheSchoolandcapitalinvestmentherein,andtoprepareforallworkinrunningschoolaccordingtolaw,includingapplicationforrunningschool,theformulationofschooleducationarticlesofassociationandallrulesandsystems,appointmentofteachingsta

ffandemployees,allofficeandteachingfacilitiesnecessaryforrunningschoolaswellaspurchaseofbooksandmaterials.4.負責安排專人和車輛按甲方要求報送有關報建材料。4.toberesponsibleforarrangingspecificpersonnelandvehiclestosubmitrelevantdocumentsontheapplicationforconstructionasrequiredbyPartyA.5.負責向級教育部門申請課程使用及認證。5.toberesponsiblefortoapplytotheprovincialeducationauthoritiesofCanadafortheuseandcertificationofcourses.6.按上述第二點第五)1-7條規(guī)定提取SG區(qū)教育的國際交流與合作資金，并在次年4月前按本協(xié)議約定捐贈給丙方，乙方不得以其經(jīng)濟狀況顯著惡化等任何理由拒絕履行捐贈義務。6.toprovideforfundsforinternationaleGchangeandcooperationfortheeducationofSGDistrictassetforthinParagraph(V)oftheforegoingsection2,andtodonatethesametoPartyCasagreeduponunderthisAgreementintheneGtApril.PartyBmaynotrefusetoperformtheobligationsforthedonationthereofforthereasonofdeteriorationofitsfinancialstanding.7.在校內(nèi)承擔經(jīng)甲乙雙方商定的對SG教師和學生的培訓任務。7.toassumethetaskfortrainingteachersandstudentsinSGDistrictasagreeduponbythepartiesintheschool.8.簽訂本意向書后兩個月內(nèi)向甲方提交初步設計方案，按時完成學校的建設和開學，若因甲方辦理報建手續(xù)或不可抗力等因素導致未能按時完成辦理報建手續(xù)，學校完成建設和開學時間相應順延。

8.tosubmitinitialdesignproposalstoPartyAwithintwomonthsafterthesigningofthisLetterofIntent,tofulfilltheconstructionandopeningoftheschoolintime.InthecaseoffailuretocompletetheproceduresforapplicationforconstructionduetothefulfillmentofproceduresforapplicationforconstructionbyPartyAorduetofactorssuchasforcemajeure,thecompletionoftheconstructionoftheSchoolandopeningoftheschoolshallbepostponedaccordingly.9.合作期滿后乙方有續(xù)約的優(yōu)先權。9.AftertheeGpirationofthetermofcooperation,PartyBwillhavetheoptiontorenewthecontract.10.表示誠意，乙方在簽訂本協(xié)議日內(nèi)交付保證金人民幣100萬元至甲方賬戶。待第一期工程確認完工后7日內(nèi)，由甲方全額退還不計利息若因甲方原因造成本協(xié)議不能履行，乙方可提出終止協(xié)議，甲方在終止協(xié)議后日內(nèi)全額退還乙方的保證金(不計利息。10.ForthepurposeofeGpressionofgoodfaith,PartyBshallpayRMB1milliontotheaccountofPartyAasthedepositwithin7daysafterthisAgreementisenteredinto.Within7daysafterconfirmationofthefirstphaseofworks,PartyAwillrefundthedepositinitsfullamount(withoutanyaccruedinterests).InthecaseoffailuretoperformthisAgreementforthereasonofPartyA,PartyBmaypresenttheterminationoftheAgreement.PartyAshall,within7daysafterterminationoftheagreement,returnthedepositinitsfullamounttoPartyB(withoutanyaccruedinterests).11.合作期間內(nèi)，乙方不得將國際學校的辦學許可權利和本協(xié)議約定的權利義務轉(zhuǎn)讓給第三方，不得抵押、處置國際學校。

11.Withinthetermofcooperation,PartyBmaynottransfertoanythirdpartytherighttorunInternationalSchoolandrightsandobligationsunderthisAgreement.NormayitmortgageorotherwisedealwithInternationalSchool.四、違條款IV.DefaultClause1在前30的不可撤銷合作期期滿前，如甲方中途收回該學校，須提前年書面通知乙方，并安排與原學校規(guī)模、裝修標準相當及位置相近SG內(nèi)市橋河以北，南沙港快速路與G105道之間的區(qū)域的其它校舍和用地給乙方繼續(xù)辦學，乙方搬遷新校舍所需相關費用由甲方承擔；但在合作期的前10，乙方有權選擇不接受甲方提供的新校舍和用地，并由甲方承擔下述違約責任。若甲方未能提前通知、或者未能安排與原學校規(guī)模、裝修標準相當及位置相近的其它校舍和用地給乙方繼續(xù)辦學的，均視為違約，甲方除一次性向乙方支付人民幣壹仟萬元違約金外，還應當另行向乙方支付包括但不限于所投入剩余協(xié)議年限的建校成本以平均分攤計算，以下均同)、搬遷校舍費用、解聘教師費用、分流學生費用等一切實際損失的費用。(I)BeforetheeGpirationoftheirrevocabletermofcooperationforthefirst30years,ifPartyArecoverstheSchoolhalfway,itmustgive2-year’spriorwrittennoticetoPartyB,andshallarrangeotherschoolsiteandlandforPartyBtocontinuetorunschoolwiththescaleandrenovationstandardstobetheclosesttotheoriginalschool,andwiththelocationtobesimilartherewith(withintheareatothenorthoftheShiqiaoRiverofSGDistrict,andbetweenEGpresswayofNanshaPortandG105StateRoute),withallrelevantcostsandeGpensesinrelationtotherelocationoftheschoolbyPartyBtobeassumedbyPartyA;however,inthe

first10yearsofthetermofcooperation,PartyBwillhavetherighttoselectnottoacceptanynewschoolsiteandlandasprovidedbyPartyA,andPartyAshallassumethefollowingliabilitiesforbreachofcontract.IfPartyAfailstogiveapriornoticetoPartyA,orfailstoarrangeotherschoolsiteandlandtoPartyBtocontinuetorunschoolwiththescaleandrenovationstandardsequivalenttothoseoftheoriginalschool,orwiththelocationsimilartherewith,suchshallbedeemedasbreachofcontract.PartyAshall,inadditiontoalumpsumpaymentofRMBTenMilliontoPartyBasthefineforbreachofcontract,paytoPartyBthecostfortheconstructionoftheschool,includingbutnotlimitedtothoseputinfortheremainingyearsunderthisAgreement(tobecalculatedonthebasisoftheaveragedistributionfor30years,ditto)aswellascostsandeGpensesforrelocationoftheschool,eGpensesforunemploymentofteachersandeGpensesforarrangementofstudentsandallotheractuallossarisingtherefrom.2.在前的不可撤銷合作期期滿前，乙方中途單方解約終止辦學，須提前2年書面通知甲方，并自行清算所有費用及妥善分流學生到其它地方就讀，不得造成負面影響，甲方無償收回該學校。(II)BeforetheeGpirationoftheirrevocabletermofcooperationforthefirst30years,PartyB,whounilaterallyrescindsthecontractforrunningschoolhalfway,mustgive2-years’priorwrittennoticetoPartyA,andshallindependentlyhaveallcostsandeGpensesliquidatedandproperlyarrangethestudentstostudyatotherplacestotheeGtentthattherewillbenoadverseeffectsthereon,andPartyAwillrecovertheSchoolwithoutanynecessarycompensation.

3.若乙方因從事違法活動被有關部門勒令終止辦學，乙方須自行清算所有費用及妥善分流學生到其它地方就讀，并向甲方支付人民幣壹仟萬元的違約金；甲方收回該學校，并向乙方支付乙方所投入剩余協(xié)議年限的建校成本。IfPartyBisorderedbycompetentauthoritiestoterminatetherunningofschoolforhavingcommittedillegalactivities,PartyBmusthavealleGpensesliquidatedbyitselfandproperlyarrangethestudentstostudyatotherplaces,andshallpaytoPartyARMBTenMillionasthefineforbreachofcontract;PartyAwillrecovertheSchool,andwillpaytoPartyBthecostsfortheconstructionoftheschoolincurredbyPartyBforcapitalinvestmentintheremainingyearsunderthisAgreement.在后20的可撤銷合作期期滿前，甲方可中途單方解約，但須提前年書面通知乙方，并由乙方自行清算所有費用及妥善分流學生到其它地方就讀，甲方無償收回該學校；若甲方未能提前2年書面通知乙方，須參照本條第(一款承擔違約責任。(III)BeforetheeGpirationofthetermofcooperationthatcanbewithdrawninthesubsequent20years,PartyAmayunilaterallyrescindthecontracthalfway,provided,however,that2yearspriorwrittennoticemustbegiventoPartyB,whowillindependentlyhavealleGpensesliquidatedandproperlyarrangethestudentstostudyatotherplaces.PartyAwillrecovertheSchoolwithoutcompensation;ifPartyAfailstonotifyPartyBinwriting2yearsearlier,itmustassumetheliabilitiesforbreachofcontractassetforthinClause(I)ofthisArticle.4.在后的可撤銷合作期期滿前，乙方可以中途單方解約終止辦學，但須提前2年書面通知甲方，并須自行清算所有費用及妥善分流學生到其它地方就讀，無償把學校交還給甲方，否則須參照本條第(二款承擔違約責任。
