4.4

買方支付賣方的所有款項均以銀行匯票或電匯方式匯至賣方指定在

銀行所開之帳號，號碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項0.1%的滯納金。若買方之逾期付款超過應付款日三十天后，賣方有權單方面取消整個合同，并沒收買方已支付之定金、預付款和其他款項作為賠償。若該筆款項不足彌補賣方之損失，則買方還需就不足部分支付賠償金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedaccountat

第五條

設計、制造進度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1

賣方收到定金后四周內，應向買方提供設計所需的反力圖及地腳螺栓布置圖。買方應盡快將以上資料提交負責設計地基和基礎的設計院。有關設計院的所有費用（包括圖簽費用）均由買方承擔。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.

5.2

收到預付款后

周，賣方應完成鋼結構制造并通知買方派員到賣方工廠進行交貨發(fā)運前檢驗。Within

weeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.

5.3

買方驗收后已付賣方第4.3條貨款后一周內，賣方應將產品運至工地現(xiàn)場。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.

5.4

買方若要求變更鋼結構規(guī)格或設計，應以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時和材料調整本合同價格及期限，經買賣雙方同意后才生效。所有鋼結構規(guī)格或設計之變更，若因買方未能于兩天內簽署賣方所提供的有關確認文件，均視為買方取消變更要求，恢復原本規(guī)格或設計。如因此而造成鋼結構設計或制造之延誤，則買方須承擔一切責任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.

5.5

除天災人禍等不可抗力因素及因買方未盡本合同責任之情形以外，如賣方逾期完成以上任何一項義務，須從逾期第四天起按日支付該筆逾期款項0.1%的罰款，但該罰款不應超過本合同總價之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.

5.6

第5.2及5.3條所提到的交貨時限是以買方在收到鋼結構設計圖后七天內把確認圖還給賣方和買方在收到驗收通知后七天內派員到賣方工廠進行貨物檢驗為根據。買方每逾期一天確認設計圖或到賣方工廠驗貨，無論什么原因，賣方的交貨時限會延遲兩天，如該逾期超過七天，賣方有權根據其當時的業(yè)務要求重新安排交貨時間。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.

5.7

買方應賠償或補償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費用，該費用以每天每噸人民幣83元計算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.

第六條

裝運和清點Article6.Packing,ShippingandInventory6.1

鋼結構制造完畢、經買方驗收后方能裝運到工地現(xiàn)場。賣方應提前一周前通知買方其發(fā)運日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場物資存放的道路、場地及水電供應等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.

6.2

貨物到達工地現(xiàn)場后，買方應即時清點及驗查貨物質量并簽收。如有損壞，買方應即時通知賣方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.

6.3

工地現(xiàn)場的卸貨由買方負責，如有延誤，所有費用由買方負責。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.

第七條

產品檢驗Article7.InspectionofGoods7.1

如在驗收過程中，買方發(fā)現(xiàn)貨物的質量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復，達到合同要求。如有爭議，買方可申請上海進出口商品檢驗局就產品質量、規(guī)格及性能進行檢驗，所有費用由買方承擔。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.

第八條

賣方聲明和保證Article8.Seller’sRepresentationsandWarranties8.1

賣方對產品質量作出下列聲明及保證：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:

8.2

鋼結構設計以美國MetalbuildingMembersAssociation(MBMA)

建筑規(guī)范

（1986年版）及相關技術文本為標準。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.

8.3

賣方對產品的質量保證期為一年，在產品送達工地現(xiàn)場一年內，如產品在正常操作情況下出現(xiàn)質量問題，賣方會免費提供維修服務。此產品質量保證不包括因買方不當處置產品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.

第九條

技術資料和單據Article9.TechnicalInformationandReceipts9.1

賣方應在產品送達工地現(xiàn)場一周前，把下列技術資料交給買方：9.1.1由制造廠發(fā)出產品說明書一份；和9.1.2施工圖一式三份。WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2Threecopiesoftheconstructiondrawings.

9.2

賣方應于賣方在產品運出后，把下列單據交給買方：9.2.1稅務發(fā)票，內容注明本合同編號、項目名稱等；9.2.2交貨清單一式四份；9.2.3制造廠簽發(fā)的質量證明書；和Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.2.2Fourcopiesoftheinventorylistofthegoodsdelivered;9.2.3Thequalityandquantitycertificateissuedbythemanufacturer;and

第十條

不可抗力Article10.

ForceMajeure10.1

買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時，則延遲履行合同的期限，延遲的時間相當于事故所影響的時間，受事故影響一方應于事故發(fā)生后三天內將所發(fā)生的不可抗力事故的情況用傳真方式通知對方，并在十天內遞交有關證明文件給另一方確認。當不可抗力事故終止后，受事故影響的一方應于事故終止后三天內用以傳真方式通知對方，并以信件證實。任何不可抗力事故影響合同執(zhí)行超過12周以上的，雙方應應合同執(zhí)行的有關問題進行協(xié)商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidenceofsucheventwithin10daysoftheoccurrenceofsuchevent.Aftertheforcemajeureeventhasterminated,theaffectedpartyshallnotifytheotherpartybyfaxwithin3dayaftertheterminationofsucheventfollowedbyalattertoevidencesuchtermination.ThepartiesshalldiscusstheproblemsofthisContractifanyforcemajeureeventshallaffectsuchperformanceformorethan12weeks.

10.2

不可抗力事故包括任何預料之外事件，如戰(zhàn)爭、叛亂、暴動、騷動、火災、罷工、自然災害、禁運及任何其他賣方控制范圍以外之事件。Forpurposeshereof,forcemajeuremeansanyunforeseeableevent,suchaswar,insurrection,mobaction,civilcommotion,fire,strike,naturaldisaster,embargoandanyothereventoutsidethecontroloftheSeller.

第十一條

仲裁Article11.Arbitration11.1

凡因執(zhí)行本合同所產生的或與本合同有關的一切爭議，雙方應通過友好協(xié)商解決，如協(xié)商不成，任何一方可提交上海市經濟貿易仲裁委員會進行仲裁，仲裁裁決是最終的，對雙方都有約束力。仲裁費用由敗訴方承擔。AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedbythepartiesthroughfriendlynegotiations.Ifthepartiesareunabletoresolvesuchdisputes,eitherpartymaysubmitsuchdisputestoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommission,whicharbitralawardshallbefinalandbindingonbothparties.Thecostsofarbitrationshallbebornebythelosingparty.

第十二條

其他條款Article12.OtherProvisions12.1

本合同經雙方簽字及蓋章后生效。買賣雙方之所有責任和義務完畢時，本合同自然終止。ThisContractshallbeeffectiveafterbothpartieshavesignedandsealedit.WhenthedutiesandobligationsoftheBuyerandSellerarecompleted,thiscontractshallautomaticallyterminate.

12.2

本合同的附件為本合同不可分割之組成部分，與本合同具有同等法律效力。TheappendicestothisContractconstituteaninseparablepartofthisContractandshallhavethesamelegaleffectofthisContract.

12.3

本合同包含雙方所有談判內容及協(xié)商的條款，并取代雙方以往對合同項目的一切協(xié)議。ThisContractsetsforththeentireunderstandingandagreementofthepartiesandshallsupersedeallprioragreementsbetweenthepartieswithrespecttotheprojectsetforthinthisContract.

12.4

合同附件Appendix設計及材料說明Design&MaterialsSpecification

1.

主框架：MainFrame:所有鋼性框架為焊接成型的變截面“I”形柱、梁；所有端墻屋面梁和端墻柱根據設計要求同樣選擇組合焊接“I”型變截面，設計時根據AISC1989年6月1日版的“鋼結構建筑規(guī)范”中允許應力設計及塑性應力設計：Allrigidframeswillbewelded,built-up“I”sections.Thecolumnsandtherafterswillbothselectwelded,built-up“I”accordingtodesignrequirementsThedesignwillbeinaccordancewiththestressdesignandplasticstressdesignpermittedbyAISC’sJune1,1989editionof“SpecificationforStructuralSteelBuildings”.

所有底板，拼接板，蓋板和加強板應在工廠焊接到結構構件上；螺栓孔以及所有底板，拼接板和翼緣板均在工廠預制，并打好螺栓連接孔；腹板的工廠預制包括對拉桿支撐及翼緣支撐的沖孔定位。Allbaseplates,spliceplates,capplates,andstiffenerswillbeweldedintoplaceonthestructuralpartsinthefactory.Anchorboltopeningsandallbaseplates,spliceplatesandflangeswillbepre-fabricatedatthefactoryandincludeboltconnectionholes.Webswillbeshopfabricatedtoincludecablebraceandrodbraceholesandflangebraceholes.

次結構：Substructure:檁條和圍梁為冷彎“Z”型或

“C”

型薄壁型鋼，并在翼緣設置加強件，工廠加工時預先沖孔，以便于在現(xiàn)場將其與主框架用螺栓連接起來，檐口支撐為翼緣寬度不等的冷彎C型材。Purlinsandgirtsshouldbecold-formed“Z”or“C”sectionswithstiffenedflanges.Theywillbepre-punchedatthefactorytoprovideforfieldboltingtotheprimaryframing.Eavestrutsshouldbeunequalflange,cold-formed“C”sections.

支撐：Bracing:屋面和邊墻的對角斜支撐用于傳遞結構的縱向荷載（風荷載、吊車荷載等），該撐條整條加工，兩端配有斜面墊圈和螺帽，支撐條是兩端有螺紋的拉桿，翼緣支撐中所有主框架的受壓翼緣均用角鋼側向支撐至檁條或墻梁的腹板，以便翼緣壓應力在任何荷載組合條件下均不超出充許極限；邊墻不許設置對角斜支撐的部位（因為門窗或開孔的緣故），用門式網性框架、固定式柱腳、或具有斜支撐作用的墻體來代替，屋面或邊墻的板材具有充分的斜向支撐強度，并能保證抵抗風荷載，則考慮不設置屋面或墻體斜支撐。Diagonalbracingintheroofandsidewallwillbeusedtoremovelongitudinalloadsformthestructure.Thisbracingwillbefurnishedtolengthandequippedwithbevelwashersandnutsateachend.Itmayconsistofrodsthreadedeachendorgalvanizedcablewithsuitablethreadedendanchors.Thecompressionflangeofallprimaryframingwillbebracedlaterallywithanglesconnectiontothewebsofpurlinsorgirtssothattheflangecompressivestressiswithinallowablelimitsforanycombinationofloadings.Whendiagonalbracingisnotpermittedinthesidewall,arigidframetypeportal,fixedbasecolumns,orwalldiaphragmmustbeused.W
