第一條根據(jù)?中華人民共和國中外合資企業(yè)法?，和中國x公司(以下簡稱甲方)與x國xxx公司簽訂的設(shè)立合營公司XXX有限責(zé)任公司(以下簡稱合營公司)的合同，特制訂本合營公司章程。

第四條合營公司的組織形式為有限責(zé)任公司。甲乙方僅以現(xiàn)行或日后修改的本章程規(guī)定的各自認(rèn)繳的出資額對(duì)合營公司承當(dāng)責(zé)任。在上述前提下，各方按其認(rèn)繳的出資額在注冊(cè)資本中的比例分享利潤和分擔(dān)風(fēng)險(xiǎn)及虧損。

Article4TheorganizationformofJointVenturepanyisalimitedliabilitypany.Theliabilitiesofeachpartytothejointventurepanyjustlimitstoitscontributedcapital,whichstipulatedintheArticlesofAssociationorintherevisedafterwards.Theprofits,risksandlossesofthejointventurepanyshallbesharedbythepartiesinproportiontotheircontributionsoftheregisteredcapital.

第五條合營公司為中國法人，受中國法律管轄和保護(hù)，其一切活動(dòng)必遵守中國的法律、法令和有關(guān)條例規(guī)定。

Article5ThejointventurepanyhasthestatusofalegalpersonandissubjecttothejurisdictionandprotectionofChineselawsconcerned.Allactivitiesofthejointventurepanyshallbegovernedbythelaws.DecreesandpertinentrulesandregulationsofthePeople"sRepublicofChina.

第二章宗旨、經(jīng)營范圍

第六條甲、乙方合資經(jīng)營的目的是：本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望，采用先進(jìn)而適用的技術(shù)和科學(xué)的經(jīng)營管理方法，進(jìn)步產(chǎn)品質(zhì)量，發(fā)民新產(chǎn)品，并在質(zhì)量、價(jià)格等方面具有國際市場(chǎng)上的競(jìng)爭才能，進(jìn)步經(jīng)濟(jì)效益，使投資各方獲得滿意的經(jīng)濟(jì)利益。(注：在章程中要根據(jù)詳細(xì)情況寫明。)

Article9TheproductsofthejointventurepanywillbesoldonChinesemarketandoverseasmarketandafter-saleserviceswillbeprovidedbythemselves.Inordertopursuingthesuccessanddevelopmentofthejointventurepany，thejointventurepanyshallgivethetoppriorityonexportoftheproductsandearningforeigncurrency.
