Section2.01.IndemnificationbyBBB.juju

(a)BBBandanyBBBSubsidiaryObligorjointlyandverallyagreetoindemnifyandholdharmlessAAAanditspast,prentorfutureSubsidiariesandAffiliatesandanyoftheirpast,prentorfutureReprentatives,heirs,executorsandanyoftheirsuccessorsandassignsagainstanyandallpayments,loss,liabilities,damages,claims,andexpens(includingwithoutlimitation,attorney’sfeesandexpensincurredingoodfaith)andcostswhatsoever(Loss),asincurred,arisingoutoforrelatingto:(i)allasts,businessandoperationsconducted,operated,managedorowned,inwholeorinpart,by(A)BECoranyPersonthatwasanyattimeaSubsidiaryorAffiliateofBEC,(B)AAAoranyPersonthatwasanyattimeaSubsidiaryorAffiliateofAAAthatweretheresponsibilityofthechiefexecutiveofficeroftheBBBEntertainmentoperatingunitofAAA,(C)BBBoranyPersonthatwasatanytimeaSubsidiaryorAffiliateofBBB,or(D)anysuccessor,assignorReprentativeofanyoftheforegoingatanytime,whetherbefore,atoraftertheIPO(includingwithoutlimitationanyasts,businessoroperationsthatwerepurchad,newlystarted,discontinuedorsold)oranytransactionrelatedtheretoorcausofactionarisingtherefrom

chinenewyear(collectively,theBBBBusinessand(ii)theTransferCosts;providedthat,incaofclau(i)above,asts,businessandoperationsreferredtothereinshall(A)include,withoutlimitation,homevideoretailing(whethervideocastte,lardisc,digitalversatiledisc,digitalvideoexpressorotherwiandwhetherrentalorsaleorinaphysicalstoreorovertheInternet),videogameretailing(whetherrentalorsale),musicretailing,theoperationofchildrenandadultentertainmentcenters(butthisindemnificationshallnotapplytoasts,businessandoperationsconductedbyParamountParks)andthedevelopment,marketing,saleandmanagementoffranchisrelatedtotheforegoingasts,businessandoperationsandtheAAAGuaranteesand(B)excludeallasts,businessandoperationsofSpellingEntertainmentGroupInc.anditsSubsidiaries(includingRepublicEntertainmentInc.andWorldVisionInc.),ShowtimeNetworksInc.,VirginInteractiveEntertainmentLimitedandVirginInteractiveEntertainmentInc.

(b)TotheextentthataSubsidiaryofBBBbecomesaBBBSubsidiaryObligor,BBBshallcausuchSubsidiarytobecomeapartytothisAgreementthroughanamendmentheretopursuanttowhichsuchBBBSubsidiaryObligorwillexpresslyassumealloftheobligations,andacquirealloftherights,ofBBBunderthisAgreement.SuchassumptionofobligationsandacquisitionofrightsshallinnowaydischargeBBBfromanyofitsobligationshereunderordiminishanyofBBB’srightshereunder,asthecamaybe.Such

amendmentshallbe(i)executedanddeliveredtoAAA(andshallbecomeeffective)simultaneouslywiththeexecutionanddeliverybysuchBBBSubsidiaryObligor(andtheeffectiveness)ofthedocumentationpursuanttowhichitbecameaBBBSubsidiaryObligorand(ii)containprovisionsreasonablysatisfactorytoAAAtomaximizethelikelihoodthatsuchamendmentwouldnotbesubjecttoattackunderapplicablefraudulentconveyanceorsimilarlaws.dayfly

(c)TheobligationsofthepartiesunderthisSection2.01shallbeinadditiontoanyliabilitywhichanypartymayhavetotheotherparty.

(a)AAAagreestoindemnifyandholdharmlessBBBanditspast,prentorfutureSubsidiariesandAffiliatesandanyoftheirpast,prentorfutureReprentatives,heirsandanyoftheirexecutors,successorsandassignsagainstanyandallLoss,asincurred,arisingoutoforrelatingtoallasts,businessandoperationsconducted,operated,managedorowned,inwholeorinpart,byAAAoranyPersonthatwasatanytimeaSubsidiaryorAffiliateofAAAoranypredecessor,successor,assignorthorn什么意思

Reprentativeofanyoftheforegoingatanytimewhetherbefore,atoraftertheIPO(including,with

outlimitation,anyasts,businessoroperationsthatwerepurchad,newlystarted,discontinuedorsold)oranytransactionrelatedtheretoorcausofactionarisingtherefromotherthantheBBBBusinessandTransferCostswhichBBBandanyBBBSubsidiaryObligoragreetoindemnifyAAApursuanttoSection1.01)(theAAABusiness).

(b)TheobligationsofthepartiesunderthisSection2.02shallbeinadditiontoanyliabilitywhichanypartymayhavetotheotherparty.

Section2.03.CertainTaxMatters.Notwithstandinganythingtothecontraryherein,therightsandobligationsofthepartieswithrespecttoindemnificationforthetaxmattersthatarethesubjectmatteroftheTaxMattersAgreementdatedasofthedatehereofbetweenthepartiestheretoshallbegovernedsolelybysuchagreement.

Section2.04.RegistrationIndemnification.

(a)BBBandanyBBBSubsidiaryObligorjointlyandverally
