1.1TheseGeneralTermsandConditionsforPurchaseofGoodsandServices(Version05/2016)(“theseGTC”)shallapplytotheprocurementofgoodsandservicesbyBMWBrillianceAutomotiveLtd.(“BBA”)fromaproviderasisshownonthefirstpageoftheMainContract(the“Supplier”).BBAandtheSupplierarehereinaftercollectivelyreferredtoas“theParties”,andindividually“aParty”.Thegoodsprovidedintheaboveparagrapharehereinafterreferredtoasthe“Goods”;forclarity,suchGoodsdonotincludetheproductionmaterials/partstobeusedforassemblingtheseriesvehiclesorthemotorvehicleparts.Theservicesprovidedintheaboveparagrapharehereinafterreferredtoasthe“Services”.GoodsandServicesarehereinaftercollectivelyreferredtoasthe“Goods/Services”,andpurchaseoftheGoods/Servicesishereinafterreferredtoasa“Project”.1.1本關(guān)于采購貨物和服務(wù)的一般條款（2016年5月版本）（以下合稱“本一原材料/零部件或者用于組裝摩托車的零物與服務(wù)以下合稱“貨物/服務(wù)”，貨 ConclusionandIntegralPartsofthePurchase 2.1ThecontractfortheprocurementofGoods/Services(“PurchaseContract”),shallbeconcludedbyawrittenone-time-buypurchaseorderoracall-offunderavalue/framecontract(purchaseorderandcall-off(s)hereinaftercollectivelyreferredtoasthe“Order”)fromBBAandthecorrespondingacceptancebytheSupplier.Acall-offisthedeclarationonthepartofBBAmadetotheSupplierbasedontheexecutedvalue/framecontractwhichspecifiesthequantityoftheGoods/Servicestobesupplied,deliverylocationanddeliverytime.IftheSupplierconfirmstheOrderindeviationfromtheOrderofferedbyBBA,thesedifferencesshallonlyapplyifandinasfarasBBAexpresslyagreestotheminwriting.One-time-buypurchaseorderorvalue/framecontractanditscall-off(s)issuedbyBBAinwritinghereinafterreferredtoasthe“MainContract”.2.1有關(guān)采購貨物/服務(wù)的合同（下稱“采一次性采購訂單或價值/框架合同項下價值/框架合同向供應(yīng)商發(fā)出的詳細(xì)說明貨物/服務(wù)的數(shù)量、交貨地點和交貨時訂單或者價值/框架合同及其申購單以2.2InadditiontotheseGTCanddependingontheGoods/Servicesconcerned,variousspecialtermsandconditionssuchasSpecialTermsandConditionsforPurchaseofProductionResources,SpecialTermsandConditionsforPurchaseofOnsiteOutsourcingServices,SpecialTermsandConditionsforPurchaseofTrainingServicesetc.(the“STC(s)”)mayalsobeexecuted.Intheeventofanyconflict,theprovisionsoftheSTC(s)shallprevailovertheprovisionsoftheseGTC.2.2除本一般條款外，基于相關(guān)的貨物/服2.3Unlessotherwiseagreed,theversionoftheseGTCandSTC(s)inforceatthetimeofthecontractconclusionshallbeanintegralpartofthePurchaseContract.BBAreservestherighttorevisethecurrentversionoftheseGTCandSTC(s),andissuenewversions.BBAshalldelivertherevisedversiontotheSupplier,andtheSuppliershallconfirmthecontentsorprovidefeedbackinwritingwithin5workingdaysuponreceivingit,otherwiseitshallberegardedastheSupplier’sacceptanceoftherevisedversion.2.3除非另有約定，本一般條款和特殊條款2.4Project’sspecifictechnicalrequirements,servicestandard,Goods’specificationsanddrawings,Project’simplementationplansandotherdetailsoftheProjectshallbeincludedintheServiceLevelAgreementorTechnicalRequirements.IfnoServiceLevelAgreementorTechnicalRequirementsisprepared,technicalrequirementsrelatedcontentsprovidedinBBA’srequestforquotation(“RFQ”)andtechnicalrequirementsrelatedcontentsprovidedinthefinalquotationconfirmedbybothPartiesorthosecontentsprovidedintheSupplier’stender,biddingdocumentsorproposal(“Supplier’sQuotation”)shallapply.IfthetechnicalrequirementsrelatedcontentsprovidedinthefinalquotationconfirmedbybothPartiesorSupplier’sQuotationdifferfromthetechnicalrequirementsrelatedcontentsprovidedinBBA’sRFQ,thesedifferencesshallnotbeappliedunlesstheSupplierhashighlightedandpointedoutthedifferencesinaseparatedocumentannexedtoitsfinalquotation,obtainedwrittenpriorconsentfromBBAandincludedsuchdifferencesintheServiceLevelAgreementorTechnicalRequirements.2.4關(guān)于項目的具體技術(shù)要求、服務(wù)標(biāo)準(zhǔn)、或《技術(shù)要求》中明確。如果雙方?jīng)]有準(zhǔn)備《服務(wù)水平協(xié)議》或《技術(shù)要2.5TheseGTCandtheapplicableSTC(s)shallapplytothePurchaseContractandallitsappendicesandamendmentsandsupplements(ifany).2.5本一般條款及適用的特殊條款應(yīng)適用于 3.1TheSuppliershallbeartheoverallresponsibilityfortheProject,i.e.theSuppliershallbeaccountabletoBBAfortheProjectinallprocessstagesforperformingthePurchaseContractandwithregardtoallcomponentsoftheProjectsirrespectiveofwhethertheSupplierhasusedsubcontractordirectlyorindirectlyaspartofitsexecutionofthePurchase3.1供應(yīng)商應(yīng)對項目承擔(dān)全部責(zé)任，即供應(yīng)3.2TheSuppliershallfullysafeguardtheinterests,brands,andproductimageofBBA,BMWGroupandBMWdealers,fullyperformthedutiesunderthePurchaseContract,andmakeultimateeffortstoprovidetoBBAtheGoods/ServicesagreedunderthePurchaseContractwithduediligence,highefficiencyandsufficientconscientiousness.3.2供應(yīng)商應(yīng)充分維護(hù)華晨寶馬、寶馬集團(tuán)及寶馬經(jīng)銷商的利益、品牌及產(chǎn)品形 TheSuppliermaydirectorindirectlyappointathirdpartyasitssubcontractoronlyafterthepriorwrittenconsentofBBA.ThisshallnotprejudiceanyrightofBBAtoclaimagainsttheSupplierforitsoverallresponsibilitiesandliabilitiesfortheProjectassetoutinClause3.1hereof.TheSuppliershallensurethatthesubcontractoristobeboundbysametermsand3.3僅在經(jīng)華晨寶馬事先書面同意的情況馬就供應(yīng)商依據(jù)本一般條款第3.1條conditionsassetforthinthePurchaseContractthroughsigningwrittenagreementwiththesubcontractor.3.4IftheSupplierreceivesanybenefitsfromathirdparty,suchasadditionalqualitywarranties,pricediscounts,bonuses,commissionsand/orreductionsetc.withrespecttotheGoods/ServicesandtheProjectthatarenotprovidedunderthePurchaseContract,theSuppliershallnotifyandensureBBAtoenjoyallsuchbenefitsreceivedfromthethirdpartyinatimelymanner.TheSuppliershallalsoensurethatalltheSupplierPersonnelasdefinedinClause3.12hereofcomplywiththeobligationprovidedintheaboveparagraphofthisClause3.4,andshalltaketheresponsibilityasprovidedintheaboveparagraphforanyacceptanceofthebenefitsbytheSupplierPersonnel.3.4如果供應(yīng)商自第三方就貨物/服務(wù)和項目獲得任何未在采購合同中規(guī)定的利獎金、傭金和/或減價等，則供應(yīng)商應(yīng)供應(yīng)商亦應(yīng)當(dāng)保證本一般條款第3.12條定義的供應(yīng)商人員遵守上述本第3.4條3.5TheSuppliershallbeliableforensuringthattheGoods/ServicesandtheProjectitoranysubcontractorwhomitusesdirectlyorindirectlysupplies,includingtheuseofsuchGoods/ServicesforthepurposeofsuchProject,donotcontravenetheapplicablelawsandregulationsinforceduringtheexecutionofthePurchaseContract,includingbutnotlimitedtothelawsregardingproduction,security,environmentprotection,commercialcompetitions,monopoly,advertisingactivitiesandlaborrelationship;itshallensuretheforegoing,ifnecessarybymeansoflegaladvicesattheSupplier’scosts,andshalladviseBBAofanyrisksintime.AnycostsandrelatedfeesthatmayariseinthisconnectionbytheSupplierhavebeencoveredbytherespectivelyagreedPrice(asdefinedinClause8.1hereinafter).BBAshallbeentitledtorejecttheprovisionordeliveryofanyGoods/Services,suspendrelatedpaymentorterminatetheMainContractpartiallyorwhollyincaseofanybreachofthisClause3.5bytheSupplier.Inaddition,theSuppliershallindemnifyandholdBBAharmlessfrom,defendedagainstanyclaimsassertedbyanythirdparty,irrespectiveofwhetheritusessubcontractordirectlyorindirectlyaspartofitsexecutionofthePurchase3.5在采購合同執(zhí)行的過程中，供應(yīng)商有義何分包商所提供的貨物/服務(wù)和實施的貨物/服務(wù)的使用，不會違背現(xiàn)行適用的法律法規(guī)，包括但不限于有關(guān)生產(chǎn)、安及勞動關(guān)系等相關(guān)的法律。供應(yīng)商應(yīng)確自付費用獲取相關(guān)法律咨詢意見，并應(yīng)及時告知華晨寶馬存在的任何風(fēng)險。雙方約定的價款（見本一般條款第8.1如果供應(yīng)商違反本第3.5條的規(guī)定，則華晨寶馬應(yīng)有權(quán)拒絕任何貨物/服務(wù)的3.6UponBBA’srequest,theSuppliershallprovidethecertificates,licensesand/orapprovaldocumentswhicharecompulsoryinthespecificbusinessareaunderrequirementsoftheGovernment.OncetheSupplieracceptsanOrder,itshallbedeemedthattheSupplierhasobtainedandbeendulykeepingallthenecessaryqualificationsforsupplyingtheGoods/ServicesandtheProjectwhentheSupplieracceptstheOrderandduringtheentireperformanceofthePurchase3.6應(yīng)華晨寶馬要求，供應(yīng)商應(yīng)提供根據(jù)政照、許可和/或批準(zhǔn)文件。一旦供應(yīng)商接個履行采購合同期間已為提供貨物/服3.7Intheeventofanygovernmentinspection/investigationtoBBAinrelationtothePurchaseContract,theSuppliershallcooperateandsupportactivelyupontherequestbyBBA.3.7如果發(fā)生任何針對華晨寶馬的與采購合同相關(guān)的政府檢查/調(diào)查，供應(yīng)商應(yīng)根據(jù)華晨寶馬的要求積極提供配合和支3.8TheSuppliermustappointaprojectTheprojectmanagershallplan,coordinateandsupervisealltheaspectsoftheProjectundertheOrder.HeorsheshallbetheresponsiblecontactpersonreportingtoBBA'sprojectTheSupplier'sprojectmanagershalluponrequestinformBBA'sprojectmanagerofthestatusoftheProjectatanytime.Todothis,heorshemustprovideanuptodatereportwiththestartandfinishdates,levelofcompletionandthestatusofeachfunction.IntheeventofanyemergencywhichmayaffecttheperformanceofthePurchaseContract,theSupplier’sprojectmanagershallimmediately(inanyeventnotlaterthantwohoursaftertheemergency)reporttoBBA'sprojectTheprojectmanagermayonlybereplacedbytheSupplierforamaterialreasonandaftergivingpriorwrittennotificationtoBBA.Ifneeded,BBAmaydemandthereplacementoftheSupplier’sprojectmanager.3.8供應(yīng)商下項目的所有方面。他/她應(yīng)作為向華晨面通知華晨寶馬的情況下被供應(yīng)商替3.9UnlessotherwiseprovidedintheRFQ,theSuppliershall,withoutanyadditionalpayment,takeallthemeasuresthatarenecessarytoachievetheunderlyingobjectofthePurchaseContract,eveniftheyarenotexpresslysetoutinthePurchaseContract.Theseincludeinparticularthat:theSuppliershallmarkorlabeltheGoodsordeliverablesofServicesinthemannerrequiredbylawsorregulationsorasprescribedbyBBA;theSuppliershalldocumentalltestscarriedoutinthecourseofexecutingthePurchaseContractandtheirresults,reserveallthedocumentsanddatacarriersconcerningthedeliveries/resultswithrespecttotheGoods/Services,andshallensurethatitiseasilypossibletoassignsaiddeliveries/resultstospecificGoods/Services.TheSuppliershallkeeptheabovedocumentationforaperiodofatleast10yearsafterthecompletionoftheProjectandshall,atthesolecostoftheSupplier,supplyittoBBAonrequest,orofferittoBBAbeforesaiddocumentationisdestroyed,ordestroyitandprovideevidenceacceptabletoBBAregardingthedestructionofsuchitempursuanttothepriorwritteninstructionofBBA;theSuppliershallperformdata-handlinginaccordancewiththeregulationsofBBA,includingthemaintenanceofback-upforalldatarelevanttocollectionoffeewithrespecttotheGoods/Services,e.g.recordsofstaff’sworkingtime,andtheeffectiveprotectionofITsystemagainstlossofdata;ifneededfortheexecutionofthePurchaseContract,BBAmayprovidetools,dies,documents,information,data(e.g.factualstatementsaboutproductsofBBAandBMWCorporateIdentityProgrammeforcorporateidentityanddesignrequirement),die-plates,patterns,samples,drawingsand/orothermaterials(hereinaftercollectivelyreferredtoasthe“Documents/Materials”).Theexpenses,costsetc.forthe3.9除非詢價函中另有規(guī)定，供應(yīng)商應(yīng)當(dāng)采一切測試及其結(jié)果、保存與貨物/服務(wù)相據(jù)載體，并且應(yīng)當(dāng)確保前述交貨情況結(jié)果易于與具體的貨物/服務(wù)相對應(yīng)。少10年，且應(yīng)根據(jù)要求將其提供給華晨理，包括對所有與收取貨物/服務(wù)相關(guān)費用的數(shù)據(jù)（例如員工的工作時間記品”）。由華晨寶馬提供的文件/Documents/MaterialsprovidedbyBBAarealreadyincludedinthePricesetoutintheMainContract.TheSuppliershallordersuchDocuments/MaterialsinsufficienttimeadvanceandinthecorrectquantitytoensurethattheGoods/ServicescanbeprovidedbytheSupplieraccordingtothePurchaseContract.TheSuppliermustchecktheseDocuments/Materialswithregardtothelocalconditionsofusing,theircorrectnessandcompletenesswherenecessary.TheSuppliermustnotifyBBAinwritingofanydoubtsorobjectionswhatsoeverwithoutdelay,statingthereasons,andmustreachagreementwithBBA'sprojectmanageronhowtoproceedwiththework.TheaforesaidDocuments/MaterialssuppliedtotheSupplierareprovidedonaloanbasisandshallremainBBA’sproprietaryproperty.UponBBA’srequest,theSuppliershallkeepDocuments/Materialsfreeofchargeonitspremises.TheymustbereturnedtoBBAatBBA’srequestoratthelatestafterthecompletionoftheProject,ortheSuppliermay,uponwritteninstructionfromBBA,destroytheDocuments/MaterialsandprovideevidenceacceptabletoBBAregardingthedestructionofaforementioneditems.TheDocuments/MaterialstemporarilylenttotheSuppliermayonlybereproducedorsold,usedassecurity,pledgedorotherwisepassedontoorusedforthirdpartieswiththepriorwrittenconsentofBBA.Thesameshallapplytothegoodsordeliverablesofservicesproduced/createdbyusingthese等文件/物品，以確保能夠根據(jù)采購合同提供貨物/服務(wù)。供應(yīng)商應(yīng)當(dāng)于必要時就該等文件/物品是否符合本地使用條存在任何疑問或反對意見，供應(yīng)商必須提供給供應(yīng)商的前述文件/物品系借給供應(yīng)商使用，且為華晨寶馬的專屬財其經(jīng)營場所免費保管文件/物品。供應(yīng)商華晨寶馬的書面指示銷毀文件/物品并臨時出借給供應(yīng)商的文件/物品經(jīng)華晨于使用該等文件/物品生產(chǎn)/制作的貨物3.10BBAshallbeentitledtoinspectalloftheProjectrelateddocuments,meansofproductionandGoods/ServicesattheSupplier’spremiseswithpriornoticetotheSupplier.3.10華晨寶馬有權(quán)事先通知供應(yīng)商后，在供3.11IfonsiteoutsourcingServiceisrequiredfortheperformanceofthePurchaseContract,theSuppliershallprovideonsitepersonneltoBBA,andshallguaranteethatonsitepersonnelwillcomplywithrelevantprovisionsofthePurchaseContract,inparticulartheSpecialTermsandConditionsforPurchaseofOnsiteOutsourcingServices.IftheSupplieranditsonsitepersonnelfailtocomplywiththeaforementionedprovision,theSuppliershallassumeitsliabilityforbreachofcontractinaccordancewithClause183.11如果采購合同的履行需要駐場外包服3.12TheSuppliershallbeliabletoBBAfortheactions/inactionsofitsemployees,officers,secondees,representatives,agents,sub-contractorsoranyotherindividualsforwhomtheSupplierisinthepositiontoberesponsibleforthepurposeofexecutionofthePurchaseContract(collectivelythe“SupplierPersonnel”).IfanyoftheSupplierPersonnelcausesanylosstoBBAbyhis/hernegligentorintentionalaction/inaction,BBAisentitledtoclaimfordamagesagainsttheSupplier3.12供應(yīng)商應(yīng)對其雇員、管理人員、借調(diào)人員、代表、代理、分包商及應(yīng)由供應(yīng)商何其他人員（以下統(tǒng)稱“供應(yīng)商人員”）華晨寶馬承擔(dān)責(zé)任。如果由于任何供應(yīng)商人員的疏忽或故意的作為/不作為對華晨寶馬造directly.TheSuppliershallkeepBBAharmlessfromandfullyindemnifiedforthedamagessoincurred.商索賠。供應(yīng)商應(yīng)使華晨寶馬不受損3.13Ifanyemployee,director,officerorshareholderoftheSupplierhasanyrelativerelationship,commercialinterestrelationshiporotheraffiliaterelationship(the“AffiliateRelationship”)withBBAoranyofitsemployees,officersordirectorsofBBA,oranyemployee,director,officerorshareholderoftheSupplierhasanyAffiliateRelationshipwithBBA’sothersuppliersortheirpersonnel,andtheAffiliateRelationshipmightaffecttheimpartialityofbusinessrelationshipbetweenBBAandtheSupplier,orBBAandothersuppliers,and/ortheinterestofBBA,theSuppliershallpromptlyinformBBAofsuchrelationshipin,providedthatsuchrelationshipisidentifiablewithduecareofgeneralbusinessmen,andBBAshallhavetherighttorequesttheSuppliernottoinvolveorsuspenditsinvolvementintherelatedtransactions.IfBBAraisesspecificrequestsontheformandcontentsforthedisclosureoftheAffiliateRelationshiptotheSupplier,theSuppliershallmeetsuch3.13如果供應(yīng)商的任何雇員、董事、管理人員或股東與華晨寶馬或其任何雇聯(lián)關(guān)系），或者供應(yīng)商的任何雇員、董事、管理人員或股東與華晨寶前述關(guān)聯(lián)關(guān)系，并且該等關(guān)聯(lián)關(guān)系可能會影響華晨寶馬與供應(yīng)商之間、或是華晨寶馬與其它供應(yīng)商之間的商業(yè)關(guān)系的公平性和/或華晨寶馬的利益，則供應(yīng)商應(yīng)在通過一般商人的正常商系及時書面通知華晨寶馬，華晨寶馬有權(quán)要求供應(yīng)商不參與或暫緩參與相關(guān)交易。如果華晨寶馬對披露前述關(guān)聯(lián)關(guān)系向供應(yīng)商提出形式和內(nèi)容方面的特定要求，供應(yīng)商應(yīng)按照華晨寶馬3.14ThePurchaseContractenteredintobyandbetweenBBAandtheSupplierdoesnotbyanymeansestablishanyemploymentrelationshipbetweenBBAandtheSupplierPersonnel.TheSupplierPersonnelmaynotworkasamemberofBBAteam.TheymayhoweveractastheconsultantstoaBBAteamiftheirworkwithregardtotheprovisionofGoods/ServicesortheProjectconsistsinguidingtheBBAteam(i.e.,guidingandmanagementfunction).3.14供應(yīng)商與華晨寶馬之間簽署采購合同不但是如果其與貨物/服務(wù)或項目相關(guān)的3.15TheSupplierPersonnelarenotentitledtouseorclaimbenefitsorfacilitiesprovidedbyBBA,includingbutnotlimitedto:companydoctorandmedicalservice(withtheexceptionofaccidentcare)useofcompanycarsandsubsidizedworkinggarmentsprovidedfreeofchargeoratareducedparticipationintheBBAAssociateImprovementsSuggestionSchemebusinesscards/personalstationeryAnyandallexceptionstothisruleasspecifiedinthepreviousparagraphofthisClause3.15(e.g.subsidizedcateringandcanteenserviceandshuttleservice)mustbeagreedbypriorwrittenagreements.3.15供應(yīng)商人員無權(quán)使用或主張華晨寶馬提‐公司醫(yī)生和醫(yī)療服務(wù)（事故處理除 3.17IntheeventthatanyoftheSupplierPersonnelviolatesrelatedlaws,regulationsorinternalmanagementregulationsofBBAorisprovedtobeunabletofulfillhis/herassignment,BBAisentitledtorequesttheSuppliertoreplacesuchpersonnel.TheSuppliershallreplacetherelatedSupplierPersonnelwithinthreedaysuponreceiptofBBA’snotice.IftheSupplierfailstoreplacetheindividualwithacompetentone,BBAisentitledtoclaimfordamagesand/ortoterminatetheMainContractortherelatedpartsthereof.3.17如果供應(yīng)商人員違反相關(guān)法律規(guī)定或華無法勝任安排給他/她的工作，華晨寶馬要求賠償和/或解除主合同或其相關(guān)部3.18DuringthetermofthePurchaseContract,theSuppliershallsufficientlymaintainallnecessarysocialinsurancepolicies(especiallymedicalandoccupationalinjuryinsurance)fortheSupplierPersonnelwhoareemployedbytheSupplier.BBAwillnotbearanymedicalexpenseincurredbytheSupplierPersonnelevenforpersonalinjurysufferedatwork.Inaddition,BBAwillnotbearthematernityexpenseoftheSupplierPersonnel.Duringthematernityleave,theSuppliershallassignbackuppersonneltocontinuetheProject.3.18在采購合同有效期內(nèi)，供應(yīng)商應(yīng)負(fù)責(zé)充3.19TheSuppliershallnotemploychildlaborundersixteenyears’3.19供應(yīng)商不應(yīng)雇傭未滿十六周歲的未成年3.20TheSuppliershallholdBBAdefendedagainst,harmlessfromandfullyindemnifiedforinanyclaimresultingfromthebreachoftheSupplier’scontractualobligationswithhisemployees,agents,collaborators,suppliersorsubcontractors.3.20在因供應(yīng)商違反與其員工、代理人、合3.21TheSupplierwhichwillprovideonsiteserviceatBBA’spremisesmustsignandensuretheSupplierPersonneltoobserveBBA'svisitorguidelines,siterulesandothersecurityregulations(includingwithoutlimitationtheEHSFireandSecurityAgreement,DisciplineProvisionsforEHSFireSecurityViolationsandregulationsonprohibitingphotography).InstructionsissuedbyBBAfactorysecurityofficersmustbeobeyedinthisrespect.Failureinsigningtheaforesaiddocumentsorseriousbreachesofthevisitorguidelines,thesiterulesandothersecurityregulationsshallentitleBBAtoprohibitrelatedSupplierPersonnelfromenteringthepremisesofBBA.3.21需要在華晨寶馬經(jīng)營場所提供現(xiàn)場服務(wù)全規(guī)定（包括但不限于《EHS消防及安保管理協(xié)議》、《EHS消防安保違約事 6.1Deliverydates(forGoodspurchase,dateswhentheGoodsarriveatBBAappointedplace)agreedbybothPartiesarebinding.Wheneverdeadlinesarestatedbycalendarweekormonthwithoutspecifyingthespecificdates,the1stworkingdayshallapplyineachcase.6.1雙方一致同意的交付日期（對于貨物采購，交付日期是指貨物到達(dá)華晨寶馬指定收貨地點的日期）具有法律約束力。如約定的截止期限未明確具體日期，僅約定某日歷周或日歷月，應(yīng)以該周或月6.2IntheeventofanydelayforwhichBBAisnotresponsible,BBAshallhavetherighttotakemeasures,includingbutnotlimitedtothefollowing:torequesttheSuppliertocontinueorsuspenditstorequesttheSuppliertoprovideanewbankguaranteeinaccordancewithClause8.6hereinafter;toceaseorreducethetorequesttheSuppliertorefundpaidamountandpaycorrespondinginterest;toadjusttheGoodspurchasedoradjustthecorrespondingscopeoftheServices;toseeksubstituteGoods/ServicesbythirdtotakecertainmeasuresbyitsowntominimizetheterminatetheMainContract;claimforliquidateddamageswiththestandardof0.2%ofthetotalPriceassetoutintheOrderforeachdaydelayed.IfsuchliquidateddamagescannotcoverallBBA’slossesandexpenseincurred(e.g.,legalfeesandlawyerexpense),theSuppliershallcompensatetoBBAfortheremaininglossesarisingfromsuchdelay.BBAshallnotbeliabletotheSupplierforBBA’sexercisingofaforementionedunilateralrights.TheaboveprovisionshallalsoapplyintheeventthattheSupplierrenderstheGoods/Services,inwholeorinpart,induetimebutBBAdoesnotaccepttheGoods/ServicesinaccordancewiththePurchaseContract.6.2如果因不可歸責(zé)于華晨寶馬的原因造成延遲交付，華晨寶馬有權(quán)采取包括但不要求供應(yīng)商根據(jù)本一般條款第8.6條提供調(diào)整采購的貨物或調(diào)整服務(wù)的相應(yīng)范要求供應(yīng)商按照每延遲一日支付訂單項下總價款的%的違約金，如該等違約金不能賠償華晨寶馬由此產(chǎn)生的全部損失及費用（如訴訟費用和律師費等），則供應(yīng)商應(yīng)就違約金不能彌補(bǔ)的其余損失向華晨寶馬華晨寶馬無需因行使前述單方權(quán)利而向以上約定也適用于供應(yīng)商按時提供了全采購合同相關(guān)規(guī)定不接受該等貨物/服務(wù)6.3IntheeventofanydelayforwhichBBAisresponsible,theSuppliershallbeentitledtoareasonableextensionofthedeadlineofdelivery.IftheSupplierpaysadditionalcostduetothedelay,itshallbeentitledtoclaimforcompensationfromBBAforreasonablecostsincurred,butinanyevent,thecompensationshallnotincludeanyindirectlossoftheSuppliersuchaslossofprofit.6.3如果因華晨寶馬原因造成延遲交付，供應(yīng)商有權(quán)要求合理延展約定的交付截止期限；如供應(yīng)商因此延遲產(chǎn)生了額外的成本，則供應(yīng)商有權(quán)要求華晨寶馬對其產(chǎn)生的合理費用給予補(bǔ)償，但是在任何情況下該補(bǔ)償均不包括利潤損失等供應(yīng)商6.4TheSuppliermustnotifyBBAimmediatelyinwritingofanypotentialdelaysatthesideoftheSupplierevenifBBAmayhavebeenawareofthecircumstancesandreasonsfromother6.4供應(yīng)商必須立即書面通知華晨寶馬供應(yīng)商方面可能發(fā)生的延遲，即便華晨寶馬可能已經(jīng)從其它渠道知曉前述情形或原因。
