()CIF或CFR交貨式賣須準(zhǔn)時(shí)在裝運(yùn)期限內(nèi)將貨品由裝運(yùn)港裝船至目的港。在CFR術(shù)語下，賣應(yīng)在裝船前天以＿＿＿＿式告知買合同號(hào)、品名、發(fā)票價(jià)值及開船日期，方便買安排保險(xiǎn)。TheSellershallshipthegoodsdulywithintheshippingdurationfromtheportofloadingtotheportofdestination.UnderCFRterms,theSellershalladvisetheBuyerby_________oftheContractNo.,commodity,invoicevalueandthedateofdispatchtwodaysbeforetheshipmentfortheBuyertoarrangeinsuranceintime..裝運(yùn)告知（ShippingAdvice）：一但裝載完畢，賣方應(yīng)在＿＿小時(shí)內(nèi)以＿＿＿＿式告知買合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車/機(jī)號(hào)及啟程日期等。TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisetheBuyeroftheContractNo.,namesofcommodity,loadingquantity,invoicevalues,grossweight,nameofvesselandshipmentdateby_________within________hours.不管港口習(xí)慣與否與本款規(guī)定相反，貨方都應(yīng)晝夜地，涉及星期日和假日（如承運(yùn)人需要），無間斷地提供和提取貨品，貨方對(duì)違反本款規(guī)定所引發(fā)的全部損失和損壞，涉及滯期應(yīng)負(fù)擔(dān)賠償責(zé)任。Whetherthecustomoftheportiscontrarytothisclauseornot,theownerofthegoodsshallwithoutinterruption,bydayandnight,includingSundaysandholidaysWhetherthecustomoftheportiscontrarytothisclauseornot,theownerofthegoodsshallwithoutinterruption,bydayandnight,includingSundaysandholidays(ifrequiredbythecarrier)supplyandtakedeliveryofthegoods.Providedthattheownerofthegoodsshallbeliableforalllossesordamageincludingdemurrageincurredindefaultontheprovisionshereof.質(zhì)量確保（QualityGuarantee）：貨品品質(zhì)規(guī)格必須符合本合同及質(zhì)量確保書之規(guī)定，品質(zhì)確保期為貨到目的港＿＿個(gè)月內(nèi)。在確保期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺點(diǎn)造成的貨品損害應(yīng)由賣負(fù)責(zé)賠償。Thequalityandspecificationofthecommoditymustbeinconformitytothiscontractandtheletterofqualityguarantee,theguaranteeperiodshallbe1monthsafterthegoodsarrivalattheportofdestination,andduringtheperiodthesellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.TheSellershallguaranteethatthecommoditymustbeinconformitywiththequantityspecificationsandquantityspecifiedinthisContractandLetterofQualityGuarantee.Theguaranteeperiodshallbe______monthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodtheSellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.檢查（Inspection）（下列兩項(xiàng)任選一項(xiàng)）：（）賣須在裝運(yùn)前＿＿日委托＿＿＿＿＿＿檢查機(jī)構(gòu)對(duì)本合同之貨品進(jìn)行檢查并出具檢查證書，貨到目的港后，由買委托＿＿＿＿＿＿＿＿檢查機(jī)構(gòu)進(jìn)行檢查。TheSellershallhavethegoodsinspectedby______daysbeforetheshipmentandhavetheInspectionCertificateissuedby____.TheBuyermayhavethegoodsreinspectedby________afterthegoodsarrivalatthedestination.()發(fā)貨前，制造廠應(yīng)對(duì)貨品的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全方面的檢查，出具檢查證明書，并闡明檢查的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買將申請(qǐng)中國商品檢查局(下列簡稱商檢局)對(duì)貨品的規(guī)格和數(shù)量/重量進(jìn)行檢查，如發(fā)現(xiàn)貨品殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買得在貨品達(dá)成目的港后＿＿日內(nèi)憑商檢局出具的檢查證書向賣索賠或拒收該貨。在確保期內(nèi)，如貨品由于設(shè)計(jì)或制造上的缺點(diǎn)而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買將委托中國商檢局進(jìn)行檢查。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within_____daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.(12)索賠：在貨到目的口岸45天內(nèi)如發(fā)現(xiàn)貨品品質(zhì)，規(guī)格和數(shù)量與合同不附，除屬保險(xiǎn)公司或船方責(zé)任外，買方有權(quán)憑中國商檢出具的檢查證書或有關(guān)文獻(xiàn)向賣方索賠換貨或賠款。Claims：Within45daysafterthearrivalofthegoodsatthedestination，shouldthequality，Specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable，theBuyersshall，havetherightonthestrengthoftheinspectioncertificateissuedbytheC.C.I.CandtherelativedocumentstoclaimforcompensationtotheSellers(13)不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運(yùn)輸?shù)倪^程中造成賣方延期交貨或不能交貨者，賣方可免去責(zé)任，在不可抗力發(fā)生后，賣方須立刻電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文獻(xiàn)，在上述狀況下，賣方仍須負(fù)責(zé)采用方法盡快發(fā)貨。ForceMajeure：Thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.ThesellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedabovethewithinfourtee
