技術服務合同英文版模板TECHNICALSERVICEAGREEMENTThisTechnicalServiceAgreement("Agreement")ismadeandenteredintoon[InsertDate]byandbetween[InsertCompanyName],acorporationorganizedandexistingunderthelawsof[InsertCountry],withitsprincipalplaceofbusinessat[InsertAddress]("Company")and[InsertClientName],[InsertTypeofClient],organizedunderthelawsof[InsertCountry],withitsprincipalplaceofbusinessat[InsertAddress]("Client").WHEREAS,Companypossessescertainexpertisein[InsertDescriptionofExpertise];WHEREAS,ClientdesirestoengageCompanytoprovidecertaintechnicalservices;NOW,THEREFORE,inconsiderationofthepremisesandmutualcovenantshereincontained,thepartiesagreeasfollows:1.ScopeofServicesCompanyshallprovidetoClientthetechnicalservicesdescribedinExhibitAattachedhereto.Companyshallperformtheseservicesusingthedegreeofskill,care,anddiligencenormallyexercisedbyprofessionalpractitionersinsimilarcircumstances.2.PaymentClientshallpayCompanythefeesasdescribedinExhibitBattachedhereto.CompanywillinvoiceClientona[InsertSchedule]basisstarting[InsertDate]andClientshallpayCompanywithin[InsertPaymentTerm]daysofreceiptofeachinvoice.IfClientfailstomakeanypaymentsdueunderthisAgreement,CompanyshallbeentitledtosuspendperformanceoftheservicesunderthisAgreementuntilalloutstandingpaymentsarereceived.3.OwnershipofIntellectualPropertyAnyandallintellectualpropertyrightsinanydeliverablescreatedbyCompanyinthecourseofprovidingservicesunderthisAgreement,including,withoutlimitation,patentedinventions,patentapplications,know-how,copyrightsandtrademarks,andallrightsofrenewalandextensionthereof,shallbeownedexclusivelybyCompany.ClientshallnotuseanysuchintellectualpropertywithoutCompany'spriorwrittenapproval.4.ConfidentialityEachpartyshallkeepconfidentialallnon-publicinformationoftheotherpartyobtainedinconnectionwiththisAgreement,includingbutnotlimitedtotechnical,financial,andbusinessinformation,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreement.5.TermandTerminationThisAgreementshallbecomeeffectiveonthedatefirstabovewrittenandshallcontinueineffectuntiltheservicesarecompleted,oruntilterminatedasprovidedbelow.EitherpartymayterminatethisAgreementupon[InsertNoticePeriod]dayswrittennoticetotheotherparty.Intheeventofterminationunderthisprovision,Companyshallbeentitledtopaymentforallservicesperformeduptotheeffectivedateoftermination.6.IndependentContractorCompanywillperformtheservicesunderthisAgreementasanindependentcontractor.ThisAgreementdoesnotcreateanypartnership,jointventure,oragencyrelationshipbetweentheparties.7.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].8.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetheroralorwritten,relatingtothesubjectmatterofthisAgreement.9.AssignmentandBindingEffectThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.10.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedateandyearfirstabovewritten.[InsertCompanyName]By:_______________________________Name:_____________________________Title:_________________________
