美國棉花進口合同中英文對照全套美國棉花進口合同(中英文對照)CONTRACTOFAMERICANCOTTONTRADE合同編號ContractNo.:簽訂日期DateofSignature:簽訂地點PlaceofSignature:賣方:Seller:地址:Address:電話Tel:傳真Fax:電子郵箱E-mail:買方:Buyer:地址:Address:電話Tel:傳真Fax:電子郵箱E-mail:TABLEOFCONTENTS數(shù)量Quantity2.單價UnitPrice3.規(guī)格Specification4.包裝Package5.裝船嘜頭ShippingMarks6.裝運條件PackageCondition7.裝船通知ShipmentAdvice8.付款Payment9.單據(jù)Documents10.品質與重量QualityandWeight11.棉花品質降級差價PriceDifferenceWithCottonQuality12.檢驗費InspectionFee13.病蟲害熏蒸FumigationofInsectPests14.不可抗力ForceMajerue15.仲裁Arbitration中國紡織品進出口總公司(以下簡稱買方)與美國公司(以下簡稱賣方)按下列規(guī)定的條款達成協(xié)議,作為買賣雙方棉花買賣成交合同的條件。TheagreementhasbeenenteredintoandconcludedbyandbetweenChinaNationalTextilesImportandExportCorporation(hereinafterreferredtoasbuyer)andCorporationLtd.ofUnitedStatesofAmerica(hereinafterreferredtoasseller)asperfollowingtermsandconditionsofcottontransactionbetweenpartieshereto.1.數(shù)量Quantity按公噸或按包裝計算總重量,允許多交或少交1%。Totalweightofgoodswillbecaculatedbymetrictonorpackage,moreorlessthan1%maybeallowed.2.單價UnitPrice重量以磅為計量單位。Weightismeasuredinpounds.FOBSTOWED:將棉花裝入船艙內并整理好。FOBSTOWED:Putcottoninthecabinandtidyitup.FAS:將棉花運至船的吊鉤下。如FOB集裝箱條款,須把箱運到集裝箱場站。FAS:Thecottonistransportedtotheplaceunderhookofship,whereFOBcontainerclauseapplicable,thecontainershouldbetransportedtothecontaineryardstation.CANDF:班輪條款,運費已定不變。CANDF:Freightratefixedforlinerterm.3.規(guī)格Specification按美國陸地棉統(tǒng)一標準或憑樣。SubjecttothecottonstandardofAmericancontinentaloronsample.4.包裝Package4.1適合于海運的緊縮機出口包裝,外裹麻布、棉布或其他包皮,用牢固的打包鐵皮或粗鐵絲箍緊。每包凈重約磅(公斤),平均體積立方米。在適用FOB、FOBSTOWED、FASVESSEL貿易術語交易的情況下,如果每噸毛重超過規(guī)定的體積,其超過部分的運費則由賣方負擔。Theexportpackagesuitableforoceantransportationispackedbyretrenchmentmachine,wrappedinlinen,cotton-clothorotherwrapping,bandingtightlybystrongironorthickiron-wire.Thenetweightofeachpackageisaboutpounds(kg),withanaveragevolumeofcubicmeters.ProvidedthatthetradetermsofFOB,FOBSTOWED,FASVESSELareapplied,ifthegrossweightpertonexceedsthestipulatedvolume,theexcesspartoffreightwillbebornbyseller.4.2棉花包裝內不得混雜麻絲、破布、木屑、鐵屑及鐵釘?shù)入s物。如有發(fā)現(xiàn)雜物混入棉花包裝內,買方可根據(jù)中國商品檢驗局(以下簡稱CCIB)或用戶在使用過程中提供的證明及有關的嘜頭,向賣方提品質索賠。Cottonpackagesshallnotbemixedwithfibrilia,rags,woodchips,ironchips,ironnailsandothersundries.Whereanysundriesarefoundtobemixedintothecottonpackage,buyermaylodgeaclaimagainstselleronthebasisofthecertificateprovidedbyChinaCommodityInspectionBureau(CCIB)orthecustomerinthecourseofuseandtherelevantshippingmarks.5.裝船嘜頭ShippingMarks5.1在棉包的一端和兩側面用不褪色的顏料按下列項目逐包刷嘜。A.合同號,B.樣子或等級長度,C.批號,D.包號。Ononeendandtwosidesofeverycottonpakageshouldbebrushedthemarksusingundadingpigments,includingA.ContractNo.,B.SampleorRanklength,C.Batchnumber,D.Packagenumber.5.2如賣方沒有在嘜號刷合同號,由此而產生的混嘜理貨費由賣方負擔。WheresellerfailstobrushcontractNo.inthepackagemarks,thecostofmixedmarktallyingresultingtherefromwillbeforaccountofseller.6.裝運條件PackageCondition6.1如按FOB成交,買方在裝船前十五天左右,將船名通知賣方(允許買方以后更改船名)賣方可隨時向買方了解裝船時間的安排。船長在船到前24小時用電報通知船代理轉告賣方,說明該船預計到達目的港的時間。賣方收到船長備裝通知后,應立即做好貨物裝運準備。ProvidedthatthetransactioniseffectedbyFOB,buyershould,onapproximate15dayspriortoshipment,notifysellerofthevesselnamewhichmaybechangebybuyerlater,andsellercanatanytimeinqurireofthearrangementofshipmenttimefrombuyer.Thevesselmasterwillgiveselleracableadvicewithin24hoursbeforearrivaltonotifytheestimatedtimeofarrivalofthevesselattheportofdestination.Sellershould,uponreceiptofnoticefrommasterforshipingarrangement,effectthepreparationofgoodsshipmentassoonaspracticable.6.2除人力不可抗拒的原因外,如買方在合同規(guī)定的交貨期內,超過十天未能安排船到裝運港,買方需負擔倉儲費。Exceptforthereasonsofforcemajeure,wherebuyer,withintheperiodofshipmentstipulatedhereof,failstoarrangevesseltotheportofshipmentformorethantendays,buyershallundertakethestorageexpenses.6.3如買方在合同規(guī)定的裝船期內通知賣方裝船,除人力不可抗拒的原因外,當船到后賣方延遲交貨或不能交貨,賣方應賠償由此而產生的滯期費和空船損失。如賣方超過合同規(guī)定的交期45天仍不能裝船,買方有權決定合同是否有效。Exceptforthereasonofforcemajure,wherebuyernotifysellerofshipmentwithintheloadingperiodstipulatedincontract,afterarrivaloftheshipsellerdefersorfailstoeffectshipment,sellershouldmakecompensationsofthelossesofdemurrageanddeadfreightarisingtherefrom.Providedthatsellerisstillunabletoeffecttheshipmentinexcessof45daysthanthedeliveryperiodwhichstipulatedhereof,buyerhasrighttodecidewhetherthecontractisvalidornot.6.4如以C&F貿易術語成交,賣方在交貨期內不能裝船,賣方從超過交貨期的第天起,按照每天%貨值的損失支付給買方。未經買方同意,不允許轉船和分運。InthetransactionofC&Fterm,wheresellerfailstoeffectshipmentwithinthedeliveryperiod,shouldpaythelossasper%ofgoodsvalueperdaytobuyerfromdayinexcessofdeliveryperiod.Transshipmentandpartialshipmentarenotallowedwithoutbuyer'sconsent.7.裝船通知ShipmentAdvice7.1如為FOB成交,賣方在裝船后須在兩個工作日內電告買方合同號、等級長度或樣品、包裝、凈重、金額;船名、裝船日期、裝船口岸,并航寄裝船單據(jù)副本一式三份給買方。IntransactionofFOBterm,sellershould,within2workingdays,advicebuyeracableofthecontractnumber,gradelengthorsample,packing,netweight,amount;vessle’sname,thedateandportofshipment,andairmailthecopiesofshippingdocumentsintriplicatetobuyer.7.2如為C&F成交,賣方在裝船前十五天左右,將船名及預計到港日期通知買方。IntransactionofC&Fterm,sellershould,onapproximate15days,advicebuyerofthevesselnameandestimatedarrivaldate.7.3如賣方未及時電告買方,以致買方未能及時保險,由此而產生的損失由賣方負擔。Failureofsellertoadviceincableintimetobuyerresultinbuyer’sfailuretoeffecttheinsuranceofgoods,thelossarisingtherefromshallbebornbyseller.8.付款Payment8.1在裝船前十五天左右,由買方通過中國銀行開出以賣方為受益人的不可撤銷的信用證,憑第9條規(guī)定的單據(jù)電匯付款。信用證的金額為合同金額的98%,其余2%在目的港卸貨后70天內憑目的港的檢驗機構對棉花質量檢驗和重量的鑒定證書進行最后結算。信用證的有效期至到裝船后15天為止。Buyershall,onapproximate15dayspriortoshipmentthroughChinaBank,establishanirrevocableLetterofCreditinfavourofsellerandeffectpaymentagainstthedocumentsstipulatedinarticle9hereof.Theremaining2%will,within70daysafterunloadingofgoodsattheportofdestination,beeffectedfinalsettlementagainstCertificateofCottonQualityInspectionandCertificateofWeightInspectionissuedbytheinspectionauthorityatdestinationport.Theletterofcreditisvaliduntil15daysaftershipment.8.2如買賣雙方同意不開信用證、憑單托收時,買方憑全套裝船單據(jù)由中國銀行北京分行見單、按發(fā)票金額98%付款,其他約定按照前條規(guī)定。ProvidedthatthepartiesheretoagreethepaymentbycollectionagainstdocumentsinsteadofL/C,buyershalleffectpaymentwithBankofChinaBeijingBranchforamountof98%ofinvoiceva?lueagainstfullsetofshippingdocuments.Otheragreementsshallbesubjecttothestipulationsofprecedingarticle.9.單據(jù)Documents賣方應將下列單據(jù)提交銀行議付/托收:Sellershallpresentthefollowingdocumentsrequiredtobankfornegotiation/collection:A.匯票一式兩份。Thebillisinduplicate.B.商業(yè)發(fā)票一式六份(詳細注明嘜頭)。Commercialinvoiceisinsextuplicate(markedindetail).C.逐包過重的重量碼單一式二份。Thebillofweightwitheachpacketweighedisinduplicate.D.全套可轉讓的清潔海運提單(棉包的取樣洞除外)正本一式三份。Fullsetofnegotiablecleanoceanbillsoflading(exceptsamplingholesincottonbags)intriplicate.E.裝船通知電報副本一份。提單和發(fā)票按照每份合同單獨開具,提單上面注明合同號。Onetelegramcopyofshipmentadvice.BillofLadingandinvoiceismadeseparaelyforeachcontractwiththecontractnumberindicatedontheBillofLading.10.品質與重量QualityandWeight到岸品質、到岸重量。ArrivalQualityandArrivalweightA.重量:由目的港的檢驗機構隨機抽樣5%檢驗回潮率,并逐包過重,出具重量鑒定證書。回潮率不得超過8.5%,每超過%,價格相應下浮%。Weight:Theinspectionauthorityoftheportofdestinationwilleffectinspectionofmoisturecontentbymeanseof5%randomsamplingandweightbyeachpackagebeforeissuanceofWeightCertificate.Themoisturerateshallnotexceed8.5%,whereexceed%,thepriceshalldecrease%correpondingly.B.皮重:檢驗機構根據(jù)每批貨物的數(shù)量及包裝材料,隨機抽取3-5%的包數(shù),以確定平均皮重。按實際平均皮重計算到岸凈重。TareWeight:Theinspectionauthorityshall,onthebasisofthequantityandpackingmaterialofeachconsignment,effectrandomsampleof3–5%packetnumbertoconfirmtheaveragetareweight.TheCIFnetweightwillbecalculatedsubjecttotheaveragetareweight.C.每批貨物交付數(shù)量的溢短裝不得超過合同規(guī)定數(shù)量的1%。Themoreorlessofdeliveredeachconsignmentwillnotexceed1%ofthesamestipulatedhereof.D.品質:從每批貨中隨機抽樣10%作為品質檢驗的樣品。如果抽樣檢驗的樣品質量低于合同規(guī)定的等級,即棉花的纖維長度、強力或細度與合同規(guī)定的質量標準不符時,以檢驗機構出具的檢驗證書為雙方結算貨款的依據(jù)。Quality:randomsamplingof10%eachconsignmentwillbeforqualityinspection.Providedthatthesamplequalityofsamplinginspectionislowerthanthegradespecifiedinthecontract,towit,thefiberlength,strengthorfinenessofcottondoesnotconformtothequalitystandardstipulatedherein,theinspectioncertificateissuedbytheinspectionauthotityshallbetakenasthebasisforthesettlementofthepayment.11.棉花品質降級差價PriceDifferenceWithCottonQuality如降等級超過1/2級、降長度超過1/8英寸時,買方有權按合同規(guī)定的降級差價25%處理。Wherethedemotionofcottongradeisoverthan1/2gradeandthedemotionoffibrelengthoverthan1/8inch,buyershallbeentitledtosettlepricedifferenceofprice25%asperthestipulationhereof.12.檢驗費InspectionFeeA.重量鑒定費由賣方負擔,每公噸50美分(包括回潮率檢驗費)。TheweightInspectionfeeshallbeat50USDcentspermetricton(includinginspectionfeeofmoistureregain).B.品質檢驗費由買方負擔,每包一美元,即每份樣品10美元。如品質降級賣方應負擔不符合同規(guī)定部分的檢驗費。Thequalityinspectionfeeshallbeatthebuyer'sexpenseatUS$1perpack,i.e.US$10persample.Ifthequalityisdegraded,sellershallbeartheinspectionfeeforthepartwhichisnotinaccordancewiththecontract.13.病蟲害熏蒸FumigationofInsectPests賣方所交付之棉花,不得帶有法定檢疫的病蟲害。如貨到岸后有病蟲害存在,買方將根據(jù)檢疫規(guī)定需要熏蒸處理時,因熏蒸而產生的各項費用,均由賣方負擔。Cottondeliveredbysellershallnothavetheinsectpestswhichareprohibitedbystatutoryquarantine.Providedthattheinsectpestsarefoundthereinatthearrivalofthegoods,thefumigationthereofwillbeforaccountofseller.14.不可抗力ForceMajerue14.1由于水災、火災、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議,該方不負責任。但是,受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方,并在不可抗力事件發(fā)生15天內將有關機構出具的不可抗力事件的證明寄交對方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.14.2由于雙方公認的人力不可抗拒的原因而致延遲執(zhí)行合同或不能執(zhí)行合同之一部分或全部,雙方都不承擔責任。但是,遭受不可抗力的當事方應向另一方提供政府機關或商會發(fā)給的災害證明文件,以資證明。Neitherpartyshallbeliableforthedelayofexecutionhereofornon-performanceofpartorallhereofduetoforcemajeurewhichbeingmutuallyrecognizedbybothparties.However,thepartysufferingfromforcemajeureshallprovidetotheotherpartyadocumentaryevidentissuedbythegovernmentauthorityorcommercialchamber.15.仲裁Arbitration本合同在執(zhí)行中,如發(fā)生任何糾紛,應通過雙方友好協(xié)商進行解決。如協(xié)商不成,任何一方可以提起仲裁。仲裁在被告
