編號:NO.:廣東省勞動合同LaborContractofGuangdongProvince廣東省人力資源和社會保障廳編制DraftedbyGuangdongProvincialHumanResources&SocialSecurityDepartment廣東省東莞市人力資源局印PrintedbyDongguanMunicipalHumanResourcesDepartment人力資源和社會保障效勞熱線:12333HumanResourcesandSocialSecurityServiceHotline:12333使用說明Guideline雙方在簽訂本合同前,應認真閱讀本合同。本合同一經簽訂,即具有法律效力,雙方必須嚴格履行。1.Thepartieshereofshallreadthroughallcontentbeforesigningthiscontract.Thiscontractshallcomeintoforceuponsignature,andshallbeimplementedbybothparties.二、本合同必須由用人單位〔甲方〕的法定代表人〔或者委托代理人〕和職工〔乙方〕簽字或蓋章,并加蓋用人單位公章〔或者勞動合同專用章〕。2.Thiscontractshallbesignedorsealedbytheemployee(PartyB)withthelegalrepresentativeoftheemployer(PartyA),andsealedwiththeofficialsealoftheemployer(orthespecificsealforlaborcontracts).三、本合同中的空欄,由雙方協(xié)商確定后填寫,并不得違反法律、法規(guī)和相關規(guī)定;不需填寫的空欄,劃上“/”。3.Blanksinthiscontractshallbefilleduponmutualcommunication,andshallNOTbreachanylaws,provisionsorrelatedregulations;blanksdoNOTneedtobefilled,puta/onit.四、工時制度分為標準工時、不定時、綜合計算工時三種。實行不定時、綜合計算工時工作制的,應經勞動保障部門批準。4.WorkingHoursystemisdividedintothreetypes,namelystandard-hourtype,irregular-hourtype,andcomprehensive-calculationtype.TheimplementationoftheirregularworkinghoursystemandcomprehensivecalculationworkinghoursystemshouldbeapprovedbytheLaborSecurityDepartment.五、本合同的未盡事宜,可另行簽訂補充協(xié)議,作為本合同的附件,與本合同一并履行。5.IssuesNOTcoveredinthiscontractcanbesupplementedwithextrawrittenandsignedagreements.Andthesupplementaryappendixofthiscontractshouldalsobeimplemented.六、本合同必須認真填寫,字跡清楚、文字簡練、準確,并不得擅自涂改。6.Cautiousness,clearwriting,concisenessandaccuracyarerequiredinthiscontract,andnoarbitraryalterationisallowed.七、本合同〔含附件〕簽訂后,甲、乙雙方各執(zhí)一份備查。7.Uponsignature(includingappendix),PartyAandPartyBshallholdonecopyeach.甲方〔用人單位〕:乙方〔勞動者〕:PartyA(Employer):PartyB(Employee):名稱:姓名:Name:Name:法定代表人〔主要負責人〕:身份證號碼:IDCardNO.:Legalrepresentative(mainpersonincharge):戶籍地址:Domicile:通訊地址:通訊地址:CorrespondenceAddress:CorrespondenceAddress:經濟類型:Businesstype:聯(lián)系:聯(lián)系:Tel:Tel:根據(jù)《中華人民共和國勞動法》、《中華人民共和國勞動合同法》和國家及省的有關規(guī)定,甲乙雙方按照合法、公平、平等自愿、協(xié)商一致、老實信用的原那么訂立本合同。ThisContractisconcludedonmutualbasisoflawfulness,fairness,equalityandfreewill,consensusandgoodfaithbyandbetweentheforesaidEmployerandEmployeeinaccordancewiththeLaborLawofthePeople'sRepublicofChina(thePRCLaborLaw),theLawofthePeople’sRepublicofChinaonEmploymentContracts(thePRCEmploymentContractLaw)andotherrelevantlawsandregulationsofChinaandofGuangdongProvince.勞動合同期限Article1LaborContractTerm合同期ContractTerm雙方同意按以下第種方式確定本合同期限:Bothpartiesagreetodeterminethecontractterm(durationofservice)assetforthinItem(1)below:1.固定期限:從年月日起至年月日止。1.Fixed-term:fromdaymonthyeartodaymonthyear.2.無固定期限:從年月日起至法定終止條件出現(xiàn)時止。2.Open-endedterm:fromdaymonthyeartothedateonwhichstipulatedendingconditionoccurs.3.以完成一定工作任務為期限:從起至工作任務完成時止。該工作任務完成的標志為。3Theperiodisdefinedasthecompletionofacertaintask:commencesfromandendswhenthetaskisdone.Thesettargetofcompletionis.〔二〕試用期B.ProbationPeriod雙方同意按以下第種方式確定試用期〔試用期包含在合同期內〕:ThePartiesagreetodeterminetheprobationperiodpursuanttomodebelow〔theprobationperiodshallbeincludedinthetermoftheContract〕:無試用期。1.Noprobationperiod.2.試用期從年月日起至年月日止。2.Probationperiodcommencesfromdaymonthyearandendsondaymonthyear.〔勞動合同期限三個月以上不滿一年的,試用期不得超過一個月;勞動合同期限在一年以上不滿三年的,試用期不得超過二個月;三年以上固定期限和無固定期限的勞動合同,試用期不得超過六個月。〕(Ifthelaborcontracthasatermofnotlessthanthreemonthsbutlessthanoneyear,theprobationperiodmayNOTexceedonemonth;ifthelaborcontracthasatermofmorethanoneyearandlessthanthreeyears,theprobationperiodmayNOTexceedtwomonths;andifthelaborcontracthasatermofnotlessthanthreeyearsorisopen-ended,theprobationperiodmayNOTexceedsixmonths.)二、工作內容和工作地點Article2JobDescriptionandPlaceofWork〔一〕乙方的工作部門為,崗位〔管理技術崗位或生產操作崗位〕為,職務〔或工種〕為。A.ThedepartmentorgroupatwhichPartyBworksis:

.〔四〕甲方在合同期內因生產經營需要或其他原因調整乙方的工作崗位,或派乙方到本合同約定以外的地點、單位工作的,應協(xié)商一致并按變更本合同辦理,雙方簽章確認的協(xié)議書作為本合同的附件。D.Duringthetermofthiscontract,ifPartyAhastoadjustthepositionofPartyBduetotheneedsofproductionandbusinessoperationorothercauses,orassignPartyBtoworkintheplaceorcompanyotherthantheplaceorcompanyprovidedinthiscontract,thePartiesshallreachconsensusthroughnegotiationtoamendthiscontract.Theamendedagreementconcludedshallbetheappendixofthiscontract.三、工作時間和休息休假Article3WorkingHoursandRestandLeave〔一〕甲、乙雙方同意按以下第種方式確定乙方的工作時間:A.ThePartiesagreetodeterminetheworkinghourpursuanttomodebelow:1.標準工時工作制,即每日工作小時,每周工作天,每周至少休息一天。1.Standardworkinghoursystem.PartyBshallworkforhoursadayandhoursaweek.PartyAshallguaranteethatPartyBhasatleastonedayoffinaweek.2.不定時工作制,即經勞動保障部門審批,乙方所在崗位實行不定時工作制。2.Irregularworkinghoursystem.ThepositionofPartyBshallpracticeirregularworkinghoursystemaftertheapprovalofcertainlaboradministrationauthority.3.綜合計算工時工作制,即經勞動保障部門審批,乙方所在崗位實行以為周期,總工時小時的綜合計算工時工作制。3.Workinghoursystemofcomprehensivecalculation.ThepositionofPartyBpracticestheWorkinghoursystemofcomprehensivecalculationaftertheapprovalofthelaboradministrationauthoritywiththecalculationcircleasandthetotalworkinghoursas.〔二〕甲方因生產〔工作〕需要,經與工會和乙方協(xié)商后可以延長工作時間。除《勞動法》第四十二條規(guī)定的情形外,一般每日不得超過一小時,因特殊原因最長每日不得超過三小時,每月不得超過三十六小時。B.PartyAmayextendtheworkinghoursduetotherequirementsofitsproductionorbusinessafterconsultationwiththetradeunionandPartyB,but,withtheexceptionofthecircumstancesstipulatedinArticle42ofthePRCLaborLaw,theextendedworkinghourforadayshallgenerallyNOTexceedonehour;ifsuchextensioniscalledforduetospecialreasons,theextendedhoursshallNOTexceedthreehoursadayandthetotalextensioninamonthshallNOTexceedthirty-sixhours.〔三〕甲方按規(guī)定給予乙方享受法定休假日、年休假、婚假、喪假、探親假、產假、看護假等帶薪假期,并應按本合同約定的工資標準支付工資。C.PartyAshallprovidePartyBwithpaidvacationsincludinglegalholidays,annualleave,marriageleave,funeralleave,homeleave,maternityleaveandnursingleave,andetc.inaccordancewithrelevantregulations,andshallpayvacationsalaryaccordingtothesalarystandardprovidedbythiscontract.四、勞動報酬Article4LaborCompensation〔一〕乙方正常工作時間的工資按以下第種形式執(zhí)行,并不得低于當?shù)刈畹凸べY標準。A.ThesalaryofPartyBfornormalworkinghoursshallbepaidpursuanttomodebelowandshallNOTbelessthanthelocalminimumsalaryrate.1.計時工資:1.hourlysalary〔1〕乙方正常工作時間工資按執(zhí)行,初始工資額為元/月或元/時;(1)ThesalaryofPartyBfornormalworkinghoursshallbepaidpursuantto,thebeginning-amountisRMB/monthorRMB/hour;〔2〕乙方試用期工資為元/月〔試用期工資不得低于甲方相同崗位最低檔工資或者本合同約定工資的百分之八十,并不得低于甲方所在地的最低工資標準〕;(2)ThesalaryofPartyBforprobationperiodisRMB/month〔ThesalaryofPartyBonprobationshallNOTbelessthanthelowestsalarycategoryforthesamepositionofPartyAorlessthan80percentofthesalaryagreeduponinthiscontract,andmayNOTbelessthanthelocalminimumsalaryrate〕.2.計件工資:2.pieceworksalary〔1〕計件單價;(1)Unitprice:;〔2〕勞動定額〔確定的勞動定額原那么上應當使本單位同崗位百分之七十以上的勞動者在法定勞動時間內能夠完成〕;(2)AgreedQuota:(Thelaborquotasdeterminedgenerallyshallbetheamountofworkthatover70%employeesinthesamepositionoftheemployercanfinishwithinlegalworkinghours.)3.其他形式〔如實行年薪制或者按考核周期支付工資〕:。OtherForms(e.g.Annualsalaryorpaidbycertainassessmentcircle):.4.甲方根據(jù)本單位的生產經營狀況、物價水平和政府公布的工資增長指導線等情況,依法確定本單位的工資分配制度。經甲乙雙方協(xié)商或者以集體協(xié)商的形式,依法確定工資正常增長的具體方法和幅度。4.PartyAshalldetermineitssalarydistributionsysteminlightofthestatusquoofitsproductionandbusinessoperation,thepricelevelandsalarygrowthguidelineannouncedbythegovernment.ThespecificwaysandextentofnormalsalarygrowthshallbedeterminedthroughmutualconsultationbetweenthePartiesorthroughcollectivebargaining.〔二〕乙方的績效薪酬或獎金的計發(fā)方法為:。B.ThecalculationmethodforPartyB’ssalaryandbonusshallbe:〔三〕乙方的津貼、補貼的發(fā)放標準和方法為:。C.ThesubsidiesandallowanceofPartyBshallbepaidinlinewiththefollowingstandardandmethod:.〔四〕工資必須以貨幣形式支付,不得以實物及有價證券替代貨幣支付。D.Thesalaryshallbepaidincurrencyinsteadofphysicalgoodsorsecurities.〔五〕甲方每月日發(fā)放〔當月/上月〕工資。如遇法定休假日或休息日,那么提前到最近的工作日支付。E.PartyAshallpaythesalaryofthismonth/lastmonthon
ofeachmonth.Ifthepaydayhappenstobealegalholidayoranon-businessday,thesalaryshallbepaidinadvanceonthemostrecentbusinessday.〔六〕甲方依法安排乙方延長工作時間或者在休息日、法定休假日加班的,應按《勞動法》、《廣東省工資支付條例》的規(guī)定支付加班工資,但乙方休息日加班被安排補休的除外。F.IfPartyBisarrangedtoworkovertimeoronnon-businessday(s)oronlegalholidays,PartyAshallpayPartyBovertimesalaryinaccordancewiththePRCLaborLawandtheprovisionsofGuangdongProvinceonWagePayment,exceptthatPartyBisarrangedforcompensatorytime-offafterheorshehasbeenarrangedtoworkovertimeoronnon-businessday(s).五、社會保險和福利待遇Article5SocialInsuranceandBenefitPackage〔一〕合同期內,甲方應按國家、省和本地區(qū)的有關規(guī)定,依法為乙方辦理參加養(yǎng)老、醫(yī)療、失業(yè)、工傷、生育等社會保險的手續(xù),按規(guī)定的繳費基數(shù)和繳費比例繳納應由甲方承當?shù)纳鐣kU費,并按規(guī)定從乙方的工資中代為扣繳應由個人承當?shù)纳鐣kU費。甲方應將為乙方辦理參加社會保險手續(xù)和扣繳社會保險費的情況如實告知乙方。A.Duringthecontractperiod,PartyA,inaccordancewithrelevantregulationsofthecountry,theprovinceandlocalauthority,shallpaythepension,medical,unemployment,workinjuryandmaternityinsurancesforPartyB,andshallpaysocialinsurancewithprescribedpaymentbaseandratio.PartyBshallundertaketheindividualpartofsocialinsurance,andthepayableamountshallbedeductedbyPartyAfromPartyB’ssalary.PartyAshalltruthfullyinformtheinformationofPartyB’ssocialinsuranceproceduresandthedeductionamount.〔二〕乙方患病或非因工負傷,甲方應按國家和地方的規(guī)定給予醫(yī)療期和醫(yī)療待遇,按醫(yī)療保險及其他相關規(guī)定報銷醫(yī)療費用,并在規(guī)定的醫(yī)療期內支付病假工資或疾病救濟費,數(shù)額為元/月〔不低于當?shù)刈畹凸べY標準的80%〕。B.IncasethatPartyBsufferssicknessornon-work-relatedinjury,PartyAshallofferPartyBaperiodofmedicaltreatmentandsick-leavetreatmentstipulatedbynationalandlocalregulations,reimbursemedicalinsuranceandothermedicalpaymentinlightofcertainregulations,andpaythesicknesspayorsicknessreliefcostduringspecifiedmedicaltreatmentperiod;theamountshallbeRMBpermonth(nolessthan80%ofthelocalminimumsalarystandard).六、勞動保護、勞動條件和職業(yè)危害防護Article6LaborProtection,WorkingConditionandProtectionAgainstOccupationalHazards〔一〕甲方按國家和省有關勞動保護規(guī)定提供符合國家勞動衛(wèi)生標準的勞動作業(yè)場所,切實保護乙方在生產工作中的平安和健康。如乙方工作過程中可能產生職業(yè)病危害,甲方應如實告知乙方,并按《職業(yè)病防治法》的規(guī)定保護乙方的健康及其相關權益。A.PartyAshallprovideworkingplaceconformedtothenationallaborhealthstandard,inaccordancewithlaborprotectionregulationsofthenationandprovince,andprotectthesafetyandhealthofPartyBatworkplace.ProvidedthatPartyBmaysufferoccupationalhazardduringproductionprocedures,PartyBshallbewellnotifiedbyPartyA,andPartyAshallprotectthehealthandrelatedrightsofPartyBstipulatedbyCodeofOccupationalDiseasePreventionofPRC.〔二〕甲方根據(jù)乙方從事的工作崗位,按國家有關規(guī)定,發(fā)給乙方必要的勞動保護用品,并按勞動保護規(guī)定每〔年/季/月〕免費安排乙方進行體檢。B.AccordingtothepositionofPartyB,PartyAshallprovidePartyBwithlaborsafetysuppliesinconformitywithrelevantlawsandregulations,andprovidefreephysicalexaminationforPartyBevery(year/season/month)inaccordancewithlaborprotectionprovisions.〔三〕甲方按照國家、省和當?shù)氐挠嘘P規(guī)定,做好女職工的勞動保護和保健工作。C.PartyAmustcarryoutrelevantprovisionsformulatedbythenation,provinceandlocalauthorityforthelaborprotectionandhealth-careworkoffemaleworker.〔四〕乙方有權拒絕甲方的違章指揮、強令冒險作業(yè),對甲方及其管理人員漠視乙方生命平安和身體健康的行為,有權對甲方提出批評并向有關部門檢舉、控告。D.PartyBisentitledtorefusetocarryoutanydangerousoperationforceduponhim/herbyPartyA.ProvidedthatPartyAoritsmanagementcrewisindifferenttothesafetyandhealthofPartyB,PartyBhastherighttoimpeachorsuetorelevantgovernmentdepartments.〔五〕臺風黃色、橙色、紅色或者暴雨紅色預警信號生效期間,除必需在崗的工作人員外,甲方應當根據(jù)工作地點、工作性質、防災避災需要等情況安排工作人員推遲上班、提前下班或者停工,并為在崗工作人員以及因天氣原因滯留單位的工作人員提供必要的避險措施。E.Providedthatthetyphoonyellow,orange,redwarningsignalORtherainstormredwarningsignalareissued,exceptforthoseneededtobeonduty,PartyAshallarrangeemployeestopostponetowork,toleaveearlierorstopworkingaccordingtotheplaceofwork,worknatureandtheneedofdisasterprevention,andnecessarypreventionmeasuresshallbetakenforemployeesondutyorstaffstrandedatworkplaceduetothebadweather.〔六〕乙方患職業(yè)病、因工負傷或者因工死亡的,甲方應按《工傷保險條例》的規(guī)定辦理。F.IfPartyBsuffersoccupationaldisease,work-relatedinjuryordeathduetowork,PartyAshallhandleitinaccordancewithRegulationsonWorkInjuryInsurance.七、合同的變更Article7ModificationoftheEmploymentContract〔一〕任何一方要求變更本合同的有關內容,都應以書面形式通知對方。A.EitherPartymaymodifyrelevanttermsoftheEmploymentContractwithwrittennoticetotheotherParty.〔二〕甲方變更名稱、法定代表人、主要負責人或者投資人等事項,不影響本合同的履行。B.TheimplementationofthiscontractshallNOTbeaffectedbythechangeofname,legalrepresentative,principalpersoninchargeorinvestorofPartyA.〔三〕甲方發(fā)生合并或者分立等情況,本合同繼續(xù)有效,由承繼甲方權利和義務的單位繼續(xù)履行。C.IfmergeordivisionoccurstoPartyA,thiscontractremainseffective,andshallbeimplementedbythecompanywhosucceedsPartyA'srightsandobligations.〔四〕甲乙雙方經協(xié)商一致,可以變更本合同,并辦理書面變更手續(xù)。變更后的勞動合同文本由甲乙雙方各執(zhí)一份。D.Thetwocontractingpartiesmayalterthiscontractthroughmutualconsultationandnegotiation,andrecordchangesinwrittenform.Eachpartyholdsonecopyofthealteredcontract.八、合同的解除和終止Article8TheDissolutionandTerminationofContract〔一〕解除A.Dissolution1.經甲乙雙方協(xié)商一致,本合同可以解除。其中由甲方提出解除本合同的,應按規(guī)定支付經濟補償。1.Thepartiesheretomayrevokethiscontractbymutualconsensus.IfPartyAproposestorevokethiscontract,certaincompensationshouldbemadetoPartyB.2.有以下情形之一的,甲方可以解除本合同:2.PartyAmayrevokethiscontractprovidedthatPartyBhasanyofthefollowingcircumstances:〔1〕乙方在試用期內被證明不符合錄用條件的;(1)Provedtohavefailedtherecruitmentrequirementsduringprobationperiod;〔2〕乙方嚴重違反甲方規(guī)章制度的;(2)SeriouslybreachtherulesandregulationsofPartyA;〔3〕乙方嚴重失職,營私舞弊,對甲方造成重大損害的;(3)CausingseriousdamagesduetoPartyB’sseriousderelictionofdutyorfraud;〔4〕乙方同時與其他用人單位建立勞動關系,對完成甲方的工作任務造成嚴重影響,或者經甲方提出,拒不改正的;(4)EstablishedlaborrelationshipwithothercompaniesandhasgreatimpactoncompletingthetasksofPartyA,ORrefusetoendthelaborrelationshipwithothercompaniesafterrequestedbyPartyA.〔5〕乙方以欺詐、脅迫的手段或者乘人之危,使甲方在違背真實意思的情況下訂立或者變更勞動合同致使本合同或者變更協(xié)議無效的;(5)PartyBhassignedormodifiedthislaborcontractagainstthetrueintentionsofPartyAthroughfraud,coercionorexploitationoftheunfavorablepositionofPartyA,asaresultofwhichthiscontractorthemodifiedagreementisdeemednullandvoid;〔6〕乙方被依法追究刑事責任的;(6)PartyBisprosecutedforcriminalliability;〔7〕乙方患病或非因工負傷,在規(guī)定的醫(yī)療期滿后不能從事本合同約定的工作,也不能從事由甲方另行安排的工作的;(7)PartyB,duetoillnessornon-workrelatedinjury,canneitherengageintheoriginalworknorotherworkassignedbyPartyAafterduemedicaltreatment;〔8〕乙方不能勝任工作,經過培訓或者調整工作崗位,仍不能勝任工作的;(8)PartyBisincompetentforworkbeforeandaftertrainingoradjustmentofpositions.〔9〕本合同訂立時所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無法履行,經雙方協(xié)商未能就變更本合同達成協(xié)議的;(9)Bothpartiesheretomayrevokethiscontract,providedthatthiscontractcannotbefulfilledduetosignificantchangesofobjectivesituationsthatthiscontractwasbasedonwhensigned,andbothpartiescannotsettletoagreeonthechangesafternegotiation.甲方按照第〔7〕、〔8〕、〔9〕項規(guī)定解除本合同的,需提前三十日書面通知乙方〔或者額外支付乙方一個月工資〕,并按規(guī)定向乙方支付經濟補償,其中按第〔7〕項解除本合同并符合有關規(guī)定的還需支付乙方醫(yī)療補助費。IfPartyArevokesthiscontractinaccordancewithitem(7)(8)(9),PartyBshallbenotifiedinwrittenform(ormakeextractpaymentofonemonth’ssalary)andcertaineconomiccompensationshallbemadetoPartyB;specifically,ifPartyArevokesthiscontractaccordingtoitem(7),medicaltreatmentallowancesshallbemadetoPartyBconformingtorelevantregulations.3.有以下情形之一,甲方在履行規(guī)定程序后,可以裁減人員,并按規(guī)定支付經濟補償:3.Underanyofthefollowingcircumstances,PartyAcanmakeredundanciesandpayeconomiccompensationtoPartyBinlinewithstipulatedregulations:〔1〕甲方依照企業(yè)破產法規(guī)定進行重整的;(1)PartyAneedstoberestructuredpursuanttotheEnterpriseBankruptcyLawoftheRPC;〔2〕甲方生產經營發(fā)生嚴重困難的;(2)PartyA’sproductionandoperationissufferingtremendousdifficulty;〔3〕甲方轉產、重大技術革新或者經營方式調整的;(3)PartyA’sproduction,significanttechnologyinnovationorbusinessmethodneedtobeadjusted;〔4〕其他因勞動合同訂立時所依據(jù)的客觀經濟情況發(fā)生重大變化,致使本合同無法履行的。(4)Othersituationswhicharecausedbythefailureofimplementationofthiscontractduetosignificantchangesofobjectivesituationsthatthiscontractwasbasedonwhensigned.4.乙方解除本合同,應當提前三十日以書面形式通知甲方;在試用期內的,提前三日通知甲方。4.ProvidedthatPartyBistorevokethiscontract,writtennoticeshallbegiventoPartyA30daysaheadand3daysaheadduringprobationperiod.有以下情形之一的,乙方可以解除本合同,甲方應按規(guī)定支付經濟補償:PartyBmayrevokethiscontractunderthefollowingcircumstances,andPartyAshallmakeeconomiccompensationstoPartyBasstipulated:甲方未按照勞動合同約定提供勞動保護或者勞動條件的;(1)PartyAfailedtoprovidelaborprotectionmeasuresorconditionsasagreedinthecontract;〔2〕甲方未及時足額支付勞動報酬的;(2)PartyAfailedtopayPartyB’ssalaryinfullandintime;〔3〕甲方未依法為乙方繳納社會保險費的;(3)PartyAdidNOTpayforPartyB’ssocialinsuranceasstipulated;〔4〕甲方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害乙方權益的;(4)TherulesandregulationsofPartyAbreachthelawandregulations,andinfringetherightsandinterestsofPartyB;〔5〕甲方以欺詐、脅迫的手段或者乘人之危,使乙方在違背真實意思的情況下訂立或者變更本合同,致使本合同或者變更協(xié)議無效的;(5)PartyAhassignedormodifiedthislaborcontractagainstthetrueintentionsofPartyBthroughfraud,coercionorexploitationoftheunfavorablepositionofPartyA,asaresultofwhichthiscontractorthemodifiedagreementisdeemednullandvoid;〔6〕甲方免除自己的法定責任、排除乙方權利,致使本合同無效的;(6)ThiscontractisdeemednullandvoidgiventhatPartyAexemptsitsliabilitiesandPartyB’srights;〔7〕甲方違反法律、行政法規(guī)強制性規(guī)定,致使本合同無效的;(7)ThiscontractisdeemednullandvoidgiventhatPartyAviolatestheobligatoryprovisionsoflawsandregulations;〔8〕甲方以暴力、威脅或者非法限制人身自由的手段強迫乙方勞動,或者違章指揮、強令冒險作業(yè)危及乙方人身平安的;(8)PartyBisforcedtoworkbyPartyAthroughviolence,coercionorunlawfulrestraintofindividualfreedom,ORifPartyBisforcedtoviolatethelaworengageinhazardousworkthatendangershisorherpersonalsafety;〔9〕法律、行政法規(guī)規(guī)定乙方可以解除勞動合同的其他情形。(9)OthersituationstipulatedbylawsandregulationsthatPartyBisentitledtorevokethiscontract.甲方有上述第〔8〕項情形的,乙方可以立即解除勞動合同,不需事先告知用人單位。Providedthatthecircumstancesofitem(8)occurs,PartyBhastherighttorevokethiscontractimmediatelywithoutnoticingPartyAinadvance.5.有以下情形之一的,甲方不得依據(jù)《勞動合同法》第四十條、第四十一條的規(guī)定解除本合同:5.Shallanyofthefollowingcircumstancesoccur,PartyAisNOTallowedtorevokethiscontractonthebasisofarticle40and41oftheLaborContractLawofPRC:〔1〕乙方從事接觸職業(yè)病危害作業(yè)未進行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學觀察期間的;(1)PartyB,whoconductsoperationsthatexposeshimorhertooccupationaldiseasehazards,hasNOTgonethroughoccupationalhealthexaminationbeforeleavingthisposition,ORissuspectedofhavinganoccupationaldiseaseandisunderdiagnosisormedicalobservation;〔2〕乙方在本單位患職業(yè)病或者因工負傷并被確認喪失或局部喪失勞動能力的;(2)PartyBisconfirmedtohaveoccupationaldiseasesinhis/herpositionorhaswork-relatedinjury,andisconfirmedtototallylostorpartiallylosttheabilitytowork;〔3〕乙方患病或者非因工負傷,在規(guī)定的醫(yī)療期內的;(3)PartyBisillorinjured,andisintheduemedicaltreatmentperiod;〔4〕女職工在孕期、產期、哺乳期的;(4)Femaleemployeesinpregnancy,lying-inperiodandlactationperiod;〕〔5〕乙方在本單位連續(xù)工作滿十五年,且距法定退休年齡缺乏五年的;(5)PartyBhasbeenworkinginthiscompanyfor15consecutiveyears,andthereislessthan5yearsbeforehe/shereacheslegalretirementage;〔6〕法律、行政法規(guī)規(guī)定的其他情形。(6)Othercircumstancesstipulatedbylawandadministrationregulations.〔二〕終止B.Termination1.本合同期滿或法定終止條件出現(xiàn),本合同即行終止。1.Thiscontractterminateswhenthecontracttermexpiresorlegalconditionstoterminateoccur.2.本合同因以下情形之一終止的,甲方應當按規(guī)定向乙方支付經濟補償:2.PartyAshallmakeeconomiccompensationtoPartyBifanyofthefollowingconditionsoccur:除甲方維持或者提高勞動合同約定條件續(xù)訂勞動合同,乙方不同意續(xù)訂的情形外,勞動合同期滿的;(1)ExceptforthecasethatPartyAmaintainsorimprovestheagreedconditionstorenewthelaborcontractandPartyBdisagrees,thiscontractexpires;〔2〕甲方被依法宣告破產的;(2)PartyAisdeclaredbankruptbycourt;〔3〕甲方被撤消營業(yè)執(zhí)照、責令關閉、撤銷或者甲方決定提前解散的;(3)ThelicenseofPartyAisrevokedandorderedtocloseorrescind,ORPartyAdecidedtodissolveinadvance;〔4〕法律、行政法規(guī)規(guī)定的其他情形。(4)Othercircumstancesstipulatedbylawandadministrationregulations.3.乙方有第八條第〔一〕項第5點情形之一,合同期滿的,甲方應當續(xù)延乙方合同期至相應的情形消失時終止。但乙方在甲方患職業(yè)病或者因工負傷并被確認喪失或者局部喪失勞動能力的勞動合同的終止,按照國家和省有關工傷保險的規(guī)定執(zhí)行。3.Thiscontractexpireswhereasanyofthefollowingcircumstancesofparagraph(5)ofarticle8occurs,PartyAshallrenewthecontractwithPartyBtillcorrespondingcircumstancesdisappear.ButifPartyBsuffersfromoccupationaldiseaseorwork-relatedinjuryandisconfirmedtohavetotallyorpartiallylosttheabilitytowork,PartyAshallimplementthiscontractaccordingtoworkinjuryinsuranceregulationsformulatedbythecountryandtheprovince.〔三〕甲方違法解除或者終止本合同,乙方要求繼續(xù)履行本合同的,甲方應當繼續(xù)履行;乙方不要求繼續(xù)履行本合同或者本合同不能繼續(xù)履行的,甲方應按規(guī)定的經濟補償標準的二倍支付乙方賠償金。C.PartyAillegallyrevokeorterminatethiscontractwhereasPartyBrequesttocontinue,PartyAshallcontinue;providedthatPartyBdoNOTrequesttocontinueorthiscontractcannotbeimplemented,PartyAshallmakedoublecompensationtoPartyBinaccordancewithregulations.〔四〕合同解除或者終止的手續(xù)D.Procedurestorevokeorterminatethecontract:甲方應當在解除或者終止本合同時出具解除或者終止勞動合同的證明,并在十五日內為乙方辦理檔案和社會保險關系轉移手續(xù)。PartyAshallissuecertificatesofcontractdissolutionorcontractterminationatthetimeofrevokingorterminatingthiscontract,andshallgothroughprocedurestotransferfilesandsocialinsuranceforPartyBwithin15days.九、調解與仲裁Article9ConciliationandArbitration雙方履行本合同如發(fā)生爭議,可先協(xié)商解決;不愿協(xié)商或協(xié)商不成的,可以向甲方勞動爭議調解機構申請調解;調解無效的,可在法定仲裁時效內向有管轄權的勞動爭議仲裁委員會申請仲裁;也可以直接向勞動爭議仲裁委員會申請仲裁。對仲裁裁決不服的,可在法定期限內向人民法院提起訴訟。Ifanydisputearisesbetweenthetwopartiesduringtheimplementationofthiscontract,itshouldberesolvedthroughnegotiationinthefirstplace;ifeitherpartyrefusestonegotiateoraresolutioncan’tbereached,anapplicationformediationcanbemadetoPartyA’slabordisputemediationbody;ifthemediationfails,eitherpartymayapplytotheLaborDisputeArbitrationCommissionofjurisdictionforarbitrationwithinthelimitationofthelegalarbitration;oreitherpartymayapplydirectlytotheLaborDisputeArbitrationCommissionforarbitration.Ifeitherpartyisnotsatisfiedwiththearbitration,itmaybringalawsuittothePeople'sCourtwithinthelegalperiod.十、效勞期與競業(yè)限制Article10DurationofServ
