簽訂日期:年月日THISAGREEMENTismadein?[placeofexecution,nameofthecityandprovince],thePeople’sRepublicofChina(the“PRC”)onthis?[date]dayof?[month],[year],byandbetweenthefollowingtwoparties:PartyA:?[InsertNameoftheEmployer],acompanydulyestablishedinthePRCwithitslegaladdressat?[Insertaddress].PartyAshallhereinafterbereferredtoasthe“Employer”;PartyB:?[InsertNameoftheEmployee],acitizenofthePRCwhoseidentitycardnumberis?[Insertnumber],of?[Insertaddress].PartyBshallhereinafterbereferredtoasthe“Employee”.WHEREAS:A.On?[Insertdate]PartyAandPartyBexecutedanEmploymentContractinaccordancewiththelawsofthePRCandbothacknowledgethatPartyBisanemployeeofPartyA.B.TheEmployerpossessesadvancedtechnologyintheareaof?[Insertbusinessscope].C.TheEmployeeagreestomaintainthestrictestconfidentialityinrespectofsuchtechnologyandotherbusinesssecretsbelongingtotheEmployerandnottoengageinanybusinessorotherwisecompetewiththeEmployeratanytimeduringhisorheremploymentwiththeEmployerorforaperiodofthree(3)yearsafterterminationofsuchemployment.Afterfriendlydiscussionsandnegotiation,PartyAandPartyBhaveagreedtothefollowingtermsandconditionswithrespecttotheEmployee’sdutiesofconfidentialityandnon-competition:.DEFINITIONSUnlessotherwiserequiredbythecontextofthisAgreement,thefollowingtermsusedinthisAgreementshallhavethemeaningssetforthbelow:“ConfidentialInformation”shallmeananyinformationwhichiscontained,stored,archivedorrecordedeitherinelectronicformatonanycomputerdisc,CD-ROM,CD,harddriveorsoftwareorwhichisincorporated,reproducedorembodiedinanydocumentorothertangibleitemineithercasebelongingtoorusedbytheEmployeroranyothercompanyorlegalpersoninwhichithasanyinterestincluding,withoutlimitation,anysubsidiarycompany,equityorcontractualorco-operativejointventure(“Affiliate”)comprising:(a)anyproprietarysoftwarewhetherdevelopedorintheprocessofdevelopmentandwhetherornotintendedtobeusedaspartofanoperatingsystem,anynetworking,design,conversionand/ortranslationprogrammesandanyinformationstoredorrecordedonanyoftheforegoing;(b)anyinformationregardingthebusinessandaffairs,customersandsuppliersoftheEmployeroranyAffiliate,thedisclosureofwhichtoanycompetitorortothegeneralpublicwouldormightbedetrimentaltotheinterestsoftheEmployeroranyAffiliate;(c)anyinformationwhichthecustomersoftheEmployeroranyAffiliateconsiderconfidentialandinrespectofwhichtheEmployeroranyAffiliatemaybesubjecttoconfidentialityornon-disclosureobligationsexpress,impliedorotherwise;(d)anyinformationconcerningtheemployeesoftheEmployeroranyAffiliateincludingratesofpayorotherinformationthedisclosureofwhichwouldormightbedetrimentaltoanysuchemployee;(e)allotherinformationofanynaturewhatsoeverwhichmaybedisclosedormadeknowntotheEmployeeatanytimeduringthecourseofhisorheremploymentbytheEmployerwhetherornotheorsheisperformingdutiesfor,orisundergoingtrainingby,theEmployeroranyAffiliatewhichotherinformationmayincludetechnologies,businessstrategiesandmethods,technicalspecificationsorknow-how,computerprogrammes,designs,blueprints,drawings,techniques,processes,listsofcustomers,suppliersorprices,discountrates,methodsofaccountingandbookkeeping,researchdataofallkindsandmanagementmethods;(f)thetechnologyandrelatedmaterialslistedinScheduleI.“BusinessSecrets”shallhavethesamemeaningasConfidentialInformation..REPRESENTATIONS,WARRANTIESANDUNDERTAKINGS-CONFIDENTIALITY2.1TheEmployeeherebyrepresents,warrantsandundertakestotheEmployer:(a)thathisorheremploymentbytheEmployerandexecutionoftheEmploymentContractwillnotbreachanycovenantoragreementwhichtheEmployeehasenteredintowithanyofhisorherformeremployersoranyobligationowedtoanyothercompanyorindividualineithercaseconcerningconfidentialityornon-competitionbytheEmployee;(b)thatheorsheunderstandsandisfullyawarethatallConfidentialInformationistheexclusivepropertyoftheEmployeranditsAffiliates(asthecasemaybe),thatthestrictestconfidentialitymustbemaintainedatalltimesinrespectthereof,thatsubstantialefforts,fundsandotherresourceshavebeeninvestedinthedevelopmentofConfidentialInformationandthatunauthoriseddisclosureofthesamewouldormightbehighlydetrimentaltotheinterestsoftheEmployeranditsAffiliates;(c)thatduringandafterhisorheremploymentbytheEmployer,theEmployeewillmaintainthestrictestconfidentialityinrespectofallBusinessSecretsoftheEmployeranditsAffiliates,complywithallrulespromulgatedbytheEmployeroranyofitsAffiliatestoprotecttheConfidentialInformation,andnotinanycircumstancesdiscloseanyoftheConfidentialInformationtoanyperson,company,organisationorotherentitywithoutthepriorwrittenconsentoftheEmployerorrelevantAffiliateandthenonlyifsuchdisclosureisinthebestinterestsoftheEmployerorrelevantAffiliate;(d)thatduringhisorheremploymentwiththeEmployer,heorsheshallnotremoveanyConfidentialInformationfromthepremisesoftheEmployerorrelevantAffiliate,copyorinanywayduplicateorreproduceanyConfidentialInformation,ortransmitanyConfidentialInformationbyelectronicmeans,exceptwiththepriorwrittenconsentoftheEmployerorrelevantAffiliate.TheEmployeefurtheracknowledgesthatheorshemaybeliabletocriminalprosecutionifheorshecommitsanybreachofthisclause2.1(d).(e)thatduringhisorheremploymentbytheEmployer,theEmployeewillforthwithreporttotheEmployerorrelevantAffiliateanyeventsorcircumstanceswhichwillormightjeopardisethesafetyorconfidentialityofanyBusinessSecretsandwilltakeappropriatemeasurestoprotectthesame;and(f)thatduringandafterhisorheremploymentwiththeEmployer,theEmployeewillmaintainthestrictestconfidentialityinrespectofallinformation(whetherornotconstitutingConfidentialInformation)regardingcustomersorsuppliersoftheEmployeroranyAffiliateorothercompaniesorpersonsrelatedtothebusinesscarriedonbytheEmployeroranyAffiliate,andwillnotdisclosesuchinformationtoanyperson,company,organisationorotherentityorusesuchinformation,whetherornottheEmployerorsuchAffiliateissubjecttoanyexpressorimpliedobligationtokeepsuchinformationconfidential..REPRESENTATIONS,WARRANTIESANDUNDERTAKINGS-NON-COMPETITION3.1TheEmployeeherebyrepresents,warrantsandundertakestotheEmployer:(a)thathisorheremploymentbytheEmployerandexecutionoftheEmploymentContractwillnotbreachanycovenantoragreementwhichtheEmployeehasenteredintowithanyofhisorherformeremployersoranyobligationowedtoanyothercompanyorindividualineithercaseconcerninganydutyofnon-competition;(b)thatduringhisorheremploymentbytheEmployerandwithintheperiodofthree(3)yearsafterterminationofsuchemployment,theEmployeewillnot,directlyorindirectly,establish,carryon,beengagedorparticipatein,workfor,orprovidefinancialsupportto,orguaranteetheobligationsof,oradvise,anybusiness,companyorotherorganisationwhichcompeteswith,orcarriesonanyactivitysimilartoanycarriedonby,theEmployeroranyAffiliateorbeconcernedinanysuchotherbusiness,companyorotherorganisationasprincipal,owner,agent,shareholder,employeeorotherwise;(c)ThatforsolongastheEmployeecompliesinallrespectswithsub-clause(b)ofthisclauseandallotherprovisionsofthisAgreementinallrespects,theEmployershallprovidecompensationtotheEmployeeequaltothree(3)months’salary(onemonthsalaryattheendofeachofsuchthree(3)years)whichshallbecalculatedbasedonthesalarypayableinthemonthimmediatelyprecedingterminationoftheEmployee’semployment,butexcludinganybonusorotherbenefitsandtheEmployeeshallbearallPersonalIncomeTaxpayablebyhimselforherselfinrespectofsuchcompensation.IntheeventthattheEmployeefailstocomplyasaforesaid,theEmployershallbeentitledforthwithtoceasepayingtheaforementionedcompensationandtotakeactionagainsttheEmployeeonaccountofsuchnon-compliance;(d)thatduringhisorheremploymentbytheEmployerandwithintheperiodofthree(3)yearsafterterminationofsuchemployment,theEmployeewillnot,directlyorindirectly,solicitorrequestanycustomersorsupplierstowithdraworcancelanyoftheiractualorpotentialbusinessfromorwiththeEmployeroranyAffiliate;(e)thatduringhisorheremploymentbytheEmployerandwithintheperiodofthree(3)yearsafterterminationofsuchemployment,theEmployeewillnot,directlyorindirectly,induceanyotheremployeeoftheEmployeroranyAffiliatetoterminatehisorheremploymentwiththeEmployerorsuchAffiliate;and(f)thatduring,andafterterminationof,hisorheremploymentbytheEmployer,theEmployeewillnotmakeanystatementordiscloseinformationwhichisderogatoryof,orwhichmightotherwisebedetrimentaltothereputationandinterestsof,theEmployeroranyofitsAffiliatesortheirrespectivedirectors,officersoremployees..EMPLOYMENTAFTERTRAININGTodeveloptheEmployee’stechnicalskills,theEmployerwillsendtheEmployeeabroadtoreceive?[Insertperiod]technologytrainingprogramattheEmployer’sexpense.TheEmployeeacknowledgesthattheEmployerwillincurconsiderableexpenditureinprovidingsuchtrainingandthatheorshewillhaveaccesstoandlearnabouttheEmployer’sadvancedtechnologythroughsuchtrainingprogram.InconsiderationoftheEmployerprovidingsuchtraining,heorsheagreestoworkfortheEmployerforaminimumperiodoftimeafterreceivingsuchtraining.Onthebasisoffairnessandequality,theEmployeeandtheEmployerhaveagreedthat,aftertheEmployeehasreceivedsuchtraining,heorsheshall,subjectasotherwiserequiredbytheEmployer,workfortheEmployeroranyAffiliatedesignatedbytheEmployerforatleastthree(3)years.ShouldtheEmployeeresignfromhisorheremploymentbeforeexpiryofsuchthree(3)yearperiod,heorsheshallpaytotheEmployerapenaltyequalto50%ofexpenditureincurredbytheEmployerinprovidingalltrainingtotheEmployeeatanytimeduringhisorheremploymentandshallnotbepaidanyseparationpaymentbytheEmployer.Insuchevent,theobligationsoftheEmployeeinrelationtoconfidentialityandnon-competitionshallcontinuetohavefullforceandeffect.5.INTELLECTUALPROPERTYTheEmployeeherebyacknowledgesthatallintellectualpropertyorotherproprietaryrightsinortoanyinventionordiscoverywhichheorshecreatesordesignsatanytimeduringhisorheremploymentbytheEmployeroranyAffiliateor,providedthatthesameisbasedonorderivedfromanyinventionordiscoverycreatedordesignedbyhimorherduringhisorheremployment,withintheperiodofone(1)yearafterterminationofsuchemploymentaretheexclusivepropertyoftheEmployerandtheEmployeeshallnotclaimanyproprietaryrightsinrespectthereof..RETURNOFMATERIALSUpontheterminationofhisorheremployment,theEmployeeshallforthwithreturntotheEmployerortherelevantAffiliateallcomputers,discs,CDs,software,documents,papers,books,materials,archives,receipts,vehicles,creditcards,correspondence,manuals,recordsandothercompanypropertyandcopiesthereofwhichareunderhisorherpossessionandcontrol..LIABILITYFORBREACHAnybreachbytheEmployeeofhisorherobligationsunderthisAgreementshallconstituteafundamentalbreachhereofandtheEmployershallbeentitledforthwithtoterminatetheEmployee’semploymentbytheEmployer.TheEmployeeshallcompensatetheEmployerandanyAffiliatesinrespectofalllossessufferedbythemresultingfromsuchbreach,andshallnotbeentitledtoanyseparationpaymentfromtheEmployer.TheEmployeefurtheragreesthat,shouldheorshebeunableorunwillingtoperformhisorherobligationsunderthisAgreement,theEmployershallbeentitledforthwithtoterminatetheEmployee’semploymentbytheEmployerandtheEmployeeshallcompensatetheEmployerandanyAffiliatesinrespectofalllossessufferedbythemresultingfromsuchbreach,andtheEmployeeshallnotbeentitledtoanyseparationpaymentfromtheEmployer..APPLICABLELAWSTheinterpretationandimplementationofthisAgreementshallbegovernedbythelawsofthePRC.9.SETTLEMENTOFDISPUTES9.1ThePartiesagreetousetheirbestendeavourstoresolveanydisputearisingfromorrelatingtothisAgreementthroughamicableconsultations.IntheeventthatthePartiesareunabletoresolvesuchdisputethroughconsultations,suchdisputeshallbepresentedtothecourtinthedistrictwheretheEmployerislocatedor,iftheEmployersodecides,inthedistrictwhereanybreachofthisAgreementisallegedtohavebeencommittedbytheEmployee.TheEmployeeacceptstheprovisionsofthisclause9.1.10.INTEGRITYANDSEVERABILITY10.1ThisAgreementandallofitsappendicesandschedulesconstitu
