-ThisMutualNon-DisclosureAgreement(the“Agreement”)ismadeandenteredintoasof[],[](the“EffectiveDate”)byandbetween[]（PURCHASER）,asonePartytothisAgreement,and[]（VENDOR）,astheotherPartytothisAgreement.TheaforementionedpartiesshallbereferredtothroughoutthisAgreementindividuallyasa“Party”orcollectivelyasthe“Parties.”[公司]（買方）及[公司]（賣方）于[],[]（“生效日”）簽訂本保密協(xié)議（“協(xié)議”）。在本協(xié)議中，上述協(xié)議各方將單稱為“一方”或統(tǒng)稱為“各方”。1.Purpose.ThePartieswishtoexploreabusinessopportunityofmutualinterest(the“Opportunity”)andinconnectionwiththeOpportunity;eachPartymaydisclosetotheotherPartycertainconfidentialtechnicalandbusinessinformationwhichthedisclosingPartydesirestotreatasconfidential.協(xié)議目的：協(xié)議各方希望尋求可以達(dá)到互利目的的商業(yè)機(jī)會（“商機(jī)”）。在與商機(jī)有關(guān)的業(yè)務(wù)活動中，一方可能向另一方披露某些秘密的技術(shù)信息和經(jīng)營信息，披露方需要信息接受方對這些信息保密。2.“ConfidentialInformation”meansanyinformationdisclosedbyeitherPartytotheotherParty,eitherdirectlyorindirectlyinwriting,orally,orbyinspectionoftangibleobjects(includingbusinessplans,customerdata,designs,documents,drawings,engineeringinformation,financialanalysis,hardwareconfigurationinformation,inventions,marketinformation,marketingplans,processes,products,productplans,research,services,specifications,software,sourcecodeortradesecrets,andothertechnicalandmarketrelatedinformation).ConfidentialInformationmayalsoincludeinformationdisclosedtoadisclosingPartybyathirdparty.ConfidentialInformationshallnot,however,includeanyinformationwhich(i)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebythedisclosingParty;(ii)becomespubliclyknownandmadegenerallyavailableafterdisclosurebythedisclosingPartytothereceivingPartythroughnoactionorinactionofthereceivingParty;(iii)isalreadyinthepossessionofthereceivingPartyatthetimeofdisclosurebythedisclosingPartyasshownbythereceivingParty'sfilesandrecordsimmediatelypriortothetimeofdisclosure;(iv)isobtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;(v)isindependentlydevelopedbythereceivingPartywithoutuseoforreferencetothedisclosingParty'sConfidentialInformation,asshownbydocumentsandothercompetentevidenceinthereceivingParty'spossession;or(vi)isrequiredbylawtobedisclosedbythereceivingParty,providedthatthereceivingPartyshallgivethedisclosingPartywrittennoticeofsuchrequirementpriortodisclosingsothatthedisclosingPartymayseekaprotectiveorderorotherappropriaterelief.“保密信息”指一方向另一方直接或間接，口頭、書面或以其他有形載體披露的信息（包括經(jīng)營計劃、客戶數(shù)據(jù)、設(shè)計方案、文件、圖紙、工程信息、財務(wù)分析、硬件結(jié)構(gòu)信息、發(fā)明、市場信息、營銷計劃、工藝流程、產(chǎn)品信息、產(chǎn)品計劃、研究信息、服務(wù)信息、規(guī)格、軟件、初始密碼或商業(yè)秘密，以及其它與技術(shù)和市場相關(guān)的信息）。保密信息可以包括由第三方披露給披露方的信息。然而，保密信息不應(yīng)包括（1）在披露方披露之前已被公眾所知曉，在公開場所可正常獲得的信息；（2）在披露方披露之后因非接收方的作為或不作為之因素導(dǎo)致被公眾所知曉，在公開場所可正常獲得的信息；（3）在披露方披露該信息時在接收方的檔案資料和記錄中顯示接收方已經(jīng)擁有的信息；（4）接收方從第三方（前提：該第三方未違反保密義務(wù)）獲得的信息；（5）接收方的文件和其他有效證據(jù)顯示是其在未使用或參照披露方信息的情況下獨(dú)立開發(fā)、研制的信息；或（6）法律要求接收方泄露的信息，但在泄露之前，接收方應(yīng)當(dāng)書面通知原披露方，以便原披露方可申請保護(hù)指令或獲得其他適當(dāng)?shù)木葷?jì)措施。3.Non-DisclosureandNon-Use.EachPartyagreesnottodiscloseanyConfidentialInformationorthefactthatdiscussionsornegotiationsaretakingplacebetweenthePartiestothirdparties,itsemployees,customers,suppliersorassociatedentities,excepttothoseemployees,customers,suppliersorassociatedcompaniesofthereceivingPartywhoareconfirmedinwritinginadvancebythePartiestoberequiredtohavetheinformationinordertoevaluateorengageindiscussionsconcerningtheOpportunity.EachPartyagreesthatitwillnot,withoutthepriorwrittenconsentoftheotherParty,disclose(unlessrequiredbylaw)toanyotherpersonthefactthattheConfidentialInformationhasbeendisclosedunderthisAgreementoranyoftheterms,conditions,statusorotherfactswithrespectthereto.EachPartyagreesnottouseanyConfidentialInformationforanypurposeexcepttoevaluateandengageindiscussionsconcerningtheOpportunity.NeitherPartyshallreverseengineer,disassembleordecompileanyprototypes,softwareorothertangibleobjectswhichembodytheotherParty’sConfidentialInformationandwhichareprovidedtothePartyhereunderunlessconsentforsuchactionsisreceivedbythePartythatownstheobject.NeitherPartyshallmakeanycopiesoftheotherParty’sConfidentialInformationunlessthesamearepreviouslyapprovedinwritingbythedisclosingParty.EachPartyshallreproducetheotherParty’sproprietaryrightsnoticesonanysuchapprovedcopies,inthesamemannerinwhichsuchnoticesweresetforthinorontheoriginal.禁止泄露與禁止使用：各方同意任何一方將不會將保密信息或各方正在進(jìn)行協(xié)商或談判的事實(shí)泄露給第三方、自己一方員工、客戶、供應(yīng)商或關(guān)聯(lián)單位，接收方的那些需要就商機(jī)進(jìn)行評估或洽談的員工、客戶、供應(yīng)商或關(guān)聯(lián)單位在雙方事先書面確認(rèn)需要知悉該信息時除外。各方同意，在未事先征得對方書面同意的情況下（法律要求的除外），將不向任何其他人泄露保密信息已經(jīng)根據(jù)本協(xié)議被披露的事實(shí)或相關(guān)協(xié)議條款、條件、交易狀況或其他事實(shí)。各方同意，除了出于對商機(jī)進(jìn)行評估與洽談的目的之外，不將任何保密信息用于其他任何目的。任何一方均不應(yīng)將對方依據(jù)本協(xié)議提供的含有對方保密信息的樣品、軟件或其他有形載體進(jìn)行技術(shù)工程反推、拆散、編輯分解，擁有該物所有權(quán)的一方同意的除外。任何一方均不應(yīng)將其他協(xié)議方的保密信息進(jìn)行拷貝備份，信息披露方事先書面同意的除外。對經(jīng)信息披露方同意拷貝的備份，拷貝方應(yīng)當(dāng)將對方的專有權(quán)通知以與該通知在原件中發(fā)出的相同樣式復(fù)制在經(jīng)拷貝的該備份上。
