PartyB:Registereddomicile:Habitualresidence:NumberofIDCard:Tel:二、立合同事由2.RECITALS鑒于甲方愿意錄用乙方,乙方愿意到甲方工作,按照《中華人民共和國勞動法》、《中華人民共和國勞動合同法》和《上海市勞動和同條例》等我國國家和地方政府的有關(guān)法律法規(guī)和行政規(guī)章,以及甲方制定的各項(xiàng)規(guī)章制度,本著平等、自愿的原則,經(jīng)甲、乙雙方協(xié)商一致,特簽訂本勞動合同(以下簡稱“本合同”)。WHEREAS,PartyAintendstoemployPartyBandPartyBintendstoworkforPartyA,

);PartyBshallbesubjecttotheworkarrangementmadebythedivisionheorsheworksinorthedirectorathigherlevel.(二)乙方應(yīng)履行甲方制定的崗位職責(zé),按時(shí)、按質(zhì)、按量完成其本職工作。2.2PartyBshallperformhisorherworkdutiesprovidedbyPartyA,andshallcompletehisorherworktaskinaccordancewiththeprovisionsintermsoftimelimit,qualityandworkload.(三)乙方承諾,愿服從甲方根據(jù)工作需要、乙方工作能力及其表現(xiàn)而安排或調(diào)動的工作崗位。并同意在下列情況下本合同不作變更處理。2.3PartyundertakestoacceptthearrangementorchangeofworkmadebyPartyAinlightofPartyA’sworkrequirementsandPartyB’sworkingabilityandperformance;PartyBagreesthatthisAgreementmaynotbealteredunderanyofthefollowingcircumstances:1、乙方的工作地點(diǎn)由所在部門安排。今后因工作需要乙方在甲方所在本市的全部經(jīng)營辦公場所及附屬場所(包括公司自有產(chǎn)權(quán)的物業(yè)或租賃的物業(yè),)之間調(diào)整時(shí)。1.PartyB’sworkingsiteistobearrangedbythedivisionheorsheworksin;PartyAistochangePartyB’sworkingsitewithinallitsbusinessofficesandattachedsitesinthecitywherePartyAisdomiciled(includingPartyA’sownpropertyorotherpremisesleasedbyPartyA),onthebasisofPartyA’sworkingrequirement;2、甲方因工作需要,臨時(shí)指派乙方到境內(nèi)外短期出差地點(diǎn)工作的。2.PartyAassignsPartyBtoworkathomeorabroadonbusinesstravelforashorttermonthebasisofPartyA’sworkingrequirement.3、甲方因工作需要,安排乙方臨時(shí)外借到其它部門或其它他單位工作的。3.Inresponsetoworkingrequirement,PartyAtemporarilyassignsPartyBtoworkatotherdivisionsofPartyAorotherentities.(四)因工作需要,乙方被指派到外省市或境外企業(yè)或機(jī)構(gòu)長期工作的,協(xié)商一致后,本合同作變更處理。2.4Where,inresponsetoworkingrequirement,PartyAassignsPartyBtoworkinenterprisesororganizationslocatedinotherprovincesormunicipalitiesorabroadforlongperiod,thisAgreementmaybealteredonthebasisofmutualconsentthroughnegotiation第三條(工作時(shí)間和休息休假)Article3WorkingHoursandHoliday(一)乙方的崗位實(shí)行全日制標(biāo)準(zhǔn)工時(shí)工作制度,甲方安排乙方每日工作時(shí)間不超過8小時(shí),每周工作五天。3.1PartyBistoworkunderthefull-timestandardworkingtimesystem:PartyAmayrequirePartyBtoworkfornomorethan8hourseverydayandforfivedayseveryweek.(二)甲方由于工作需要,經(jīng)與乙方協(xié)商后可以延長工作時(shí)間,一般每日不超過1小時(shí),因特殊原因需要延長工作時(shí)間的,在保障乙方身體健康的前提下工作時(shí)間不得超過3小時(shí),每月不得超過36小時(shí)。3.2Ifnecessaryforwork,PartyAmay,onthebasisofnegotiationwithPartyB,extendPartyB’sworkinghoursfornomorethanonehoureverydaygenerally;whereitisnecessarytoextendworkinghoursunderspecialcircumstances,suchextensionofworkinghoursmaynotexceedthreehourseverydayonthepremiseofbeingnoharmfultoPartyB’shealth,andnomorethanatotalof36hourseverymonth.
(三)乙方有享受國家規(guī)定的各類休息休假的權(quán)利,具體按甲方的《職工工作時(shí)間及休息休假管理辦法》執(zhí)行。3.3PartyBisentitledtoalltheholidaysandleavesprovidedbytheState,towhichtheImplementationRulesforEmployeesWorkingHoursandHolidaysformulatedbyPartyAshallapply.(四)如遇國家或本市政府有關(guān)部門調(diào)整工作時(shí)間和休息、休假時(shí)間,或甲方在特殊季節(jié)臨時(shí)調(diào)整休息、休假時(shí)間的,不作本合同變更處理。3.4WheretheStateortherelevantauthoritiesofthislocalmunicipalityreadjuststheprovisionsonworkinghours,holidaysorleaves,orPartyAreadjuststheprovisionsonholidaysorleaves,thisAgreementmaynotbedeemedasbeingaltered.第四條(勞動報(bào)酬)Article4Remuneration(一)乙方的勞動報(bào)酬包括每月發(fā)放的固定工資和以及相關(guān)的津貼補(bǔ)貼、每季度考核發(fā)放的績效工資等部分組成,按照甲方薪酬管理規(guī)定執(zhí)行。合同簽訂后甲方發(fā)給《職工薪酬告知書》,具體明確薪酬類別和標(biāo)準(zhǔn)?!堵毠ば匠旮嬷獣纷鳛楸竞贤母郊?,與本合同具有同等法律效力。4.1TheremunerationforPartyBincludesfixedmonthlysalary,allowance,quarterlyperformance-basedwageandthelike,andtheremunerationistobepaidinaccordancewithPartyA’sregulationsonremuneration.Afterexecutionhereof,PartyAistosendPartyBaNotificationofEmployee’sRemuneration,whichspecifiesthetypeandstandardoftheremuneration;suchNotificationconstitutesanannextothisAgreementandhavethesamelegalbingingforceasthisAgreement.(二)在履行本合同期間的日常操作中,甲方依照《職工薪酬告知書》中約定的薪酬標(biāo)準(zhǔn)作以下扣除處理的,本合同不作變更處理。4.2If,inthecourseoftheperformanceofthisAgreement,PartyAdeductsanypaymentoftheremunerationinaccordancewiththeNotificationofEmployee’sRemuneration,thisAgreementmaynotbedeemedasbeingaltered.1、由公司代扣代繳的個(gè)人所得稅。2、由職工個(gè)人承擔(dān)的社會保險(xiǎn)費(fèi)、住房公積金、企業(yè)年金的扣款。3、因職工違反公司規(guī)章制度所發(fā)生違約金、賠償?shù)瓤劭睢?、因職工發(fā)生事假等非帶薪假期所作的扣款。5、因法院對職工涉案判決所指定公司執(zhí)行的扣款。6、其它符合法律及公司制度而發(fā)生的扣款。1.IndividualincometaxeswithheldandpaidbyPartyAonbehalf;2.Thepartofsocialinsurancepremium,housingaccumulationfunds,enterpriseannuitytobebornebyPartyB;3.Penalty,compensationandthelikearisingfromPartyB’sbreachofPartyA’sregulationsorrules;4.DeductionofremunerationmadebyPartyAowingtoprivateaffairleaveandleavestakenbyPartyBotherthanleaveswithpayment;5.DeductionofremunerationmadebyPartyAundertheorderofcourtonthebasisofthejudgementofcaseconcerningPartyB;6.DeductionofremunerationincompliancewithlawsorPartyA’sregulationsystem.(三)在本合同期間,甲方因調(diào)增職工薪酬標(biāo)準(zhǔn)的,本合同不作變更處理。4.3If,duringthevaliditytermofthisAgreement,PartyAincreasestheremunerationforemployees,thisAgreementmaynotbedeemedasbeingaltered.(四)甲方每月5日以貨幣形式通過銀行轉(zhuǎn)賬到乙方個(gè)人帳戶的辦法支付乙方工資,包括崗位工資、工齡工資及按月發(fā)放的相關(guān)補(bǔ)貼。乙方同意屬于乙方可得的績效工資、補(bǔ)貼津貼等按甲方薪酬管理規(guī)定的日期和形式發(fā)放,屆時(shí)甲方以電子郵件等形式通知乙方。4.4PartyAshall,onthefifthdayofeachandeverymonth,payPartyBremunerationbytransferringthecurrencytoPartyB’saccountthroughbank,includingpost-basedwage,workingage-basedwageandrelevantallowancetobepaidonamonthlybasis.PartyBagreesthatalltheperformance-basedwage,allowanceandthelikemaybepaidonthedateandbythemeansprovidedbyPartyAwithrespecttoremuneration,andPartyAistonotifyPartyBbymeansofemailofthepaymentthereafter.(五)若乙方提供了正常勞動,甲方支付給乙方的工資報(bào)酬不得低于本市政府規(guī)定的最低工資標(biāo)準(zhǔn)。4.5TheremunerationpaidbyPartyAtoPartyBmaynotbelessthantheminimumlevelprovidedbythelocalmunicipalgovernment,providedthatPartyBprovidesnormalworkforPartyA.(六)甲方每月向乙方發(fā)放上月工資清單。該清單屬于保密范圍,應(yīng)妥善保管,不得泄露給本人家庭成員以外的任何第三人、員工之間不得相互打探,如有疑義可以向甲方人力資源部咨詢。4.6PartyAshall,onamonthlybasis,sendPartyBremunerationlistforthelastmonth;suchremunerationlistmustbetreatedasconfidentialinformationandkeptproperly,andsuchlistmaynotbedisclosedtoanythirdpartiesotherthanthefamilymembersofPartyB;employeesmaynotenquireofoneanotherabouttheremuneration;intheeventofanyobjection,PartyBmayconsultPartyA’shumanresourcedepartment.第五條(社會保險(xiǎn)及其它)Article5SocialInsuranceandOtherMatters(一)甲方按照國家和上海市的有關(guān)規(guī)定,為乙方交納社會保險(xiǎn)和住房公積金。5.1PartyAshallpaysocialinsurancepremiumandhousingaccumulationfundsforPartyBinaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.(二)乙方原意按照國家和上海市的有關(guān)規(guī)定,由個(gè)人承擔(dān)的社會保險(xiǎn)、住房公積金部分由甲方在工資中代扣代繳。5.2PartyBagreesthatPartyAmay,fromtheremunerationpayabletoPartyB,withholdthepartofsocialinsurancepremiumandpublicremunerationfundtobebornebyPartyBandPartyAmaypaysuchwithheldpartonbehalf,inaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.(三)乙方因病或非因工負(fù)傷期間,享有上海市規(guī)定的醫(yī)療期和疾病休假待遇。5.3IfPartyBsufferssicknessornon-work-relatedinjury,PartyBisentitledtomedicaltreatmentperiodandsickleavetreatmentprovidedbyShanghaimunicipality.(四)符合計(jì)劃生育政策的乙方(女職工)享有本市規(guī)定的產(chǎn)假和其它特殊待遇,事前乙方須提出申請,經(jīng)甲方(但不限于甲方,如果需要政府有關(guān)機(jī)構(gòu)審核批準(zhǔn)的)核準(zhǔn)后執(zhí)行。5.4PartyB(ifPartyBisafemaleemployee)isentitledtomaternityleaveandotherspecialtreatmentprovidedbythislocalmunicipality,providedthatshemustbeincompliancewiththeState’sfamilyplanningpolicyandPartyBshallsubmitanapplicationtoPartyA(iftheapprovalofthegovernmentisnecessary,PartyBshallsubmitsuchapplicationtocompetentauthorities)forapprovalinadvance.(五)乙方享有甲方按國家或本市政府及甲方的規(guī)定設(shè)定的福利待遇,具體按甲方的有關(guān)辦法執(zhí)行。5.5PartyBisentitledtothewelfareprovidedbyPartyAinaccordancewiththerelevantprovisionsmadebytheState,thelocalmunicipalgovernmentorPartyA;PartyA’srelevantimplementationrulesshallapplytothewelfare.(六)如遇國家或本市政府調(diào)整社會保險(xiǎn)、住房公積金的政策,甲方相應(yīng)調(diào)整乙方的社會保險(xiǎn)、住房公積金的,本合同不作變更處理。5.6If,intheeventofthereadjustmentmadebytheStateorlocalmunicipalgovernmentofthepolicyonsocialinsuranceorhousingaccumulationfund,PartyAreadjuststhesocialinsuranceandhousingaccumulationfundforPartyBaccordingly,thisAgreementmaynotbedeemedasbeingaltered第六條(勞動保護(hù)、勞動條件和職業(yè)危害防護(hù))Article6LaborProtection,WorkingConditionandPreventionagainstOccupationalHazard(一)乙方享有甲方提供的相應(yīng)的勞動保護(hù)和勞動條件。(二)乙方享有甲方執(zhí)行的國家勞動標(biāo)準(zhǔn)提供的職業(yè)危害防護(hù)條件。6.1PartyBisentitledtothecorrespondinglaborprotectionandworkingconditionbyprovidedbyPartyA.6.2PartyAshallprovidePartyBwithpreventingconditionsagainstoccupationalhazardinaccordancewiththeState’slaborstandard.第七條
(勞動紀(jì)律和規(guī)章制度)Article7LaborDisciplineandRegulationsandRules(一)甲方應(yīng)根據(jù)國家有關(guān)法律、法規(guī),依法制定各項(xiàng)規(guī)章制度。(二)乙方應(yīng)誠實(shí)守信,自覺遵守國家的法律、法規(guī)和社會公德、職業(yè)道德,自覺維護(hù)甲方的聲譽(yù)和利益,保守甲方秘密。(三)甲方有權(quán)根據(jù)乙方的表現(xiàn)或行為,依據(jù)國家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度,給予乙方相應(yīng)的獎(jiǎng)勵(lì)或處理。其中:1、乙方如發(fā)生符合甲方《職工獎(jiǎng)勵(lì)辦法》規(guī)定的積極行為的,甲方可以按照《職工獎(jiǎng)勵(lì)辦法》給與乙方獎(jiǎng)勵(lì);2、乙方如發(fā)生違反甲方規(guī)章制度的消極行為的,甲方有權(quán)按《職工違規(guī)處理辦法》給與處理。7.1PartyAshallformulatevariousregulationsandrulesinaccordancewiththeState’slawsandregulations.7.2PartyBshalldeporthimselfwithsincerityandgoodfaith,abidebytheState’slawsandregulationsandsocialethicsandprofessionalethics,maintainPartyA’sreputationandinterestsinitiativelyandkeepsecretPartyA’sconfidentialinformation.7.3PartyAmayawardortreatPartyBasfollowsinthelightofPartyB’sperformanceandactsandinaccordancewiththeState’slaws,regulationsandadministrativerulesandPartyA’sregulationsandrules.1)IfPartyBhasanypositiveactionsdeservingawardasprovidedinPartyA’sRulesofAwardingEmployees,PartyAmayawardPartyBinaccordancewiththeRulesofAwardingEmployees.2)IfPartyBhascommittedanyactionsinbreachofPartyA’sregulationsorrules,PartyAmaytreathimorherinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.
第八條(教育與培訓(xùn))Article8EducationandTraining(一)甲方可以根據(jù)工作需要不定期地對乙方進(jìn)行所必須的教育與培訓(xùn)。(二)乙方應(yīng)參加甲方的各項(xiàng)教育與培訓(xùn)安排。(三)凡由甲方出資培訓(xùn)乙方,雙方另行簽訂《培訓(xùn)/教育協(xié)議》,因乙方原因而提前解除勞動合同,乙方應(yīng)賠償甲方的培訓(xùn)等費(fèi)用,具體賠償標(biāo)準(zhǔn)執(zhí)行《培訓(xùn)/教育協(xié)議》的約定。8.1PartyAmayeducateortrainPartyBirregularlywhennecessaryinthelightoftheworkingrequirements.8.2PartyBshallparticipateinalltheeducationandtrainingcoursesarrangedbyPartyA.8.3WherePartyAinvestsintrainingofPartyB,thetwopartiesshallconcludeagreementforeducation/trainingseparately;ifthisEmploymentAgreementisterminatedearlierthanoriginallystipulatedforreasonsattributabletoPartyB,PartyBshallcompensatePartyAthetrainingfeeinaccordancewiththestipulationsinsuchagreementforeducation/training.
第九條(保密約定)Article9Confidentiality(一)雙方簽訂本合同后,乙方應(yīng)遵守甲方《保密條例》,不得泄露甲方秘密,不得在合同期內(nèi)再受聘其他任何單位從事與甲方相同或類似或有競爭沖突的業(yè)務(wù)。不得引誘甲方的其他在職職工離職。9.1PartyBshall,aftersigningofthisAgreement,observePartyA’sConfidentialityRules,andmaynotdiscloseanyofPartyA’sconfidentialinformation;duringthevaliditytermhereof,PartyBmaynotengageinanybusinesssimilarwithorincompetitionwithPartyA’sbusinessforanyotheremployer,andPartyBmaynotinduceotheremployeesworkingforPartyAtoresignfromPartyA.(二)乙方在合同期內(nèi),屬其崗位職務(wù)行為或主要利用甲方的物質(zhì)技術(shù)條件所產(chǎn)生的所有專利、版權(quán)和其他知識產(chǎn)權(quán)歸甲方所有,乙方無權(quán)進(jìn)行商業(yè)性開發(fā)。9.2Anyandallpatents,copyrightsandotherintellectualpropertyrightsproducedbyPartyBashisorherworkdutyormainlybyutilizingPartyA’smaterialduringthevaliditytermofthisAgreementshallbePartyA’sproperty,andPartyBisnotentitledtoanycommercialrightspertainingthereto.(三)甲乙雙方另訂《保密協(xié)議》,具體確定雙方的權(quán)利義務(wù)。乙方在本合同存續(xù)期間和終止解除后承擔(dān)甲方《保密協(xié)議》中規(guī)定的保密義務(wù)。9.3PartyAandPartyBaretoenterintoNon-disclosureAgreementseparately,soastostipulatetheobligationsandrightsofthetwoparties.DuringthevaliditytermofthisAgreementandaftertheterminationhereof,theconfidentialityobligationstipulatedintheConfidentialityAgreementhasbindingforceuponPartyB.(四)乙方如在本合同存續(xù)期間,違反《保密協(xié)議》約定的,視作違紀(jì)行為,按《職工違規(guī)處理辦法》有關(guān)規(guī)定處理。9.4If,duringthevaliditytermofthisAgreement,PartyBbreachestheConfidentialityAgreement,PartyBshallbedeemedashavingbreachedPartyA’sdisciplinesandistobetreatedinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.(五)乙方因違約給甲方造成經(jīng)濟(jì)或名譽(yù)損失的,應(yīng)承擔(dān)侵權(quán)賠償責(zé)任,甲方有權(quán)利向乙方追償經(jīng)濟(jì)損失。9.5IfPartyBbreachesthisAgreementandtherebycausesanyeconomiclossorreputationloss,PartyBshallbeartheliabilitythereforandPartyAmayhavetherightofrecourseagainstPartyBforanyeconomicloss.第十條(本合同的變更)Article10Alteration
(一)有下列情形之一的,甲、乙雙方可以變更本合同:10.1Inanyofthefollowingcases,thetwopartiesheretomayalterthisAgreement:1.在不損害國家、集體和他人利益的情況下,雙方協(xié)商一致的;1.OntheconditionofnoprejudicetotheinterestoftheState,organizationsorotherindividuals,thetwopartiesreachagreementforalteration;2.本合同訂立時(shí)所依據(jù)的下列客觀情況發(fā)生了重大變化,致使本合同無法履行,經(jīng)甲乙雙方協(xié)商一致的;2.AnymajorchangeoccurstoanyofthefollowingconditionsonwhichthisAgreementisbased,whichrendersperformancehereofimpossible,andthetwopartiesreachagreementforalteration:(1)、公司因經(jīng)濟(jì)原因或法律原因?qū)е侣毠氖碌墓窘?jīng)營項(xiàng)目消失。(2)、因公司戰(zhàn)略調(diào)整,組織架構(gòu)改變后,職工所從事的工作崗位消失。(3)、因其他原因?qū)е陆?jīng)營項(xiàng)目消失或工作崗位消失
(4).由于不可抗力的因素致使本合同無法完全履行的;(5).本合同訂立時(shí)所依據(jù)的法律、法規(guī)已修改的;(1)PartyA’scompanybusinessiteminwhichPartyBisengagedendsowingtoeconomicorlegalreasons;(2)TheworkingpositionsinwhichPartyBisengagedarecanceledowingtothereadjustmentofPartyA’scompanystrategyororganizationalstructure;(3)Somebusinessitemorworkingpositionsarecanceledforotherreasons;(4)ThisAgreementispreventedbyForceMajeureeventfrombeingperformedcompletely;(5)ThoselawsorregulationsonthebasisofwhichthisAgreementisconcludedhavebeenmodified.(二).法律、法規(guī)規(guī)定的其他情形。10.2OthercircumstancesprovidedbylawsorregulationsunderwhichthisAgreementmaybealtered.第十一條(本合同的解除)Article11RescissionofAgreement
(一)乙方有下列情形之一的,甲方可以解除本合同:11.1Inanyofthefollowingcases,PartyAmayrescindthisAgreement:1、在試用期間,被證明不符合錄用條件的;2、嚴(yán)重違反勞動紀(jì)律及甲方規(guī)章制度的;3、嚴(yán)重失職,營私舞弊,給甲方利益造成重大損害的;4、同時(shí)與其他用人單位建立勞動關(guān)系,對完成甲方工作任務(wù)造成嚴(yán)重影響,或者經(jīng)甲方提出,拒不改正的;5、以欺詐、脅迫的手段或者乘人之危,使甲方在違背真實(shí)意思的情況下訂立或者變更本合同的;6、乙方被查實(shí)在應(yīng)聘時(shí)或應(yīng)聘后向甲方提供的其個(gè)人資料是虛假的、7、乙方因賣淫嫖娼被收容教育的;8、乙方受公安治安拘留處罰或者被勞動教養(yǎng)的;9.乙方被依法追究刑事責(zé)任的;1.Duringtheprobation,PartyBprovestobeunqualifiedforemployment;2.PartyBbreachesPartyA’slabordisciplinesorregulationsorrulesseriously;3.PartyBcommitsderelictionofdutyorengagesinjobberyandtherebycausesmajordamagetoPartyA;4.PartyBhaslaborrelationshipwithotheremployerduringthevaliditytermhereofwhichhasseriousimpactoncompletionoftheworktaskassignedbyPartyA,orPartyBrefusestotakerectificationinspiteofPartyA’sproposal;5.PartyB,bymeansofdeceptionorcoercionorbytakingadvantageofPartyA’sdifficulties,forcesPartyAtoconcludeorchangethisAgreementagainstPartyA’struewill;6.ItisverifiedthatPartyBsubmittedfraudulentpersonalinformationtoPartyAwhenorafterapplyingforemployment;7.PartyBreceivescustodialeducationowingtoprostitutionorwhoring;8.PartyBisgivensecuritydetentionorreeducation-through-laborbypublicsecurityorgans;9.PartyBisinvestigatedforbearingcriminalresponsibilityaccordingtolaws.(二)有下列情形之一的,甲方提前三十日以書面形式通知乙方后,可以解除本合同:11.2Inanyofthefollowingcircumstances,PartyAmay,bysendingPartyBa30days’priorwrittennotification,terminatethisAgreement:
1.乙方患病或者非因工負(fù)傷,醫(yī)療期滿后,不能從事原工作也不能從事由甲方另行安排的工作的;
2.乙方不能勝任工作,經(jīng)過培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的;3.本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使原本合同無法履行,經(jīng)甲、乙雙方協(xié)商不能就變更本合同達(dá)成協(xié)議的;1.PartyBcontractssicknessorsustainsnon-work-relatedinjury,andafterthemedicaltreatmentperiod,PartyBcanengageinneithertheoriginalworknorotherworkassignedbyPartyA;2.PartyBisnotcompetentforhisorherworkandstillcannotbecompetentforworkafterbeingtrainedorchangeofworkingposts;3.AnyobjectiveconditiononwhichthisAgreementisconcludedundergoesmaterialchange,whichpreventsthisAgreementfrombeingperformed,andthetwopartiesheretocannotreachagreementforalterationhereofthroughnegotiation.
(三)甲方瀕臨破產(chǎn)進(jìn)行法定整頓期間或者生產(chǎn)經(jīng)營發(fā)生嚴(yán)重困難等進(jìn)行經(jīng)濟(jì)性裁員的,提前三十日向工會或者全體職工說明情況,聽取工會或者職工的意見后,裁減人員方案經(jīng)向政府的勞動行政部門報(bào)告,可以解除本合同。11.3IncasePartyAcutsoffthenumberofemployeesowingtorectificationonbankruptcyordifficultyinproductionandbusiness,PartyAshallmakeexplanationtothetradeunionandallthestaffmembersin30days’prior;afterhearingtheopinionofthetradeunionoremployees,thisAgreementmayberescindedaftertheplanforreductionofstaffisreportedtotheadministrativedepartmentsforlabor.
(四)乙方有下列情形之一的,甲方不得依據(jù)本條第(二)、(三)款的規(guī)定解除本合同(法律、法規(guī)有特別規(guī)定的除外):11.4Unlessotherwiseprovidedbylawsorregulations,PartyAmaynotterminatethisAgreementunderArticle11.2orArticle11.3hereofifPartyB:1.從事接觸職業(yè)病危害作業(yè)的勞動者未進(jìn)行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學(xué)觀察期間的;
2.患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動能力的;
3.患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi)的;
4.女職工在孕期、產(chǎn)期、哺乳期的;
5.在甲方連續(xù)工作滿十五年,且距法定退休年齡不足五年的;
6.法律、行政法規(guī)規(guī)定的其他情形。1.isengagedinoperationsthatwouldexposehimorhertooccupationaldiseasehazardsandhasnotundergoneaoccupationalhealthcheck-upbeforeleavingwork,orissuspectedofhavingcontractedanoccupationaldiseaseandisbeingdiagnosedorundermedicalobservation;2.hasbeenconfirmedashavinglostorpartiallylosthisorhercapacitytoworkduetoanoccupationaldiseasecontractedorawork-relatedinjurysustainedduringhisorheremploymentwithPartyA;3.hascontractedanillnessorsustainedanon-work-relatedinjuryandtheprescribedperiodofmedicaltreatmenthasnotexpired;
4.isafemaleworkerinherpregnancy,confinementornursingperiod;5.hasbeenworkingforPartyAcontinuouslyfornotlessthan15yearsandislessthan5yearsawayfromthelegalretirementage;or6.fallsintoanyothercircumstancesstipulatedbylawsoradministrativeregulations.(五)乙方提前30日以書面形式通知甲方,可以解除本合同。乙方在試用期內(nèi)提前3日通知甲方,可以解除本合同。11.5PartyBmay,bysendingPartyAa30days’writtennotification,rescindthisAgreement;duringtheprobation,PartyBmayrescindthisAgreementbysendingPartyAa3days’writtennotification.
(六)有下列情形之一的,乙方可以隨時(shí)通知甲方解除本合同:
11.6Inanyofthefollowingcases,PartyBmayrescindthisAgreementbysendingPartyAanotificationatanytime:
1.甲方未按照本合同約定提供勞動保護(hù)或者勞動條件的;
2.甲方未及時(shí)足額支付勞動報(bào)酬的;
3.甲方未依法為勞動者繳納社會保險(xiǎn)費(fèi)的;
4.甲方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害勞動者權(quán)益的;
5.因《中華人民共和國本合同法》第二十六條第一款規(guī)定的情形致使本合同無效的;
6.法律、行政法規(guī)規(guī)定勞動者可以解除本合同的其他情形。
1.PartyAfailstoprovidelaborprotectionorworkingconditionasstipulatedinthisAgreement;2.PartyAfailstodulypayremunerationinfullamount;3.PartyAfailstopaysocialinsurancepremiumforPartyBaccordingtolaws;4.PartyA’sregulationsgocountertolawsorstatutesandthusdamagePartyB’srightsandinterests;5.ThisAgreementbecomesnullandvoidowingtothecircumstancesprovidedinfirstsectionofArticle26ofContractLawofthePeople’sRepublicofChina.6.OthercircumstancesinwhichPartyBmayrescindthisAgreementaccordingtolawsoradministrativeregulations.(七)甲方以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫乙方勞動的,或者甲方違章指揮、強(qiáng)令冒險(xiǎn)作業(yè)危及乙方人身安全的,乙方可以立即解除本合同,不需事先告知甲方。但乙方應(yīng)在事發(fā)當(dāng)時(shí)或事發(fā)后3個(gè)工作日內(nèi)向甲方提出解除本合同的意思表示,經(jīng)公司確認(rèn)無誤后,約定辦理解除本合同手續(xù)的時(shí)間。如果一方既沒有明確的書面意思表示,又不上班的,甲方有理由理解為曠工的行為,將按甲方的《職工違規(guī)處理辦法》的有關(guān)規(guī)定處理。11.7IncasePartyAusesviolence,threatsorunlawfulrestrictionofpersonalfreedomtoforcePartyBtowork,orifPartyAforcesorinstructsPartyBtoperformdangeroustaskswhichwouldendangerhisorherpersonalsafetyinviolationofrulesorregulations,PartyBmayterminatethisAgreementimmediatelywithoutgivinganypriornoticetoPartyA.
PartyBshall,atthetimeoftheoccurrenceoftheabove-mentionedfactsorwithinthreedaysthereafter,expresshisintentiontoterminatethisAgreement,andthenthetwopartiesmaystipulatethetimeforterminationhereofaftertheconfirmationbyPartyA.IfPartyBneitherexpresseshisintentionofterminationinwritingnorgoestoworkforPartyA,PartyAmaydeemPartyBasabsencefromworkwithoutduereasonandmaytreatPartyBinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.
(八)經(jīng)甲、乙雙方協(xié)商一致,可以解除本合同。11.8ThetwopartiesheretomayterminatethisAgreementbyreachingmutualconsent.
第十二條(本合同終止)Article12Termination有下列情形之一的,本合同即行終止:ThisAgreementisterminatedif:
1.本合同期滿前,任何一方提出本合同不續(xù)簽的,則本合同期滿即行終止。
2.乙方開始依法享受基本養(yǎng)老保險(xiǎn)待遇的;
3.乙方死亡,或者被人民法院宣告死亡或者宣告失蹤的;
4.甲方被依法宣告破產(chǎn)的;
5.甲方被吊銷營業(yè)執(zhí)照、責(zé)令關(guān)閉、撤銷或者甲方?jīng)Q定提前解散的;
6.法律、行政法規(guī)規(guī)定的其他情形。

PartyBhasstartedtoenjoyhisentitlementtobasicold-ageinsurancepensioninaccordancewiththelaw;
3.
PartyBisdeceased,orisdeclareddeadormissingbyapeople’scourt;4.
PartyAisdeclaredbankruptinaccordancewithlaw;5.
PartyAhasitsbusinesslicenserevoked,isorderedtocloseoriscloseddown,orPartyAdecidesonearlydissolution;or6.
Othercircumstancesstipulatedbylawsoradministrativeregulationsarise.
第十三條(本合同續(xù)簽)Article13Renewal甲乙雙方應(yīng)在本合同期滿提前

天,就是否續(xù)訂本合同事宜進(jìn)行協(xié)商。Thetwopartiesheretoshall,30dayspriortotheexpirationofthevaliditytermhereof,holdnegotiationastowhethertorenewthisAgreement.第十四條(本合同的補(bǔ)簽)Article14RetroactiveSignatureofAgreement在本合同期滿前甲乙雙方雖有續(xù)簽意向,但因不可抗力特殊原因,雙方不能就續(xù)簽意向進(jìn)行有效溝通或不能及時(shí)續(xù)簽本合同,致使本合同期滿后,雙方仍存在勞動關(guān)系的,甲乙雙方應(yīng)在不可抗力特殊原因消除后及時(shí)補(bǔ)辦續(xù)訂本合同的有關(guān)手續(xù)。IfthetwopartieshaveintentiontorenewthisAgreementbeforetheexpirationhereof,buttheyfailtoholdeffectivecommunicationortorenewthisAgreementowingtoForceMajeureevents,andthereforethereisemploymentrelationshipbetweenthetwopartiesaftertheexpirationhereof,thenthetwopartiesmayrenewthisAgreementretroactivelyaftertheendofeffectofsuchForceMajeureevent.第十五條(本合同的無效、失效)Article15IneffectivenessandNullificationofAgreement(一)乙方在簽訂本合同之前,甲方有權(quán)了解乙方與本合同直接相關(guān)的基本情況,包括(但不限于)乙方的學(xué)歷、工作經(jīng)歷、資格證書或任職證書(明)以及以前勞動關(guān)系是否解除或終止,是否存在竟業(yè)限制等。乙方應(yīng)提交有關(guān)的書面資料,作如實(shí)說明,并應(yīng)書面承諾其真實(shí)性。若因故意漏報(bào)、隱瞞前述基本情況,騙取甲方簽訂本合同的,視為乙方的欺詐行為并導(dǎo)致甲方的嚴(yán)重誤解,甲方有權(quán)依法申請認(rèn)定本合同自始無效,由此給甲方造成的損失,應(yīng)由乙方全額承擔(dān)。15.1BeforeconclusionofthisAgreement,PartyAshallhavetherighttoobtainPartyB’sinformationrelatedhereto,includingbutnotlimitedtoPartyB’seducationalbackground,workingexperience,qualificationcertificateorpositionassumptioncertificateandotherinformationastowhetherhispreviouslaborrelationshipisterminatedandwhetherPartyBisundercompetitiverestriction.PartyBshallsubmitrelevantwrittendocumentsandmakeexplanationfaithfully,andshallwarrantinwritingtheauthenticityofsuchdocument.IfPartyBmisrepresentsorconcealsanyofsuchinformationanddefraudsPartyAinconcludingthisAgreement,PartyBshallbedeemedasdefraudingandcausingPartyAtoseriouslymisunderstand,andundersuchcircumstances,PartyAshallhavetherighttoapplyforconfirmationofnullificationofthisAgreement,andPartyBshallbeliableforanylossofPartyAarisingtherefrom.(二)乙方未按照本合同第一條規(guī)定的到崗日到崗的,本合同自到崗日滿后自動失效,但甲方認(rèn)可的除外。由此給甲方造成的損失,應(yīng)由乙方全額承擔(dān)。15.2IfPartyBfailstobeavailableforthepositiononthedatestipulatedinArticle1ofthisAgreement,thisAgreementbecomesnullandvoidaftersuchdate,exceptasotherwiseacceptedbyPartyA;andPartyBshallbeliableforanyandallthelossofPartyAarisingtherefrom.(三)乙方理解并同意,誠信是重要的原則。因此乙方保證,不會作出任何不誠信的行為。15.3PartyBunderstandsandagreesthatthegoodfaithisanimportantprinciple,andtherefore,PartyBwarrantsthatheorshewillnevercommitanyactionsofnogoodfaith.
第十六條
解除、終止和違反本合同的責(zé)任Article16Rescission,TerminationandLiabilityforBreach(一)有下列情形之一的,甲方應(yīng)當(dāng)承擔(dān)賠償責(zé)任:16.1PartyAshallpayPartyBcompensationinanyofthefollowingcircumstances:
1.甲方制定的勞動規(guī)章制度違反法律、法規(guī)規(guī)定,給乙方造成損害的;
2.由于甲方的原因訂立的無效本合同,給乙方造成損害的;
3.甲方違反勞動法律、法規(guī)規(guī)定的條件解除本合同或者故意拖延不訂立本合同,給乙方造成損害的;4.法律、法規(guī)規(guī)定的其他情形。1.ThelaborregulationsorrulesformulatedbyPartyAgocountertolawsorstatutes,andtherebycausedamagetoPartyB;2.ThisAgreementisnullandvoidforreasonsattributabletoPartyA,andthusPartyBisdamagedthereby;3.PartyAterminatesthisAgreementbyviolatinglaborlawsorregulationsordelaysconclusionhereofinpurposeandtherebycausesdamagetoPartyB;4.Othercircumstancesprovidedinlawsorstatutes.(二)乙方違反勞動法律、法規(guī)和甲方規(guī)章制度規(guī)定解除本合同或者違反本合同中約定的事項(xiàng),給甲方造成經(jīng)濟(jì)損失的,應(yīng)當(dāng)依法承擔(dān)賠償責(zé)任。16.2IfPartyBrescindsthisAgreementbyviolatinglaborlaws,regulationsorPartyA’sregulationsandrules,orPartyBbreachesanyprovisionshereofandtherebycausesanylosstoPartyA,PartyBshallbeliableforsuchlossaccordingtolaws.1.甲方為其支付的培訓(xùn)費(fèi)和招收錄用費(fèi);2.對生產(chǎn)、經(jīng)營和工作造成的直接經(jīng)濟(jì)損失;3.本合同約定的其它賠償費(fèi)用。1.Trainingfeeandrecruitmentfe
