mentstothecontractorbasedonthecompletionofmilestonesanddeliverables,asoutlinedinthesow.article5confidentialityandnon-disclosure5.1thecontractorshallmaintaintheconfidentialityofallproprietaryandconfidentialinformationoftheemployer,includingbutnotlimitedtotradesecrets,customerinformation,andprojectdata.5.2thecontractorshallnotdiscloseoruseanyproprietaryorconfidentialinformationforanypurposeotherthantheperformanceoftheservicesunderthiscontract.article6indemnificationandliability6.1thecontractorshallindemnifyandholdharmlesstheemployerfromanyandallclaims,demands,actions,damages,andliabilitiesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthiscontract.6.2thecontractorshallbesolelyresponsibleforanydamageorinjurycausedbyitsemployeesoragentsduringtheperformanceoftheservices.article7additionalobligationsofthecontractor7.1thecontractorshallcomplywithallapplicablelaws,regulations,andstandardsrelatedtotheperformanceoftheservices.7.2thecontractorshallmaintainappropriateinsurancecoverage,asrequiredbytheemployer,throughoutthetermofthiscontract.7.3thecontractorshallprovidetheemployerwithregularupdatesandreportsontheprogressandstatusoftheservices.article8termination8.1eitherpartymayterminatethiscontractforcause,includingbutnotlimitedtobreachofthiscontract,failuretoperformdutiesandresponsibilities,ormisconduct.8.2theemployermayterminatethiscontractwithoutcauseuponwrittennoticetothecontractor,providedthatthecontractorshallbeentitledtoreceiveappropriatenoticeperiodandpaymentfortheservicesrendereduptothedateoftermination.article9甲方權益主導9.1theemployerreservestherighttoauditandinspectthecontractor’sperformanceoftheservicestoensurecompliancewiththetermsandconditionsofthiscontract.9.2theemployershallhavetherighttoterminatethiscontractandseekdamagesifthecontractorfailstomeettheperformancestandardsordeliverablesasoutlinedinthesow.9.3theemployershallhavetherighttoassignorsubcontractanypartoftheservicestothirdparties,providedthatthecontractorshallbenotifiedinwritingofsuchassignmentorsubcontracting.9.4theemployershallhavetherighttomodifyoramendthetermsandconditionsofthiscontract,includingthescopeofwork,deliverables,andtimelines,byprovidingwrittennoticetothecontractor.article10第三方介入的意義和目的Theinclusionofathird-partycontractorinthiscontractservesthepurposeofleveragingspecializedexpertiseandresourcestofacilitatethesuccessfulcompletionoftherenewableenergyprojects.Thethird-partycontractorbringsinadditionalskills,experience,andcapabilitiesthatmaynotbeavailablewithintheemployer’sorganization.Byengagingathird-partycontractor,theemployercanfocusonitscorecompetencieswhilerelyingontheexpertiseofthecontractortodeliverhigh-qualityservices.Thiscollaborativeapproachallowstheemployertotapintoabroadertalentpoolandaccessthelatestindustryknowledgeandtechnologies.article11甲方的主導目的和意義Theemployer’sdominanceinthiscontractensuresthatitsinterestsandrequirementsareprioritizedthroughouttheproject.Bysettingcleartermsandconditions,theemployermaintainscontrolovertheproject’sdirection,quality,andtimelines.Theemployer’srighttoauditandinspectthecontractor’sperformanceguaranteesthattheworkmeetsthespecifiedstandards.Furthermore,theemployer’sabilitytomodifyorterminatethecontractprovidesflexibilityinadaptingtochangesinprojectscopeormarketconditions.article12disputeresolution12.1IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvetheDisputeamicablybymutualconsu
