本協(xié)議合作雙方就組建技術(shù)研發(fā)團(tuán)隊(duì)事項(xiàng)，經(jīng)過(guò)平等協(xié)商，在真實(shí)、充分地表達(dá)各自意愿互惠互利的基礎(chǔ)上，根據(jù)《^v^合同法》的規(guī)定，達(dá)成如下協(xié)議，并由合作各方共同恪守。

ThisAgreement,concerningthesettingupofatechnicalresearchanddevelopmentteam,ismadeaccordingtotheContractLawofPRCregulationsandenteredintothroughequalnegotiationbybothPartiesasthefreeandfullexpressionoftheirownwishestomutualbenefits,andtothisendbothPartiesshallabidebythisAgreementasfollowing.

第一條、甲方同意雇用乙方為新產(chǎn)品研發(fā)技術(shù)顧問(wèn)。乙方同意為甲方提供技術(shù)

顧問(wèn)服務(wù)。

第二條、甲方同意每月支付乙方的研究費(fèi)用，包括：薪資、辦公費(fèi)、檢測(cè)費(fèi)、

差旅費(fèi)以及其他相關(guān)費(fèi)用。

第三條、乙方有責(zé)任為甲方提供相關(guān)國(guó)內(nèi)外技術(shù)及市場(chǎng)信息，并及時(shí)答復(fù)甲方

技術(shù)上所遇到的問(wèn)題。

第四條、乙方有義務(wù)向甲方提供有關(guān)個(gè)人簡(jiǎn)歷和相關(guān)證明材料，甲方要尊重乙

方個(gè)人隱私，有義務(wù)妥善保管相關(guān)材料。

Article4:PartyBshallhastheobligationtoprovidePartyAwithanyrelevantpersonalresumeandreferencedocumentsasnecessary.PartyAshallrespectthepersonalprivacyofPartyBandhastheobligationtoproperlykeepthosematerials.

第五條、乙方同意所研發(fā)的產(chǎn)品所有知識(shí)產(chǎn)權(quán)歸甲方所有，乙方不得將相關(guān)技

術(shù)信息泄露給任何第三方，否則需要承擔(dān)一切法律后果。

Article5:PartyBherebyagreesthattheintellectualpropertyofanyproductasresearchedanddevelopedhereinshallbeownedbyPartyA.PartyBshallnotbeallowedtodiscloseanytechnicalinformationconcernedtothethirdparty,oritshalltakeallthelegalconsequences.

第六條、甲乙雙方同意通過(guò)緊密合作達(dá)到共同目標(biāo)；每年增加一到三個(gè)項(xiàng)目；

每年申請(qǐng)一到三個(gè)發(fā)明專(zhuān)利；每年完成一到兩個(gè)能夠通過(guò)專(zhuān)家認(rèn)證的

新產(chǎn)品；每年至少向市場(chǎng)推廣兩個(gè)產(chǎn)品。

Article6:BothPartiesagreetoachievetheircommongoalsbytheirclosecooperation.Itisplannedtoaddonetothreeprojectseachyearandtoapplyforonetothreepatentsforinventionseachyear,tomakeonetotwonewproductscertifiedbyexpertseachyear,andtopromoteatleasttwoproductstothemarketeachyear.

17人力不可抗拒因素：

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。

18仲裁：

在履行協(xié)議過(guò)程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過(guò)友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

（13）不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣(mài)方延期交貨或不能交貨者，賣(mài)方可免除責(zé)任，在不可抗力發(fā)生后，賣(mài)方須立即電告買(mǎi)方及在14天內(nèi)以空郵方式向買(mǎi)方提供事故發(fā)生的證明文件，在上述情況下，賣(mài)方仍須負(fù)責(zé)采取措施盡快發(fā)貨。

ForceMajeure：

(16)質(zhì)量/數(shù)量異議：對(duì)于質(zhì)量方面的異議，買(mǎi)方必須在貨物抵達(dá)目的港后30天之類(lèi)提出：對(duì)于數(shù)量方面的異議，買(mǎi)方必須在貨物抵達(dá)目的港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的貨物差異，賣(mài)方不負(fù)任何責(zé)任。QUALITY/QUANTITYDISCREPANCY:Incaseofqualitydiscrepancy,claimshallbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshallbefiledbythebuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliable,foranydiscrepancyofgoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationorPostOfficeareliable.

(17)不可抗力：賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

FORCEMAJEURE:SellershallnotberesponsibleforfailureordelayinperformanceofentireorportionoftheseSaleContractobligationsinconsequenceofForceMajeureincidents:flood,fire,earthquake,drought,war,oranyothermatterscouldn’tbeforeseenorcontrolledorcouldn’tbeavoided.ButSellershallinformtheincidentstoBuyerimmediately,andshalldeliverythecertificateofForceMajeureincidentsissuedbyrelatedorganizationwithin15daysaftertheincidentshappened.Iftheincidentsinfluencemorethan120days,bothpartiesshallnegotiatetodecidewhethertoexecuteorterminatetheSalesContract.

(18)仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

11.裝運(yùn)通知:SHIPPINGADVICE:

貨物全部裝倉(cāng)后,賣(mài)方應(yīng)立即將合同編號(hào)、商品名稱(chēng)、數(shù)量、毛重、發(fā)票金額、快遞公司名稱(chēng)及快遞單號(hào)通知買(mǎi)方。

Immediatelythegoodsarecompletelyloaded,theSellershallcabletonotifytheBuyersoftheContractnumber,nameofcommodity,quantity,grossweight,invoicedvalue,nameoftheexpresscompanyandthenumberoftheexpress.

12.交貨延遲:DELAYDELIVERY:

如果出現(xiàn)延遲交貨，賣(mài)方應(yīng)按照每延遲一天支付合同金額的1‰的標(biāo)準(zhǔn)向買(mǎi)方支付罰金。但此罰金不得超過(guò)遲交貨物總價(jià)的5%；如果該延遲達(dá)到三十天，并且買(mǎi)方未給予寬限期限，則買(mǎi)方有權(quán)利撤銷(xiāo)該合同,賣(mài)方需支付合同金額的3%作為罰金,并在三個(gè)工作日內(nèi)全額退款。

Incasethatadelayofgoodsdeliveryoccurs,Sellershallpay1‰ofthecontractpriceofdelayedequipmentaspenaltyforevery

賣(mài)方保證所訂設(shè)備系用最好的材料和工藝制造，全新的未曾使用過(guò)的并完全符合本合同規(guī)定的質(zhì)量規(guī)格要求。質(zhì)量保證期

為驗(yàn)收日起的十二個(gè)月或貨物運(yùn)至目的地之日起的十五個(gè)月，取短者。

TheSellerguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnew,

unusedandcompliesinallrespectswiththequalityandspecificationsstipulatedinthisContract.Theguaranteeperiod

shallbetwelve(12)monthscountingfromthedateoffinalacceptanceofthecontractedequipmentorfifteen(15)monthscountingfromthedateonwhichthecommodityarrivesattheplaceofdestination,whicheveroccursthesooner.

賣(mài)方應(yīng)賠償買(mǎi)方由于賣(mài)方銷(xiāo)售的產(chǎn)品侵犯他人專(zhuān)利、外觀設(shè)計(jì)、商標(biāo)、著作權(quán)等知識(shí)產(chǎn)權(quán)而使買(mǎi)方遭受的各種損失（包括由此而產(chǎn)生的訴訟費(fèi)用）。

TheSellershallcompensateandholdtheBuyerharmlessfromandagainstallclaims,liabilities,damages,losses,costsandexpenses(includinglegalfees)pertainingtoinfringementorallegedinfringementofanypatent,registereddesign,

trademark,service-mark,copyrightorotherintellectualpropertyrightswhicharisefromthegoodssuppliedhereunderoranyuseorresalebytheBuyerofsuchgoods.

14.檢驗(yàn)和索賠CLAIMS:

在貨物到達(dá)目的港90天內(nèi)，如發(fā)現(xiàn)質(zhì)量、數(shù)量或規(guī)格不符合合同的條款，買(mǎi)方將有權(quán)根據(jù)中國(guó)商品檢驗(yàn)局簽發(fā)的檢驗(yàn)證書(shū)向賣(mài)方索賠。

Withinninety(90)daysafterthearrivalofthegoodsattheportofdestination,shouldthequality,specification,orquantityofthecontractedequipmentbefoundnotinconformitywiththestipulationsoftheContract,theBuyershallonthestrengthoftheInspectionCertificateissuedbytheChinaCommodityInspectionBureau,havetherighttoclaimagainsttheSeller.賣(mài)方將在第13條規(guī)定的質(zhì)保期內(nèi)保證質(zhì)量，一旦出現(xiàn)貨物無(wú)論任何原因引起的缺陷，包括專(zhuān)利和內(nèi)在缺陷或使用不良的材質(zhì)，買(mǎi)方將立即以書(shū)面形式通知賣(mài)方并以中國(guó)商品檢驗(yàn)局簽署的檢驗(yàn)證書(shū)為準(zhǔn)提出索賠。

賣(mài)方收到買(mǎi)方索賠通知后,如果在三十天內(nèi)不答復(fù),應(yīng)視為賣(mài)方同意買(mǎi)方提出的一切索賠。

AnyandallclaimsshallberegardedasacceptediftheSellerfailstoreplywithin30daysafterreceiptoftheBuyer'sclaim.

15.索賠解決辦法:SETTLEMENTOFCLAIMS:

如貨物不符合本合同規(guī)定應(yīng)由賣(mài)方負(fù)責(zé);同時(shí)如買(mǎi)方按照本合同第14條、第13條的規(guī)定在索賠期限或質(zhì)量保證期內(nèi)提出索賠,賣(mài)方在取得買(mǎi)方同意后,應(yīng)按下列方式之一理賠:

IncasetheSellerareliableforthediscrepanciesandaclaimismadebytheBuyerswithintheperiodofclaimorqualityguaranteeperiodasstipulatedinArticles14andArticle13ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyersinONEOFthefollowingways:

A.同意買(mǎi)方退貨,并將退貨金額以成交原幣償還買(mǎi)方,并負(fù)擔(dān)因退貨而發(fā)生的一切費(fèi)用,包括運(yùn)費(fèi),保險(xiǎn)費(fèi),商檢費(fèi),倉(cāng)租,碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其它必要費(fèi)用。

a.AgreetotherejectionofthegoodsandrefundtotheBuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearallexpensesinconnectiontherewithincludingfreight,insurancepremium,inspectioncharges,storage,stevedorechargesandallother,necessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.

B.按照貨物的疵劣程度,損壞的范圍,將貨物貶值。

b.Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamage

C.調(diào)換有瑕疵的貨物.換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能.賣(mài)方并負(fù)擔(dān)因此而產(chǎn)生的一切費(fèi)用.對(duì)換貨的質(zhì)量，賣(mài)方仍應(yīng)按本合同第13條規(guī)定的保證期保證。

c.Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthisContract.TheSellershall,atthesametime,guaranteethequalityofthereplacementgoodsforafurtherperiodasspecifiedinArticle13ofthisContract.

16.不可抗力事故FORCEMAJEURE:

由于不可抗力原因，如戰(zhàn)爭(zhēng)、火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震或未能取得政府許可等發(fā)生在貨物制造或運(yùn)輸過(guò)程中，導(dǎo)致賣(mài)方交貨遲延或不能交貨時(shí)賣(mài)方不承擔(dān)責(zé)任。但賣(mài)方應(yīng)在事故后的十四天內(nèi)通知買(mǎi)方，并將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書(shū)用空郵寄交買(mǎi)方，并取得買(mǎi)方認(rèn)可。在上述情況下賣(mài)方仍應(yīng)采取一切必要措施盡快交貨。如果該事故持續(xù)超過(guò)五周以上時(shí)買(mǎi)方將有權(quán)撤銷(xiāo)本合同。

TheSellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeuresuchaswar,seriousfire,flood,typhoon,earthquakeorfailureofobtaininggovernmentapproval(s)whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyeroftheoccurrencementionedaboveandwithinfourteen(14)daysthereafter,theSellershallsendbyairmailtotheBuyerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswherethe

accidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethanfive(5)weeks,theBuyershallhavetherighttocanceltheContract.

17.仲裁ARBITRATION:

凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，應(yīng)由雙方通過(guò)友好協(xié)商予以解決。如果協(xié)商不能解決，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁規(guī)則在上海進(jìn)行仲裁。該仲裁委員會(huì)作出的裁決是最終的，買(mǎi)賣(mài)雙方均受其約束。

AlldisputeinconnectionwiththisContractortheexecutionthereofshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoShanghaiInternationalEconomicandTradeArbitrationCommissioforarbitrationwhichshallbeconductedinaccordancewiththeCIETAC'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.

18.特別條款SPECIALPROVISIONS:

本合同由買(mǎi)方和賣(mài)方共同簽署，一式四份，買(mǎi)賣(mài)雙方各執(zhí)兩份。本合同自雙方簽字后立即生效。附件是合同不可分割的組成部分，與合同具有同等法律效果。
