綜合分銷合作協(xié)議合同編號(hào)：__________partiestothisagreement("parties")agreeasfollows:article1:generalprovisions1.1thisagreementismadeandenteredintoonthedatehereinafterreferredtoasthe"dateofthisagreement"andbetweenthefollowingparties:(nameofpartya)(addressofpartya)(nameofpartyb)(addressofpartyb)1.2thepartiesheretoagreethatthisagreementshallbeeffectiveasofthedateofthisagreementandshallcontinueineffectforatermof__________years(the"term")fromthedatehereinafterreferredtoasthe"effectivedate".article2:distributionrightsandobligations2.1partyagrantstopartybtheexclusiverighttodistributeitsproducts(the"products")intheterritory(the"territory")duringthetermofthisagreement.2.2partybshalluseitsbesteffortstopromoteandselltheproductsintheterritoryinaccordancewiththetermsandconditionsofthisagreement.2.3partyashallprovidepartybwithsuchsupportandassistanceasmaybenecessaryfortheeffectivepromotionandsaleoftheproductsintheterritory,including,butnotlimitedto,training,marketingmaterialsandpromotionalactivities.article3:purchaseandsaleofproducts3.1partybagreestopurchasefrompartyatheproductsatthepricesandonthetermsandconditionssetforthinthescheduleattachedhereto(the"schedule").3.2partybshallplaceordersfortheproductswithpartyainsuchformandinsuchmanneraspartyamayfromtimetotimerequire.3.3partyaagreestouseitsbesteffortstofulfillallordersplacedpartybwithinthetimeframesspecifiedintheschedule.article4:paymentterms4.1partybagreestopaypartyafortheproductspurchaseditunderthisagreementinsuchmannerandwithinsuchtimeframesassetforthintheschedule.4.2anypaymentsduehereundershallbemadeinthecurrencysetforthintheschedule.article5:representationandwarranty5.1partyarepresentsandwarrantstopartybthatithasthefullright,powerandauthoritytoenterintothisagreementandtogranttherightsandlicensesgrantedhereunder.5.2partyarepresentsandwarrantsthattheproductsconformtothespecificationssetforthinthescheduleandarefreefromanyliensandencumbrances.article6:indemnification6.1partyaagreestoindemnifyandholdharmlesspartybagainstanyandalllosses,damages,claims,liabilitiesandexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisagreementpartyaoranyclaimthattheproductsinfringeanypatent,trademark,copyrightorotherintellectualpropertyrightofanythirdparty.6.2partybagreestoindemnifyandholdharmlesspartyaagainstanyandalllosses,damages,claims,liabilitiesandexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisagreementpartyboranyclaimthattheproductsinfringeanypatent,trademark,copyrightorotherintellectualpropertyrightofanythirdparty.article7:terminationanddefault7.1eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisagreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereoffromtheterminatingparty.7.2intheeventofterminationofthisagreement,partybshallpromptlyreturntopartyaallproductsinitspossessionorunderitscontrolandallrelateddocumentationandpromotionalmaterials.article8:confidentialinformation8.2theobligationssetforthinthisarticle8shallsurvivetheterminationorexpirationofthisagreement.article9:disputeresolution9.2theplaceofarbitrationshallbethecitysetforthintheschedule.article10:generalprovisions10.1thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.10.2thisagreementmaynotbeassigned一、附件列表：產(chǎn)品規(guī)格說明書價(jià)格表營銷材料培訓(xùn)資料訂單表格保密協(xié)議仲裁條款二、違約行為及認(rèn)定：未能按照約定時(shí)間履行訂單產(chǎn)品不符合約定的規(guī)格或質(zhì)量標(biāo)準(zhǔn)未能支付約定的款項(xiàng)未能維護(hù)對(duì)方的商業(yè)秘密未經(jīng)許可侵犯第三方知識(shí)產(chǎn)權(quán)未能履行合同中的其他重要義務(wù)三、法律名詞及解釋：綜合分銷合作協(xié)議：指雙方就產(chǎn)品分銷的權(quán)利和義務(wù)達(dá)成的書面協(xié)議。獨(dú)家分銷權(quán)：指在約定區(qū)域內(nèi)，分銷商獨(dú)占銷售產(chǎn)品的權(quán)利。territory：指分銷商在合同約定的區(qū)域內(nèi)銷售產(chǎn)品的地域范圍。有效日期：指合同開始生效的日期。訂單：指分銷商向生產(chǎn)商提出的購買產(chǎn)品的書面文件。保密信息：指合同中約定的，需要雙方保密的信息。四、執(zhí)行中遇到的問題及解決辦法：訂單履行延遲：及時(shí)溝通，調(diào)整生產(chǎn)和物流計(jì)劃，避免重復(fù)訂單。產(chǎn)
