合同編號：__________CONTRACTNUMBER:__________CONTRACTOFSALEANDPURCHASEThisContractofSaleandPurchase(the"Contract")ismadeandenteredintoasofthedatefirstabovewrittenandbetween:[Buyer'sName](the"Buyer")and[Seller'sName](the"Seller").RECITALSWHEREAS,theBuyerdesirestopurchasefromtheSeller,andtheSellerdesirestoselltotheBuyer,thegoodsand/orservicesdescribedinExhibitAattachedhereto(the"Products");WHEREAS,thepartiesheretohaveagreeduponthetermsandconditionsofthesaleandpurchaseoftheProducts;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1.Definitions.ThefollowingtermsshallhavethemeaningsassignedtotheminthisArticle1:(a)"BusinessDay"meansanydayotherthanadayonwhichbanksareclosedinthelocationoftheSeller'sprincipaloffice;(b)"ForceMajeure"meansanycausebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation;(c)"Products"meanstheproductsdescribedinExhibitAattachedhereto;(d)"Seller'sPremises"meansthelocationoftheSeller'sprincipalplaceofbusiness;(e)"Specifications"meansthespecificationsfortheProductssetforthinExhibitBattachedhereto;(f)"Order"meanstheorderforProductssubmittedtheBuyertotheSeller.1.2.GenderandNumber.Themasculinegendershallincludethefeminineandneutergenders,andthesingularshallincludetheplural,whereverappropriateinthisContract.1.3.Headings.ThesectionheadingscontainedinthisContractareforconvenienceonlyandshallnotaffecttheinterpretationormeaningofanyprovisionofthisContract.ARTICLE2:SALEANDPURCHASE2.1.SaleandPurchase.TheSelleragreestosell,andtheBuyeragreestopurchase,theProductsinaccordancewiththetermsandconditionssetforthinthisContract.2.2.OrderAcknowledgment.TheSellershallacknowledgetheOrderinwritingwithinareasonabletimeafterreceiptoftheOrder.TheSeller'sacknowledgmentshallstatethetotalpurchaseprice,deliverydate,andothertermsandconditionsofthesale.2.3.Delivery.TheSellershalldelivertheProductstothelocationspecifiedtheBuyer(the"DeliveryPoint")onorbeforethedeliverydatespecifiedintheOrderacknowledgment.TimeisoftheessencewithrespecttothedeliveryoftheProducts.2.4.InspectionandAcceptance.TheBuyershallhavetherighttoinspectandtesttheProductsupondelivery.IftheProductsdonotconformtotheSpecifications,theBuyershallnotifytheSellerinwritingwithinareasonabletimeafterdelivery.TheSellershall,atitssolediscretion,eitherreplacethenonconformingProductsorrefundthepurchasepriceforsuchnonconformingProducts.2.5.TitleandRiskofLoss.TitletotheProductsandriskoflossshallpasstotheBuyerupondeliverytotheDeliveryPoint.2.6.PriceandPaymentTerms.ThepurchasepricefortheProductsshallbethepricesetforthintheOrderacknowledgment.TheBuyershallmakepaymenttotheSellerthepaymenttermssetforthintheOrderacknowledgment.ARTICLE3:WARRANTIES3.1.Seller'sWarranties.TheSellerwarrantsthattheProductsconformtotheSpecificationsandarefreefromdefectsinmaterialsandworkmanship.TheSellerfurtherwarrantsthatithasgoodtotheProductsandthatthesaleoftheProductstotheBuyerdoesnotviolateanylaworanycontractualobligationoftheSeller.3.2.Buyer'sWarranties.TheBuyerwarrantsthatithastherighttopurchasetheProductsandthatitwillusetheProductsinamannerconsistentwithanyapplicablelawsandregulations.ARTICLE4:FORCEMAJEURE4.1.ExcusableDelays.TheSellershall一、附件列表：1.附件A：產(chǎn)品描述2.附件B：產(chǎn)品規(guī)格二、違約行為及認(rèn)定：1.賣方未能按照訂單確認(rèn)書中規(guī)定的交付日期交付產(chǎn)品。2.產(chǎn)品不符合規(guī)格。3.買方未能在規(guī)定時間內(nèi)支付產(chǎn)品款項。4.買方未能按照合同規(guī)定使用產(chǎn)品。三、法律名詞及解釋：1.合同編號：合同的唯一標(biāo)識符。2.賣方：提供產(chǎn)品的一方。3.買方：購買產(chǎn)品的一方。4.交付日期：產(chǎn)品交付給買方的時間。5.規(guī)格：對產(chǎn)品性能、質(zhì)量等方面的詳細(xì)描述。6.訂單確認(rèn)書：買方和賣方之間的書面協(xié)議，確認(rèn)產(chǎn)品的購買細(xì)節(jié)。四、執(zhí)行中遇到的問題及解決辦法：1.交付問題：如遇交付延誤，買方應(yīng)立即與賣方聯(lián)系，賣方應(yīng)盡快解
