PATENTLICENSEAGREEMENT

THISPATENTLICENSEAGREEMENT(the"Agreement")ismadeandenteredintoasof[InsertEffectiveDate],byandbetween[InsertLicensorName],a[InsertJurisdictionofLicensor]corporationwithaprincipalplaceofbusinessat[InsertLicensorAddress]("Licensor"),and[InsertLicenseeName],a[InsertJurisdictionofLicensee]corporationwithaprincipalplaceofbusinessat[InsertLicenseeAddress]("Licensee").

WHEREAS,Licensoristheownerofcertainpatentsandpatentapplicationsrelatedto[InsertBriefDescriptionofPatentedTechnology],whicharelistedinExhibitAattachedheretoandmadeaparthereof(the"LicensedPatents");

WHEREAS,Licenseedesirestoobtainalicensetomake,havemade,use,sell,offerforsale,importandotherwiseexploittheLicensedPatentsintheFieldofUse(asdefinedbelow);and

WHEREAS,LicensordesirestogranttoLicenseealicensetotheLicensedPatentsonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.GrantofLicense.

LicensorherebygrantstoLicensee,andLicenseeherebyaccepts,anon-exclusive,non-transferable(exceptasprovidedinSection[InsertSectionNumberforTransferability,ifany]),limitedlicenseundertheLicensedPatentstomake,havemade,use,sell,offerforsale,import,andotherwiseexploittheLicensedPatentsintheFieldofUsethroughouttheTerritory(asdefinedbelow)duringtheTerm(asdefinedinSection[InsertSectionNumberforTerm]).

2.FieldofUseandTerritory.

The"FieldofUse"shallmean[InsertSpecificFieldofUse,ifany].The"Territory"shallmean[InsertSpecificGeographicalArea,ifany,or"worldwide"].

3.RoyaltyandPayments.

LicenseeshallpaytoLicensoraroyaltybasedonNetSalesofLicensedProductsasfollows:[InsertRoyaltyRateorPaymentStructure].

4.MinimumCommitments.

LicenseeshallmakeaminimumpaymenttoLicensorof[InsertMinimumCommitmentAmount]within[InsertTimeFrame]aftertheEffectiveDateofthisAgreement.

5.Term.

ThisAgreementshallcommenceontheEffectiveDateand,unlessterminatedearlierpursuanttotheprovisionsofthisAgreement,shallcontinueineffectuntiltheexpirationofthelasttoexpireoftheLicensedPatents(the"Term").

6.Termination.

LicensormayterminatethisAgreementimmediatelyuponwrittennoticeifLicenseebreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[InsertNumberofDays]daysafterreceiptofwrittennoticethereof.

7.WarrantiesandRepresentations.

LicensorrepresentsandwarrantsthatitistheowneroftheLicensedPatentsandhastherighttograntthelicensegrantedherein.

8.Indemnification.

Licenseeshallindemnify,defend,andholdLicensorharmlessfromandagainstanyandallclaims,damages,liabilities,costs,andexpensesarisingfromorrelatedtoLicensee'suseoftheLicensedPatents.

9.Confidentiality.

LicenseeshallkeepconfidentialallinformationreceivedfromLicensorthatisidentifiedasconfidential,andshallusesuchinformationonlyforthepurposesofthisAgreement.

10.Miscellaneous.

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.ThisAgreementmaybeamendedonlyinwritingsignedbybothparties.
