dtime,andstillfailstoperformafterbeingurgedinwritingbyPartyA;-PartyAfailstopaytheintermediaryremunerationafterPartyBsuccessfullyintroducesatransaction,andstillfailstopayafterbeingurgedinwritingbyPartyB;-Eitherpartydisclosesbusinesssecrets,andstillfailstostopafterbeingurgedinwritingbytheotherparty.Article16:LegalTermsandDefinitions16.1Intermediaryservices:ReferstoservicesprovidedbyPartyBtoPartyA,includinginformationprovision,transactionmatching,andconsultingadvice,basedonPartyA'sneeds.16.2Intermediaryremuneration:ReferstotheremunerationpaidbyPartyAtoPartyBfortheintermediaryservicesprovided.16.3Businesssecrets:Referstotechnicalinformationandbusinessinformationthatisnotknowntothepublic,canbringeconomicbenefitstoPartyAorPartyB,haspracticality,andhasbeenkeptconfidentialbyPartyAorPartyB.16.4Authorizedrepresentative:ReferstothepersondesignatedbyPartyAorPartyBtosigncontractsandrelateddocumentsontheirbehalf.Article17:ProblemsEncounteredinImplementationandSolutions17.1Problemsthatmaybeencounteredduringimplementationincludebutarenotlimitedto:-PartyBencountersobstaclesinprovidingintermediaryservicesandisunabletocontinueperformingtheservices;-PartyAdecidestoterminatethetransactionduetomarketchangesorotherreasons;-Thepartieshavedifferentunderstandingsofthescopeandqualityofintermediaryservices.17.2Solutions:-PartyBshouldpromptlynotifyPartyAandproposeasolutionornegotiatechangestotheservicecontent;-PartyAshouldnegotiatewithPartyBtoclarifytheconditionsandconsequencesofterminatingthetransaction;-Thepartiesshouldnegotiatetoresolvedifferencesinthescopeandqualityofservices,andmayseekthird-partyprofessionalopinionsifnecessary.Article18:AllApplicationScenarios18.1ThisContractappliestoallthefollowingapplicationscenarios:-WhenPartyAneedstopurchaseorsellgoodsorservices;-WhenPartyAneedstofindpartnersorinvestors;-WhenPartyAneedstoengageintechnologycooperationortechnologytransfer;-WhenPartyAneedstoconductmarketresearchormarketpromotion;-WhenPartyAneedstoengageinotherbusinessactivities.18.2Whenprovidingintermediaryservices,PartyBshouldprovidecorrespondingservicesandsupportaccordingtothespecificneedsandapplicationscenariosofPartyA.Article19:ModificationandTerminationoftheContract19.1ThepartiesmaynegotiateandagreetomodifythecontentofthisContract.19.2Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttoterminatethisContractandrequirethebreachingpartytobearthecorrespondingliabilityforbreachofcontract.Article20:NoticesandDelivery20.1AllnoticesunderthisContractshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonallyorsentbyregisteredmailtotheaddressesspecifiedinthisContractortosuchotheraddressaseitherpartymaydesignateinwriting.Article21:ApplicableLawandDisputeResolution21.1Theconclusion,interpretation,modification,performance,anddisputeresolutionofthisContractshallbegovernedbythelawsof_______(countryorregion).21.2IfthepartieshaveadisputearisingfromtheperformanceofthisContract,theyshouldfirstresolveitthroughnegotiation;ifnegotiationfails,itshallbe
