6.Miscellaneous

6.2ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweentheParties.

6.3AnyamendmentormodificationofthisAgreementoradditionalobligationassumedbyeitherPartyinconnectionwiththisAgreementshallbebindingonlyifevidencedinwritingsignedbyeachPartyoranauthorizedrepresentativeofeachParty.

7.GoverningLawandJurisdiction
