AgentAgreementTableofContents1.DefinitionsandInterpretation2.AppointmentandRepresentation3.DutiesandResponsibilities4.Confidentiality5.CompensationandExpenses6.TermandTermination7.Indemnification8.DisputeResolutionChapter1:DefinitionsandInterpretation1.1Definitions1.1.1"Agreement"referstothisAgentAgreement,includingallappendicesandattachmentshereto.1.1.2"Agent"meanstheindividualorentityappointedthePrincipaltoactonitsbehalf.1.1.3"Principal"referstothepartygrantingtheauthoritytotheAgent.1.1.4"Territory"meansthegeographicalareaspecifiedinthisAgreementwheretheAgentisauthorizedtoact.1.1.5"ConfidentialInformation"includesallinformationprovidedthePrincipaltotheAgent,whetherinwriting,orally,orotherwise.1.2Interpretation1.2.1HeadingsinthisAgreementareforconvenienceonlyandshallnotbeusedtointerprettheAgreement.1.2.2Referencestostatutesorregulationsshallincludeanyamendments,replacements,orreenactmentsthereof.1.2.3Thesingularincludesthepluralandviceversa,andreferencestoanygenderincludeallgenders.Chapter2:AppointmentandRepresentation2.1Appointment2.1.1ThePrincipalhereappointstheAgentasitsexclusiverepresentativeintheTerritoryforthepurposessetforthinthisAgreement.2.1.2TheAgentacceptstheappointmentandagreestoactonbehalfofthePrincipalinaccordancewiththetermsandconditionsofthisAgreement.2.2ScopeofRepresentation2.2.1TheAgentshallhavetheauthoritytoperformthefollowingactsonbehalfofthePrincipal:2.2.1.1Negotiatingandenteringintocontractswiththirdparties.2.2.1.2RepresentingthePrincipalinpromotionalactivitiesandbusinessmeetings.2.2.1.3CollectingpaymentsandreceiptsonbehalfofthePrincipal.Chapter3:DutiesandResponsibilities3.1Agent'sDuties3.1.1TheAgentshalluseitsbesteffortstopromotethePrincipal'sproductsandservicesintheTerritory.3.1.3TheAgentshallpromptlyreporttothePrincipalanymattersthatmayaffectthePrincipal'sinterests.3.2Principal'sResponsibilities3.2.1ThePrincipalshallprovidetheAgentwithallnecessaryinformationandsupporttoperformtheAgent'sduties.3.2.2ThePrincipalshallsupplytheAgentwithpromotionalmaterialsandsamplesasrequired.3.2.3ThePrincipalshallnotengageinanyactivitiesthatmayconflictwiththeAgent'sdutiesunderthisAgreement.Chapter4:Confidentiality4.1ObligationofConfidentiality4.1.1TheAgentshallmaintaintheconfidentialityofallConfidentialInformationandshallnotdisclosesuchinformationtoanythirdpartywithoutthePrincipal'spriorwrittenconsent.4.1.2TheAgentshallusetheConfidentialInformationsolelyforthepurposesofperformingitsdutiesunderthisAgreement.4.2Exceptions4.2.1Theobligationofconfidentialityshallnotapplytoinformationthat:4.2.1.2IsdisclosedtotheAgentathirdpartywithoutbreachofanyconfidentialityobligation.4.2.1.3Isrequiredtobedisclosedlaworcourtorder.Chapter5:CompensationandExpenses5.1Commission5.2PaymentTerms5.3Expenses5.3.1TheAgentshallberesponsibleforitsownexpensesincurredintheperformanceofitsdutiesunderthisAgreement,unlessotherwiseagreedinwritingthePrincipal.Chapter6:TermandTermination6.1Term6.2Termination6.2.1EitherpartymayterminatethisAgreementgiving[____]months'writtennoticetotheotherparty.6.2.2ThisAgreementmaybeterminatedimmediatelyeitherpartyintheeventofamaterialbreachtheotherparty,whichisnotcuredwithin[____]daysChapter9:IntellectualPropertyRights9.1Ownership9.1.1ThePrincipalretainsallright,,andinterestinandtoallintellectualpropertyrightsassociatedwithitsproductsandservices.9.1.2TheAgentshallnotacquireanyrightsinthePrincipal'sintellectualpropertyvirtueofthisAgreement.9.2UseofIntellectualProperty9.2.1TheAgentisgrantedalimited,nontransferable,nonexclusivelicensetousethePrincipal'sintellectualpropertysolelyforthepurposeoffulfillingitsobligationsunderthisAgreement.9.2.2TheAgentshallnotusethePrincipal'sintellectualpropertyforanyotherpurposewithoutthepriorwrittenconsentofthePrincipal.Chapter10:Insurance10.1InsuranceCoverage10.1.2TheinsurancecoverageshallbeinamountsandwithtermssatisfactorytothePrincipal.10.2ProofofInsurance10.2.1TheAgentshallprovidethePrincipalwithproofofsuchinsuranceuponrequestandatleastannuallyoruponanyrenewaloftheinsurancepolicies.Chapter11:GoverningLawandJurisdiction11.1GoverningLaw11.1.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].11.2Jurisdiction11.2.1Thepartiesirrevocablysubmittotheexclusivejurisdictionofthecourtsof[Jurisdiction]fortheresolutionofanydisputesarisingoutoforinconnectionwiththisAgreement.Chapter12:AssignmentsandSubcontracting12.1Assignments12.1.1TheAgentshallnotassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofthePrincipal.12.2Subcontracting12.2.1TheAgentmaysubcontractanyofitsobligationsunderthisAgreement,providedthattheAgentshallremainfullyresponsiblefortheperformanceofsuchobligationsthesubcontractor.Chapter13:ForceMajeure13.1Definition13.1.1"ForceMajeure"meansanyeventbeyondthereasonablecontroloftheparties,includingbutnotlimitedtoactsofGod,war,terrorism,labordisputes,andgovernmentalactions.13.2EffectofForceMajeure13.2.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoaForceMajeureevent,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchevent.Chapter14:EntireAgreement14.1Integration14.1.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.14.2Amendments14.2.1AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbothparties.Chapter15:Miscellaneous15.1Notices15.2Severability15.2.1IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainderofthisAgreementshallremaininfullforceandeffect.15.3Waiver15.3.1ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiveroffutureenforcementofthatoranyotherprovision.15.4RelationshipoftheParties15.4.1Thepartiesareindependentcontractors,andnothinginthisAgreementshallcreateapartnership,jointventure,agency,oremploymentrelationshipbetweenthem.Attachments:AppendixACommissionStructureAppendixBInsuranceRequirementsAppendixCListofConfidentialInformationINWITNESSWHEREOF,thepartieshaveexecutedthisAgentAgreementasofthedatefirstabovewritten.PRINCIPAL:[PrintedName][Title][CompanyName][Address][Signature][Date]AGENT:[PrintedName][Title][CompanyName][Address][Signature][Date]多方為主導(dǎo)時(shí)的，附件條款及說(shuō)明：1、當(dāng)甲方為主導(dǎo)時(shí)，增加的多項(xiàng)條款及說(shuō)明：1.1甲方審查權(quán)1.1.1甲方有權(quán)對(duì)乙方的業(yè)務(wù)活動(dòng)進(jìn)行定期審查，以確保乙方遵守本協(xié)議的條款。1.1.2審查可以包括但不限于檢查乙方的記錄、賬目和業(yè)務(wù)場(chǎng)所。1.1
