ContractAgreementforProcessingServices

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[CompanyName]("Contractor"),acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Address],and[CustomerName]("Customer"),acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Address].

1.Services

1.1ContractoragreestoprovidethefollowingservicestoCustomer(the"Services"):

4.Confidentiality

4.2"ConfidentialInformation"meansallinformationdisclosedbyeitherPartytotheother,whetherorallyorinwriting,whichisidentifiedasconfidentialatthetimeofdisclosureorwhichshouldreasonablybeunderstoodtobeconfidential.

5.WarrantiesandRepresentations

5.1ContractorrepresentsandwarrantsthatithastherighttoprovidetheServicesandthattheServiceswillbeperformedinaprofessionalandworkmanlikemanner,inaccordancewiththespecificationsandrequirementsprovidedbyCustomer.

5.2CustomerrepresentsandwarrantsthatithastherighttorequesttheServicesandthatanyinformationprovidedbyCustomertoContractorisaccurateandcomplete.

6.LimitationofLiability

6.1InnoeventshalleitherPartybeliabletotheotherforanyindirect,special,incidental,consequentialorpunitivedamagesarisingoutoforrelatedtothisAgreement,whethersuchdamagesariseincontract,tort,negligence,strictliabilityorotherwise.

6.2TheaggregateliabilityofeitherPartyunderthisAgreementshallnotexceedthetotalamountofpaymentsmadebyCustomertoContractorunderthisAgreement.

7.Indemnification

7.1ContractorshallindemnifyandholdharmlessCustomerfromandagainstanyandallclaims,damages,losses,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoanyinjurytoordeathofanypersonordamagetoorlossofanypropertyresultingfromtheperformanceoftheServicesbyContractororitsagentsoremployees.

7.2CustomershallindemnifyandholdharmlessContractorfromandagainstanyandallclaims,damages,losses,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoanyinjurytoordeathofanypersonordamagetoorlossofanypropertyresultingfromtheuseoftheServicesbyCustomeroritsagentsoremployees.

8.Termination

8.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticethereof.

8.2ThisAgreementmayalsobeterminatedbyeitherPartyuponwrittennoticetotheotherPartyifthePartiesmutuallyagreetoterminatethisAgreement.

9.GoverningLawandJurisdiction

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

9.2AnylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtexclusivelyinthecourtslocatedin[Country/State],andbothPartiesherebyconsenttothejurisdictionofsuchcourts.
