2024版技術(shù)服務(wù)合同英文TechnicalServiceAgreementContractNumber:_______PartyA(Client):_______Address:_______LegalRepresentative:_______ContactNumber:_______PartyB(ServiceProvider):_______Address:_______LegalRepresentative:_______ContactNumber:_______ConsideringthatPartyArequiresprofessionaltechnicalservicesforitsbusinessdevelopmentandPartyBhasthequalificationsandcapabilitiestoprovidesuchtechnicalservices,bothparties,inaccordancewiththeprinciplesofequality,voluntariness,andmutualbenefit,havereachedthefollowingTechnicalServiceAgreement(hereinafterreferredtoas"thisAgreement").Article1:ScopeofServicesPartyBagreestoprovidethefollowingtechnicalservicestoPartyAaccordingtothetermsofthisAgreement:_______.Thespecificcontent,objectives,standards,andrequirementsofthetechnicalservicesaredetailedinAttachment1:"TechnicalServiceDescription".Article2:TermofServiceThetermofserviceunderthisAgreementshallcommenceon_______andendon_______.Shouldthetermofserviceneedtobeextended,PartyAshallprovidewrittennoticetoPartyBatleast_______daysinadvanceandobtainPartyB'sconsent.Article3:ServiceFeesandPaymentTermsPartyAshallpayPartyBatotaltechnicalservicefeeof_______.Thepaymentmethods,timing,andconditionsfortheservicefeesaredetailedinAttachment2:"TechnicalServiceFeeandPaymentTerms".Article4:RightsandObligationsofPartyAPartyAhastherighttorequirePartyBtoprovideservicesaccordingtotheagreedcontentandstandardsandtosupervisetheimplementationoftheservices.PartyAshallmaketimelypaymentsfortheservicefeesandprovidenecessaryassistanceandsupportduringtheprovisionofservicesbyPartyB.Article5:RightsandObligationsofPartyBPartyBhastherighttoreceivethetechnicalservicefeesasagreedandtodemandtimelypaymentfromPartyA.PartyBshallensurethatthetechnicalservicesprovidedmeetPartyA'srequirementsandachievetheagreedqualitystandards.Article6:AcceptanceofServiceResultsUponcompletionofthetechnicalservices,PartyBshallsubmittheserviceresultstoPartyA,whoshallcompleteacceptancewithin_______daysofreceiptoftheserviceresults.ThestandardsandproceduresforacceptanceofserviceresultsaredetailedinAttachment3:"ServiceResultAcceptanceStandards".Article7:ConfidentialityClauseBothpartiesshallmaintaintheconfidentialityofanybusinesssecrets,technicalsecrets,orotherconfidentialinformationlearnedduringthecooperationprocess.Withoutthewrittenconsentoftheotherparty,neitherpartymaydisclose,leak,orallowathirdpartytousetheaforementionedconfidentialinformation.Article8:LiabilityforBreachofContractShouldapartybreachthecontract,itshallbeartheliabilityforbreachofcontractandcompensatetheotherpartyforanylossessufferedasaresult.Thespecificscope,calculationmethods,andproceduresforliabilityforbreachofcontractaredetailedinAttachment4:"LiabilityforBreachofContractTerms".Article9:DisputeResolutionAnydisputesarisingfromtheperformanceofthisAgreementshallfirstberesolvedthroughfriendlynegotiation;ifnegotiationfails,eitherpartymaysubmitthedisputeto_______(theagreedarbitrationinstitutionorcourt)forarbitrationorlitigation.Article10:ModificationandTerminationoftheContractAnymodificationsorsupplementstothisAgreementmustbeagreeduponinwritingbybothparties.BothpartiesmayagreetoterminatethisAgreementbymutualconsentandshallprovidewrittennoticetotheotherpartyatleast_______daysinadvance.Article11:AttachmentsTheattachmentstothisAgreementareanintegralpartofthisAgreementandhavethesamelegaleffectastheAgreement.Theattachmentsinclude,butarenotlimitedto:Attachment1:"TechnicalServiceDescription"Attachment2:"TechnicalServiceFeeandPaymentTerms"Attachment3:"ServiceResultAcceptanceStandards"Attachment4:"LiabilityforBreachofContractTerms"Attachment5:"ConfidentialityAgreement"Attachment6:"TechnicalSupportandMaintenanceAgreement"Attachment7:"ServiceSupervisionandEvaluationReport"Article12:OtherAgreementsMattersnotcoveredbythisAgreementmaybedeterminedbyfurthernegotiationbetweenthepartiesandshallbeconcludedinwrittensupplementaryagreements.ThisAgreementismadeintwocopies,eachpartyholdingonecopy,withthesamelegaleffect.(PartyA'sstamp):_______AuthorizedRepresentativeSignature:_______Date:_______(PartyB'sstamp):_______AuthorizedRepresentativeSignature:_______Date:_______(Note:Theaboveisthefirsthalfofthecontract,andthesecondhalfwillbeprovidedinthenextquestion.)Thetextendswithoutfurtherprompts.Article13:IntellectualPropertyRightsPartyBshallensurethatthetechnicalservicesprovideddonotinfringeupontheintellectualpropertyrightsorotherlegalrightsandinterestsofanythirdparty.IntellectualpropertyrightsarisingfromtheperformanceofthisAgreementshallbeownedby_______,andtheotherpartyshallhavetherighttousetheminaccordancewiththeprovisionsofthisAgreement.Article14:TechnicalSupportandMaintenancePartyBshallprovidenecessarytechnicalsupporttoensurethecontinuityandstabilityoftheservices.Thespecifictermsoftechnicalsupportandsystemmaintenanceshallbeagreeduponseparatelybybothparties.Article15:ServiceSupervisionandEvaluationPartyAhastherighttosupervisetheservicesprovidedbyPartyBandtomakesuggestionsforimprovementoftheservices.PartyBshallpromptlymakeserviceimprovementsbasedonthefeedbackfromPartyA.Article16:ConditionsforContractEffectivenessThisAgreementshalltakeeffectfromthedatewhenitissignedandsealedbytheauthorizedrepresentativesofbothparties.TheeffectivenessofthisAgreementmayalsodependonthefulfillmentofotherconditionsagreeduponbybothparties.Article17:ContractRenewalandTerminationPriortotheexpirationofthecontractterm,bothpartiesmaynegotiaterenewalmatters.Eitherpartymayterminatethecontractwithadvancenotice,subjecttothebreachofcontracttermsinthisAgreement.Article18:ApplicableLawTheestablishment,interpretation,performance,anddisputeresolutionofthisAgreementshallbegovernedbythelawsof_______.Article19:NoticesandDeliveryAnyformalnoticerelatedtothisAgreementshallbeinwritinganddeliveredtotheaddresslistedinthepreambleoftheAgreement.Ifapartychangesitsaddress,itshallnotifytheotherpartyinwritinginadvance.Article20:AdditionalTermsBothpartiesmayagreeuponadditionaltermsthatarenotcoveredinthisAgreementandincorporatethemintotheAgreementwiththesamelegaleffect.Article21:ContractModificationOncethisAgreementissignedbybothparties,nopartymayunilaterallymodifyorterminatethisAgreementwithoutthewrittenconsentofbothparties.Article22:EffectiveDateThisAgreementshalltakeeffectfromthedateofsigningandsealingbytheauthorizedrepresentativesofbothparties.Article23:AttachmentListAttachment1:"TechnicalServiceDescription"Attachment2:"TechnicalServiceFeeandPaymentTerms"Attachment3:"ServiceResultAcceptanceStandards"Attachment4:"LiabilityforBreachofContractTerms"Attachment5:"ConfidentialityAgreement"Attachment6:"TechnicalSupportandMaintenanceAgreement"Attachment7:"ServiceSupervisionandEvaluationReport"Article24:BreachofContractandDeterminationPartyA'sfailuretopayservicefeesasagreed,orPartyB'sfailuretoprovideservicesasagreed,constitutesabreachofcontract.Thedeterminationofabreachofcontractshallbebasedonthetermsofthecontractandtheactualsituationofthebreach,asdeterminedbymutualagreementoranarbitrationinstitution/court.Article25:LegalTermsandDefinitionsTechnicalServices:Referstotheprofessionaltechnicalsupport,consultation,andtrainingservicesprovidedbyPartyBaccordingtoPartyA'sneeds.TradeSecrets:Referstotechnicalinformationandbusinessinformationthatisnotknowntothepublic,canbringeconomicbenefitstotherightholder,haspracticality,andhastakenconfidentialitymeasuresbytherightholder.ForceMajeure:Referstoobjectivecircumstancesthatcannotbeforeseen,avoided,andovercome,suchasnaturaldisasters,wars,governmentactions,etc.,whichresultintheinabilitytoperformorfullyperformthecontract.Artic
