CONSULTINGSERVICESAGREEMENT

ThisConsultingServicesAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[ClientName]("Client"),a[Client'sjurisdiction]corporation,and[ConsultantName]("Consultant"),anindividualresidingin[Consultant'sjurisdiction].

1.Services

1.1Services.TheConsultantagreestoprovidetheClientwithconsultingservices(the"Services")asdescribedintheattachedScheduleA.

1.2Performance.TheConsultantshallperformtheServiceswithprofessionalskillandcareinaccordancewithgenerallyacceptedindustrystandards.

2.Term

2.1Duration.ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandcontinueforaperiodof[Termduration],unlessearlierterminatedasprovidedinthisAgreement.

3.FeesandPayment

3.1Fees.InconsiderationfortheServices,theClientshallpaytheConsultantthefees(the"Fees")setforthintheattachedScheduleA.

3.2PaymentTerms.TheClientshallpaytheConsultanttheFeeswithin[paymentterm]afterthedateoftheinvoiceissuedbytheConsultant.

4.Confidentiality

4.1ConfidentialInformation.Eachparty(the"ReceivingParty")agreestokeepinstrictconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformation(the"ConfidentialInformation")oftheotherparty(the"DisclosingParty")thatissharedorlearnedduringtheperformanceoftheServices,exceptasmayberequiredbylaworregulation.

4.2Exceptions.TheobligationsunderthisSection4shallnotapplytoinformationthat:(a)isorbecomespubliclyknownthroughnofaultoftheReceivingParty;(b)wasintheReceivingParty'spossessionpriortoitsdisclosurebytheDisclosingParty;(c)isindependentlydevelopedbytheReceivingPartywithoutuseoftheConfidentialInformation;or(d)islawfullyobtainedfromathirdparty.

5.Indemnification

5.1IndemnificationbyConsultant.TheConsultantagreestoindemnify,defend,andholdharmlesstheClientfromanyandallclaims,demands,suits,actions,liabilities,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeperformanceoftheServices,excepttotheextentsuchclaims,demands,suits,actions,liabilities,damages,costs,andexpensesareduetotheClient'sbreachofthisAgreementorthenegligenceorwillfulmisconductoftheClient.

5.2IndemnificationbyClient.TheClientagreestoindemnify,defend,andholdharmlesstheConsultantfromanyandallclaims,demands,suits,actions,liabilities,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeperformanceoftheServices,excepttotheextentsuchclaims,demands,suits,actions,liabilities,damages,costs,andexpensesareduetotheConsultant'sbreachofthisAgreementorthenegligenceorwillfulmisconductoftheConsultant.

6.Termination

6.1TerminationforCause.EitherpartymayterminatethisAgreementforcauseuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[cureperiod]afterreceiptofwrittennoticethereoffromtheterminatingparty.

6.2TerminationwithoutCause.ThisAgreementmaybeterminatedbyeitherpartywithoutcauseupon[terminationnoticeperiod]priorwrittennoticetotheotherparty.

7.Miscellaneous

7.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

7.2EntireAgreement.ThisAgreement(includingtheattachedScheduleA)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.
