英文版采購合同英文合同編號：__________ContractAgreementforPurchaseThisContractAgreementforPurchase(the"Contract")isenteredintoasof__________(the"EffectiveDate"),andbetween:(Eacha"Party"andcollectivelythe"Parties")RECITALS:WHEREAS,theSupplierisengagedinthebusinessofmanufacturingandsupplyingcertainproducts(the"Products")tocustomers;WHEREAS,thePurchaserdesirestopurchasetheProductsfromtheSupplier;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:1.ProductsandQuantities1.1TheProductstobepurchasedthePurchaserfromtheSupplierunderthisContractaredescribedinExhibitAattachedhereto(the"ProductSpecifications").ThePartiesagreethattheProductSpecificationsshallprevailoveranyconflictingtermsinthisContract.1.2ThePurchaseragreestopurchasefromtheSupplierthequantitiesoftheProductssetforthintheProductSpecifications.2.Delivery2.1TheSuppliershalldelivertheProductstothePurchaser'sdesignateddeliverylocation(the"DeliveryLocation")onorbeforethedeliverydatesetforthintheProductSpecifications(the"DeliveryDate").3.PriceandPaymentTerms3.1ThepurchasepricefortheProductsshallbeassetforthintheProductSpecifications(the"PurchasePrice").3.2ThePurchasershallmakepaymentfortheProductstotheSupplierwithin30daysafterthedateoftheinvoiceissuedtheSupplier.TheinvoiceshallbesenttheSuppliertothePurchaserwithin10daysaftertheDeliveryDate.4.Warranties4.1TheSupplierwarrantsthattheProductsconformtotheProductSpecificationsandarefreefromanyliensandencumbrances.4.2TheSupplierfurtherwarrantsthattheProductsconformtoallapplicablelaws,regulations,andstandards,includingbutnotlimitedtosafetyandenvironmentalregulations.5.InspectionandRejection5.1ThePurchasershallhavetherighttoinspectandtesttheProductswithinareasonabletimeafterdeliverytotheDeliveryLocation.5.2IftheProductsdonotconformtotheProductSpecificationsoranyotherapplicablerequirements,thePurchasermayrejecttheProductsandtheSuppliershall,atthePurchaser'soption,eitherreplacethenonconformingProductsorrefundthePurchasePriceforsuchnonconformingProducts.6.Confidentiality6.1EachParty(the"DisclosingParty")shallkeepconfidentialandnotdisclosetoanythirdpartyanynonpublicinformationdisclosedtoittheotherParty(the"ReceivingParty")inconnectionwiththisContract,exceptasmayberequiredlaworregulation.6.2TheobligationsofconfidentialityunderthisSectionshallexpirefiveyearsaftertheterminationorexpirationofthisContract.7.Termination7.1ThisContractmaybeterminatedeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticethereoffromtheotherParty.8.GoverningLawandDisputeResolution8.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheProductSpecifications,withoutregardtoitsconflictoflawsprinciples.8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(IC一、附件列表：1.ExhibitAProductSpecifications二、違約行為及認定：1.FailuretodelivertheProductsonorbeforetheDeliveryDateassetforthintheProductSpecifications.2.FailureoftheProductstoconformtotheProductSpecificationsoranyotherapplicablerequirements.3.BreachofanyothermaterialtermorconditionofthisContract.三、法律名詞及解釋：1.ContractThisContractAgreementforPurchase.2.PartiesSupplierandPurchaser.3.ProductSpecificationsThedetaileddescriptionoftheProductstobepurchasedthePurchaserfromtheSupplier.4.DeliveryDateThedatewhichtheSupplieragreestodelivertheProductstotheDeliveryLocation.5.PurchasePriceThepricetobepaidthePurchaserfortheProducts.四、執(zhí)行中遇到的問題及解決辦法：1.Deliverydelays:Intheeventofdeliverydelays,thePartiesshoulddiscussingoodfaithareviseddeliveryschedule.IfthedelayisbeyondthecontroloftheSupplier,thePartiesmayagreeonanextensionoftheDeliveryDate.2.NonconformingProducts:IftheProductsdonotconformtotheProductSpecifications,thePurchasermayrejecttheProducts.TheSuppliershouldreplacethenonconformingProductsorrefundthePurchasePriceforsuchnonconformingProducts.3.BreachofContract:IntheeventofabreachofContract,thenonbreachingPartymayterminatethisContractuponwrittennoticetothebreachingParty.ThePartiesmayalsoseeklegalremediesinaccordancewiththelawsgoverningthisContract.五、所有應(yīng)用場景：1.TheContractisapplicablewhentheSupplierisengagedinthebusinessofmanufacturingandsupplyingcertainproductstocustomers.2.TheContractisusedthePurchasertopurchasetheProductsfromtheSupplier.3.TheContractisenforceableunderthelawsgoverningthePartiesandtheirrespectivejurisd
