1.ScopeofWork

PartyBagreestoproduceanddelivertheAdvertisementforPartyA,subjecttothefollowingtermsandconditions:

a.TheAdvertisementshallbecreatedinaccordancewiththespecificationsandguidelinesprovidedbyPartyA;

b.TheAdvertisementshallbedeliveredtoPartyAwithin[Number]businessdaysfromthedateofexecutionofthisContract;

c.PartyBshallprovidePartyAwithallnecessarymaterials,including,butnotlimitedto,footage,sound,andgraphics,asrequiredtoproducetheAdvertisement;

2.IntellectualPropertyRights

a.PartyBretainsallrights,title,andinterestinandtoitspre-existingintellectualpropertyrights,including,butnotlimitedto,anycopyrights,trademarks,patents,andtradesecrets.

b.PartyAshallretainallrights,title,andinterestinandtotheAdvertisement,including,butnotlimitedto,anycopyrights,trademarks,patents,andtradesecretsembodiedintheAdvertisement;

c.PartyBherebygrantstoPartyAanon-exclusive,worldwide,royalty-free,perpetuallicensetouse,reproduce,distribute,anddisplaytheAdvertisementforthepurposesofpromotingPartyA'sproductsorservices;

3.FeesandPayment

a.PartyBshallbepaidafeeof[Amount]("Fee")fortheproductionanddeliveryoftheAdvertisement;

b.TheFeeshallbepaidin[Number]installments,withthefirstinstallmentdueuponexecutionofthisContractandtheremaininginstallmentsdueon[DueDates];

c.Allpaymentsshallbemadeby[PaymentMethod]to[Payee'sName]at[Payee'sAddress];

4.DelaysandForceMajeure

a.IntheeventthatPartyBfailstodelivertheAdvertisementwithintheagreed-upontimeframeduetocausesbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,labordisputes,orgovernmentalactions,PartyBshallprovidePartyAwithwrittennoticeofsuchdelaysandshallusereasonableeffortstominimizeanysuchdelays;

b.Intheeventofaforcemajeure,thePartiesshallnegotiateingoodfaithtomodifythetermsofthisContracttoaddresstheimpactoftheforcemajeure;

5.Termination

a.EitherPartymayterminatethisContractatanytime,foranyreason,uponprovidingtheotherPartywith[Number]days'writtennotice;

b.UponterminationofthisContract,PartyBshalldeliveralldeliverablestoPartyAandPartyAshallpayPartyBforanyworkperformedpriortotermination;

6.Confidentiality

a.ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedduringthecourseofthisContract,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherParty;

b.TheconfidentialityobligationsunderthisSectionshallsurvivetheterminationorexpirationofthisContract;

7.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction];

6.PartyB'sandThirdParty'sLimitationsofLiability

6.2PartyBandtheThirdParty'sliabilityforanybreachofthisContractshallbelimitedtotheFeepaidbyPartyA.

7.TerminationandConsequences

7.1PartyAmayterminatethisContractupontheoccurrenceofanyofthefollowingevents:

a.AmaterialbreachoftheContractbyPartyBortheThirdParty;

b.AfailurebytheThirdPartytocomplywiththeagreed-uponqualitystandards;

c.Aforcemajeureevent.
