NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

9.EntireAgreement

7.PrincipalParty’sRightsandInterests

7.1.PrincipalPartyhastherighttorequestThirdPartytoprovidedetailedreportsontheprocurementprocess,includingpricing,terms,andconditions.

7.2.PrincipalPartyhastherighttoterminatethisAgreementwithimmediateeffectifThirdPartyfailstofulfillitsobligationsunderthisAgreement.

7.3.PrincipalPartyhastherighttorequestSellertoprovideadditionalinformationordocumentationrelatedtothegoodsortheprocurementprocess.

8.Seller’sObligations

9.Seller’sLimitationsandWarranties
