Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,tradesecrets,andknow-how,arisingfromorinconnectionwiththedevelopmentservicesprovidedunderthisContractshallvestintheDeveloper,exceptforthoseintellectualpropertyrightsspecificallyassignedtotheClientinaccordancewiththeprovisionsofthisContract.

4.**FeesandPaymentTerms**

TheClientshallpaytheDeveloperatotalamountof[Amount]asconsiderationforthedevelopmentservices,payableinaccordancewiththefollowingschedule:

b.TheDeveloperindemnifiesandholdsharmlesstheClientagainstanyandallclaims,actions,suits,demands,liabilities,costs,andexpenses(includingreasonableattorney’sfees)arisingfromorinconnectionwithanybreachofthewarrantiessetforthinthissection.

6.**TermandTermination**

a.ThetermofthisContractshallcommenceonthedatehereofandshallcontinueuntilthecompletionofthedevelopmentservicesasspecifiedintheSpecification,unlessterminatedearlierinaccordancewiththeprovisionsofthissection.

b.EitherpartymayterminatethisContract,inwholeorinpart,uponwrittennoticetotheotherpartyiftheotherpartyfailstoperformitsobligationsunderthisContractandsuchfailurecontinuesforaperiodof[specificperiod]afterwrittennoticethereof.

7.**GeneralProvisions**

b.NeithertheDevelopernortheThirdPartyshallbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththedevelopmentservicesorthisContract.

9.**TermandTermination**

a.ThetermofthisContractshallcommenceonthedatehereofandshallcontinueuntilthecompletionofthedevelopmentservicesasspecifiedintheSpecification,unlessterminatedearlierinaccordancewiththeprovisionsofthissection.
