1.AdvertisingServices

PartyBshall,atPartyA'srequest,provideadvertisingservicesforthepromotionofthefollowingMotionPictures:[ListofMotionPictures]("theServices").ThescopeoftheServicesshallinclude,butnotbelimitedto,thefollowing:

a.Creationofadvertisingmaterials,includingbutnotlimitedto,televisioncommercials,printadvertisements,andonlinebanners;

b.Placementofadvertisingmaterialsinvariousmediaoutlets,includingtelevision,radio,print,anddigitalplatforms;

c.Coordinationwiththird-partyvendorsfortheproductionofadvertisingmaterials;

d.Monitoringandreportingofadvertisingcampaignperformancemetrics.

2.Payment

2.1.FeeStructure

PartyBshallbeentitledtoafeefortheprovisionoftheServices,asfollows:

a.Aflatfeeof[Amount]forthecreationofadvertisingmaterials;

b.Acommissionof[Percentage]%oftheadvertisingexpendituresincurredbyPartyAfortheplacementofadvertisingmaterials;

c.AdditionalcompensationforanyadditionalservicesrenderedbyPartyB,asmutuallyagreeduponbytheparties.

2.2.PaymentTerms

PaymentfortheServicesshallbemadeinaccordancewiththefollowingschedule:

3.IntellectualProperty

3.2.LicensetoUseAdvertisingMaterials

PartyBherebygrantstoPartyAanon-exclusive,worldwide,royalty-free,perpetuallicensetouse,reproduce,distribute,anddisplaytheadvertisingmaterialscreatedbyPartyBunderthisAgreement,solelyforthepurposeofpromotingtheMotionPictures.

4.Confidentiality

Thepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedbyeitherpartytotheother,exceptasotherwiseprovidedherein.Theterm"confidentialinformation"shallmeananyandallnon-publicinformation,includingbutnotlimitedto,technical,financial,business,andmarketinginformation.

5.TermandTermination

5.1.Term
